RE: TO How would you vote?25 Mar 2022 13:31
If Poly intend to take over or enable a takeover.
If Poly have to make an offer after acquiring 30% and that offer has to be at least at the highest price paid in the previous year..... there is nothing stopping Poly waiting a year to clear out the high SP ahead of the RNS and work with a partner (e.g. a Pharma co) and move to buy out SNG for less than 30p a share - unless of course for some reason the SP goes north before then. In any case, considering the sums involved, I can't imagine Poly or 'a Pharma' thinking it would be a good idea pay £2+ per share for the sake of waiting it out TBH.
They have a lot of control of the SP as they did running into the P3 RNS. Effectively letter boxing the SP into a tight range. We need big news to bring in new buyers to shift the SP up. Only very encouraging Activ 2 data can give us that IMO.
Alternately if Poly just want to use high % of votes to e able to encourage a higher value takeover (because they could work with other shareholders to veto a vote on a low ball offer) then they will also stay under 30%.
So for me in any given situation - without very good news - Poly will stay under 30% and wait this out and we will not know what they intend to do.
