As I said you need to build in an interest rate into the calculation for c 20 months and I think Bergen will suffer an fx loss with sterling being in the toilet as they paid in dollars but receive shares in £. They also have considerable risk on the final tranche, as well as risk on existing tranches.

These are not free. You can argue about the settlement price (which needs to be adjusted for adverse fx movements, interest free period and the risk they still carry) but they are not free.

I can tell you’re not too bright on understanding IP and licence agreements.

The IP is effectively embedded into the customers stack through a long term relationship, when there was hope that ENET could afford a cup of coffee. The licence agreement would cover escrow and other arrangements should be worst happen, I expect as ENET is desperate this may include a provision that IP is passed across on insolvency. It’s not NEW business, just renewals and extensions.

Having worked in some of the largest US tech companies on finance, contracts and commercial I wouldn’t touch ENET with a barge pole.

However still waiting for the rnss when DL told a group that ENET were working with Cisco and Juniper, and the vast following of US investors from the otc listing and….and… all the other deluded promises.
