Cannot understand the timing here unless they are down to pennies as this time of the year is when they are most stretched on cash.

Probably worth splitting out a fund raise into the two elements of a placing and retail offer.

1. Placing, agreed in advance with RNS - No Miton this time as cornerstone, DL will chuck in a few hundred k and convert loan, need a new investor to become a 10-20% holder

2. Retail, absolute pain in the a*** ringing your platform etc, expect very little interest from short term holders as iwth most AIM retail offers

As others have noted what will be 1) the share price at this time 2) the discount and dilution to get it away 3) Warrants which have proved a waste of space with a constantly declining share price in the past

Quant - haven't a clue, I haven't any direct experience of contracting in region. Unfortunately a contract seems to mean very little and access to remediation / legal issues problematic.

If they are the raise cash they need to be certain of exactly where they are in order that shareholders have some information on their view of cash out.

As I had tried to explain the contract protects the customer, nothing to do with due diligence.

- the IP is already in use (fully tested, no updates / patches) for a limited number of licences for perpetual use

- Should the worst happen the Tier 1, without a new contract is effectively stuffed is licencing new quantities. With this contract they have no issues carrying on utilising the additional quantity of licencing irrespective of what happens with Ethernity

Just reading the RNS back and the "prepayment" amount which had me scratching my head.

I think this was one of the two customers who were in dispute on licences, the prepayment effectively a "true up" for licences in excess of the contract.

You said the share price would IMMEDIATELY drop in proportion to the 150m/200m shares in issue, I said it wouldn’t the share cap would just increase. So using the fall this morning doesn’t support your view.

The background to your second paragraph is wrong.

It was based around market cap.

The market cap of Ethernity is not correct as it shows the number of shares in issue x the share price (on LSE it's wrong anyway with 149m), rather than the expected number of shares. The £2m share cap on LSE should be double.

Other things being equal if Bergen take the next 43m the share price doesn't go down proportionally (200/240) the market cap just increases overnight.

Of the 150m Bergen has drawn down 45m so a further 105m to go, the company needs authority from the agm to raise the authorised share count to issue some of them.
