It is not an "industry standard" to make a separate company for a single asset and NOT call it spin off.
The industry standard is that a big company undertakes the lengthy, expensive and risky development work, in return giving a smaller but respectable share of the future value to the discovery company, as upfront and milestones/royalties. In this case, the company is GT, NOT scancell. So if anyone takes a chunk of GT, they will benefit from a deal like the one described above according to the %share in the company. The same goes for scancell, by the time the real money arrive (later milestones) they will get a chunk according to the % equity they have to GT at that time.
