Vascular, I agree that both investors should have notified the markets when they went through the 4% and 3% holdings in the company. It seems you can’t say fair get away with anything these days.

Once they fall through the 3% level, there is no obligation's to inform the markets. That figure is approximately 10.56million shares.

However with the Takeover code in operation, if either hold more than 1% of the company, they will have to report it by the 17th February.

Vascular re your post at 13.38. I doubt we will ever find out who was buying prior to the possible takeover rns. Only people going above a threshold holding would have to report it. ( eg from 3% to 4% etc)

What we can say from the ‘8.3’ rns’s to date is that two holders with more than 1% , increased their shareholdings by approximately 2 million and 500,000 shares respectively since December. When from December would be mere speculation.

Wouldn’t surprise me if the BOD are trying to take this private. Soak up as many sells as possible before announcing.

The other board under ‘overview’ shows the enterprise value as £42.1 million.

So a comparable offer to Good Energy would be approximately £63 million. ( about 18p a share) . That is assuming the figure of 41.2 is correct. Factors such as the Goa AMISP may need to be taken into account.

On the day of the rns, the shares ‘surged’ 17%. I don’t think JC was trying to stop the sp.

It would be interesting to know when JC received the informal approach from Esyasoft. I can’t see him getting the approach and immediately reporting on it.,,,It’s possible something happened to force JC’s hand. Insider trading as suggested by someone on these boards?…Esyasoft approaching major shareholders? Whatever sparked the rns, we may never find out, but decisions are going to have to be made soon. If Esyasoft don’t make a bid, would their initial approach bar them from making another bid for 12 months?

Harley, I can’t see why an improved offer can’t be tabled. They have until the 3rd March to submit it. I would like to think that between now and then, Esyasoft and Cyan will have meetings and come to an acceptable offer to the main shareholders. It may not suit private investors who have high averages, but we don’t have the voting power to overturn such a decision.

In January 2025 the pound was equal to 105 Rupees . Presently a pound will get you approx 120 Rupees . That is a big difference if Cyans contracts were agreed in Rupees.

So in some respects I can understand why the financials may not have been as good as expected.

By 3.30pm on the 17th, everyone with more than 1% in the company will have to reveal what they have.

Maybe that will give us an indication of how serious Esyasoft are. Good luck.

Questions were asked sometime ago about the lack of a forecast from Zeuss our Nomad. Were they aware of something going on, so couldn’t comment?

Would the main shareholders accept 15p. I’m not sure.

Whilst the current bid values the company at 35 million, you also have to add on the £15 million(?) we owe to Esyasoft. Any other bidder may need to take this into consideration.

ITT, it could also be that Cyan didn’t get the AMISP and Esyasoft said that’s enough and put in a low bid to test the water. Many on the boards including myself were touting gor a takeover bid. As someone said, “beware what you wish for” I’m now hoping for an improved bid from somewhere .

A question to the more experienced holders. Could this bid for the company affect our chances of another AMISP bid? The uncertainty of our future may put off the Indian government officials who make these decisions.

Esyasoft have till the 3rd March to make a formal offer, so could increase the 9.7p a share that has been reported. Will any other companies come forward to make a bid, before Esyadoft show their hand?
