Until Esyasoft make a confirmed bid, there is no point others trying to buy Cyan. Is this what Esyasoft are trying to do?

Someone would have to loan Cyan £20 million to pay off the loans and interest first. Then you would have a level playing field. I can’t see anyone doing that though.

I’m sure we could get the 5% to hold an egm and I am in favour of your proposal to remove the BOD.

We would undoubtedly lose the vote at the egm, but it would be very damaging to the BOD in any case.

Just to clarify, would the expense of holding an egm fall on the company or those seeking it?

Tonyj, I honestly don’t know what the situation would be if someone took a controlling interest in Cyan. I would think Esyasoft would try to protect their interest and try to convert the loans to equity.

Can anyone dare to take that chance that they may do that?

We know that Cyan and Intellismart were thinking of some form of hook up. I can’t remember the exact date of the rns which told shareholders about it, but it was some time ago.

Now speculating and possibly way off the mark, but a tie up of Cyan and intellismart would take time to work through. Just supposing they were ready to do a deal when Esyasoft decided to put in a possible bid to thwart it? They have effectively blocked any deal and as long as they say we MAY make a firm bid, everything is in limbo.

Has the Cyan BOD said they would accept a low ball offer to try and force Esyasoft to make a firm bid, which could then open the way for counter bids?

As I say, it is pure speculation and possible fantasy what I have described, but without information forthcoming, we are in the dark about what is happening to our company.

We will know more on Tuesday. Let’s see if the possible bid becomes a firm one.

I would also say that if Cyan declined a further extension, then it is difficult to see another company making a bid, when Esyasoft could convert their loans for equity and effectively block 100% ownership.

It is for Cyan to request an extension, not Esyasoft.

They can refuse to extend and the bid would be over.

However is it in Cyans interest to refuse? I would say it isn’t for the reasons I gave earlier.

Re Tuesdays deadline, the ball is in Esyasoft’s court. They need to put a firm bid in before anything else happens.

If Esyasoft are trying to block another possible bid, they will make another ‘possible’ offer to keep the Takeover timetable going.

Cyans BOD, if they are hoping for another bidder to show their hand, they will be forced to play along with Esyasoft.

We shall see what happens on Tuesday, but can they use the due diligence card for more than two months?

Maybe we need Esyasoft to make the offer firm, then perhaps others may bid.

With some of the Tyler family and others accumulating and Axia staying in, I can’t agree with you on that Colour. You would expect the opposite if the company was in trouble.

Hopefully all will be explained soon.

It wouldn’t surprise me when the offer is made for JC to say that they have enough votes to take acceptances over 50%. Therefore there’s no need to vote against!

If we are being stitched up, then expect something along those lines.

Harley, that’s a fair point, but I did mention some time ago that if the sp went a lot higher, the shares that Esyasoft could exchange for the loan, would be much smaller and may not cover the 25% needed to block overall control.

Being honest, none of us know the ways and what nots going on here. I’m just putting a different slant on it, but probably thinking completely out of the box!

This possible bid could well be a protective measure from another as yet unnamed predator. Esyasoft having the ability to swap the loans for equity in the event of a bid, would stop any such bid in its tracks as they couldn’t achieve a 75% holding.

The delays may be to allow another AMISP(?) bid to become successful.

None of us knows, but Esyasoft may and it’s a big may, be trying to protect Cyan.

We had a 6 million buy two days ago and 6 million sold the next day for a possible £1000 profit.

Having read it again, I’m not sure if it means you don’t need to disclose if you have shares in Rsyasoft. And why would you!
