I love it when folk here can't use basic school (primary school) arithmetic, obviously for their own agenda..
Let's clarify shall we so everyone is in no doubt... it's like counting 1 and 1 is 2, 2 and 2 is 4....
Authority to issue x% of the issued share capital DOES NOT mean dilution by x%
So all those that say they're diluting by 100% - please take a bow as you're speaking lots of that brown stuff out of your rear end...
Oh and for those that are not clear, the reference is to the "nominal value" which was 5p (£0.05) until the capital reduction when it became 1p (£0.01)
The 2018 AGM resolution gave authority to £1,969,209 representing approximately 33.33 per cent. of the Company’s current issued share capital... This means £1,969,209 (nominal value) equating to £1,969.209/£0.05 --> 39,384,180 shares. At the time there were 118,152,540 share in issue. So 39.384.180 is 33.33% or 1/3 of the shares in issue. Had they issue all these shares we would have had (3/3) + (1/3) -> 4/3 the number shares in issue which represents a dilution of (4/4) - (3/4) -> 1/4 or 25%
The 2019 AGM resolution gave authority to £1,424,831 representing approximately 100 per cent. of the Company’s current issued share capital... This means £1,424,831 (nominal value) equating to £1,424,831/£0.01 --> 142,483,100 shares. At the time there were 142,431,100 share in issue. So 142,483,100 is 100% or 1/1 of the shares in issue. If they issue all these shares we will have (1/1) + (1/1) -> (2/1); 2 times the number shares in issue which represents a dilution of (2/2) - (1/2) -> 1/2 or 50%
It's simple arithmetic really, not rocket science....
