I am not concerned about the revenue over the next 18 months because we are building a global brand.

I engage with BoD’s and Directors and go the extra mile to gain the knowledge of my investments.

If I do not like something and I think the BoD need to be made aware of it, I let them know.

CEO’s take my calls and whenever I am in London (pre Covid-19) I would often meet several CEO’s.

I do more communicating with like-minded friends on the phone (and Whatsapp) every week and tend not to post as often as I have.

What I can say is that I am not impressed with our Investor Relations Team. I emailed them last Friday to clarify when we would produce our Annual Results and to let them know I had been in contact with the FCA.

It appears to me that they think by putting out the clarification in an RNS on Tuesday is sufficient to answer my question.

I have in the past made strong representation to have a Broker removed from an AIM company I use to be invested in (had over 3%) and last year I was involved in removing all the Directors of another AIM Company. (I no longer invest in AIM Companies)

PS If I had wanted to have your post removed, I can muster a small army to do that, just like I mustered them to like a post on another B.B. a couple of weeks ago where I managed 22 “likes” and I only tend to see 1 or 2 likes for your efforts.

St Andrews Shop

Another good Proactive Interview with Nick.

Our St Andrews shop opened last Saturday.

The location is within a CBD Stone throw from the University.

There are selling take-away coffee with a drop of CBD.

Shop trading profitably.

Shop manager is Ex-Bodyshop manager.

First known CBD shop in UK.

I tried various sources to establish how long we had to file our Annual Accounts and there was no clear information on LSE or the FCA websites.

CHILL.COM domain name acquisition. We have acquired a valuable asset with CHILL.COM and if you were to read the most recent Annual Accounts of Fevertree Plc you would see on page 106 Note 11 their intangible assets are listed as £14.4 million under “Brands”.

At present we do not know how much we have paid to acquire “CHILL.COM” and we also do not know if there will be an ongoing payment to the previous owner of this domain name.

Regardless of what we have paid and may have to pay, ZOE have a unique valuable asset.

PS On the Fevertree website when you are at the Investor page they state that in 2019 they sold 441 million bottles in 78 countries. In a few years I think CHLL will exceed their products and countries.

PPS HopefulDave you are probably correct with your £ billions but I would have expected you to have clarified when our Annual Accounts had to be published. If you had known (you did not in my opinion) you would have posted.

Good evening Craigy2205, there is nothing to be concerned about in my opinion.

I have been in a suspended share before (AIM Italian Company) where they were a little late, but they managed it a week later.

I have emailed Investor Relations “Buchanan” to let them know that I have made an official complaint to the FCA.

It is my understanding that nobody before me have ever contacted the FCA about a late TR1 and they struggled as to who should deal with it.

I did previously ask the FCA what sanctions if any they would impose on “an offender” but due to confidentiality they are not at liberty as to what sanctions they could or would impose (but I know a few financial journalists and they could possibly follow-up) Recently I have used Subject Access Requests and Freedom of Information Requests (both valuable tools)

PPS Gallini, are you able to say where you obtained the two-month extension? I have seen there is, I believe a 3-month extension, for AIM companies on top of the permitted six months to file accounts but it is my understanding we are only allowed 4 months but if this is incorrect, I apologise. Hopefully our Investor Relations company can clarify when we must produce our Annual Results.

FCA Complaint

I have contacted the FCA and made an official complaint about Spreadex Ltd.

I control 0.16% of ZOE shares and like all shareholders here, we could be at a disadvantage if any notifiable shareholder disregards the FCA’s Handbook.

Buysellfredmfc, you are correct, the TR1 does not explain the 4 million share sale yesterday. What would you have to say if in 10 days Spreadex Ltd issue another TR1 to say they have sold a little more?

I will Post when I have a response from the FCA. Their normal response time is three days but the last time I heard the following day.

Annual Report & Spreadex Ltd

It is my understanding that our Annual Results must be published by 4:30pm today.

Under relaxations for Covid-19 there is a one-month extension to the normal three months. This means that if we do not produce our Annual Results today then we will be suspended.

Large Sales Yesterday: The four 1 million share sales yesterday, I believed were Spreadex Ltd.

The last TR1 we had from Spreadex Ltd was on the 1st of June 2021 for crossing a percentage threshold on 19th May 2021. I was in communication with the FCA about their (Spreadex Ltd) not adhering to the disclosure rules.

If we receive a late TR1 from Spreadex Ltd, I will make a formal complaint.

Chill.com domain name will be on our Books as an Intangible Asset. An intangible asset is classified as an asset, it should appear in the balance sheet. As our company expands over the years this asset will become more valuable. The balance sheet aggregates all a company's assets, liabilities & shareholders’ equity.

Rebranding: It is in my opinion better to rebrand sooner rather than later to establish your USP (unique selling point) We have a game-changer with our Chill tobacco alternatives, the big tobacco companies are already actively looking at alternatives and Chill.com is the place they will be looking at.

Rebranding: Zoe changing to Chill. Chill Brand Group will in my opinion present us a Global Brand just like BAT. The power of Marketing will be easier as we expand and utilize the services of the leading marketing agencies for future campaigns.

USA Market Development: Chill products in 2,500 stores, continuing to rollout in Florida. In active negotiations with major US online affiliate retailers.

International Market Developments: Online launch of Chill CBD in the UK. Pursuing a new and potentially transformative future Chill.com product line with international partner.

Exploring Joint Ventures: Actively exploring value-accretive joint venture opportunities in Europe.

BoD Appointments: NED appointment of Eric Schrader, US convenience store veteran and partner in Zoetic's Master Distributor. This appointment is in my opinion well deserved and comes at the point in our expansion in the USA. Eric will be a valuable asset to CHILL.

Fever-Tree note this

Fever-Tree issued an RNS this morning “Pre-Close Trading Update” for the first 6 months of this year.

Revenue £142 Million
Gross Margin c45%

So, they are taking-in just under £24 million per month.

We at ZOE will report our Annual Results shortly and then every quarter.

Come back in a year and see what our revenue is per month and compare it to Fever-Tree and then you may form an opinion as to why our share-price is about to substantially re-rate.

PS Fever-Tree had a TR1 also this morning and an American company just bought 5% of their shares for about £143 million. And they are turning over only £24 million a month after 17 years!

Meeting with BoD

Last evening myself and a good friend from over Hadrian’s Wall met with our BoD (Nick & Eric) along with two other Scottish shareholders.

Before dinner we had an informal chat and then during dinner, we all had opportunities to discuss Voyager Life.

There was nothing discussed that could be interpreted as “Insider Information” but we all asked probing questions and challenged both Nick & Eric.

Various CBD companies were discussed, and Nick gave his view as to the merits of these companies.

I clarified our Targets and Stretched Targets (these were originally on the Seedrs Website in February when there was the first Crowd Funding raise) and probed and challenged certain figures and now I have complete understanding of our Targets.

As our meeting was informal, we all were asking various questions and answers were freely given. If one of us disagreed (in a gentlemanly way) then we discussed that topic some more. Once or twice, I was challenged by another shareholder to substantiate my statement(s)

We discussed our products and our “star products” which are in the pet range, and we discussed our FIRST Shop in St Andrews and how it will be laid-out and how we can attract footfall.

We discussed staff and their responsibilities and how they all contribute to Voyager Life and how Nick inspires them and how they “go the extra mile” not only in the office but also out with the office, all to enable our company to grow.

One shareholder probed Nick on our new Directors and we all contributed to this topic. It was pleasing to know why both our new directors were invited to join our Company. I am really pleased to have both Nikki Cooper & Jill Overland as NED’s they both bring a wealth of experience and I am looking forward to meeting them (hopefully soon, maybe a little party in St Andrews?)

I do not care what price I buy-in all I said was that I was waiting till Tarek Tabsh has finished selling his 50%.

If you had continued your primary school education on into secondary, you would not post the way you do. You are a bully.

If you had looked at my Posting history, you will have seen that I do proper research. Obviously, you did not as you were not aware that Tarek Tabsh could have unloaded up to 50% of his 74.4 million shares, or you were aware and decided to put your PIP payment for that week into a share you thought would increase on their IPO.

Again, if you had been patient and waited till the TR1 arrived then soon after you would have seen some positive Posting from myself which would most likely increase your knowledge of OCTP.

Great Company one Negative

I have done extensive research on Oxford Cannabinoid Technologies Holdings Plc.

I have analysed all their Documents, RNS’s and the 186-page IPO document.

Anyone who knows me will be aware that this is the first time I have posted on a share that I am not currently invested in and will invest in.

Some Posters may interpret (incorrectly) that this is a de-ramp. It is not.

I have changed the way I invest in companies, and I have certain criteria before I invest, and experience has taught me that the entry price is more important than the exit price if you are going to be a long term shareholder (3 year +)

The One Negative.

There is one substantial shareholder, Tarek Tabsh, who had 74,424,992 shares at the IPO and has divested on two occasions a total of 22.2 million shares.

If you had read the IPO Document in full (all 186 pages) you would be aware of the restrictions on divesting shares and Tarek Tabsh is permitted to divest up-to 50% of his shares i.e. 37,212,496.

I believe that Tarek Tabsh will divest more shares whenever there is a small increase in the share-price, and I am resisting buying until I am confident that there will be no further substantial shares being sold.

If / when I buy-in I will let you know.

Voyager Life PLC, the health and wellness company established to supply high-quality Cannabidiol (CBD) and hemp seed oil products announces that it has been appointed as a preferred supplier to independent pharmacy group Inphaserve.

Inphaserve Independent Pharmacy Buying & Support Group serves the needs of more than 30 independent pharmacists in Scotland and England by negotiating supply contracts on their behalf.

Voyager's products are currently available in over 40 independent retail stores in Scotland and on over 20 third-party websites, including popular online platforms Amazon, eBay and Etsy.

PS I do not normally post an RNS but as we are on AQUIS our RNS is not visible like on LSE. No doubt there will be eyes & ears, looking & listening to what Nick has to say about our sales as they continue to grow impressively month on month.

Information is Key

I did not think someone like you would have arrived so soon, but so others are in no doubt, we know you like the Company and it is just that you would like to acquire your shares (doubt you are an actual holder) a little lower.

Frac, you have Posted three posts which can all be “expanded” upon.

A) You say the ambition is below par! Have you spoken to the BoD or read the IPO document or visited our website? If you had then you made an invalid statement.
B) You note our office is in a Business Park. If you had done a little research then you would note most small companies share expensive offices in London, often at their Brokers or Solicitors and they pay London prices. Again, if you had looked at the expenses from inception last November to 31/03/21 you would have seen that the Rent & Office was £1,345. (If you can use a calculator then you could estimate costs for a full year & compare that to London Office Rents)
C) You state funds are going towards the Rent of our CBD shop in St Andrews. But you tag a line that leads to an article that is incredibly positive for Voyager! How many competitor CBD shops are you aware of?

We all know the spread is large on AQUIS and there have only been 4 Trades (all yesterday) But, again, if you had done some proper research, you would have an idea of the shareholder profile.

On the Seedrs Crowd Funding rounds, shareholders who hold for 3 years will get 30% tax relief and (get your calculator again) I will receive £3,450 tax relief so you should be able to work out how much I invested and to make your brain work a little harder than your three de-ramp posts I invested 87% of my funds in the 1st Crowd Funding at 31P and the balance at 58p in the 2nd Crowd Funding.

Now yet again if you had done some proper research then you would know that about 100 people invested £100 or less in the 1st Crowd Funding so there is not going to be many selling due to the prohibitive charges for selling a small number of shares.

Again, with proper research you will know the BoD etc have a tie-in not to divest their shares for a particular period.

Now we only have just over 9 million shares in issue and the larger shareholders will most likely hold for the EIS 30% tax relief so you then have very few who will sell.
Hopefully if you Post again, you will have done your research.

On the Voyager Website we only have major shareholders who hold 5% or more, unlike AIM Rule 26 where it is 3% or more.

If you were to look at our current major shareholders, you will not see Eric Boyle as he is obviously a little under 5% but….

On the first Crowd Funding on Seedrs there was a person or company that took 1,333,200 shares which technically is 14.41% but we have Seedrs listed as having 13.8% or 1,279,745 and I calculate that Seedrs should have 2,821,044 shares.

So, the numbers do not balance, and to answer your question, about issuing a TR1, I would have thought yes.
Greencare Capital Plc did issue an RNS to say they were taking 268,817 @ 38p and this is about 2.91%

Looks like we will have to be patient and wait till our PATH BoD tell us what they are looking at, but from where I am sitting it looks like they are sitting on their, ……..
