Excellent investment in Zuuse.

Currently we have 3,065,058 shares in Zuuse and using the same exchange rate of AU$1.19 = £1 they are worth a minimum of £1,394,682.

Re-Branding

It looks like our re-branding is underway.

I was checking the website for new products. I can see the label has been improved with a subtle change to the CBD leaf.

On page 1 they have re-branded The Gummies, The Body Scrub, The Cooling Cream & Mints.
On page 2 they have re-branded The Soft Gels & The Pet Shampoo.
On page 3 they have re-branded The Pet Odour Neutralising Spritz & The Rosemary & Mint CBD Muscle Salve.

There are about another 20+ products that are currently being re-branded and I am reliably informed that the pet products are market leaders.

Resolutions

Chill Brands have their AGM on 30th September 2021. There are 8 Ordinary Resolutions and 4 Special Resolutions.

I have voted FOR Resolutions 1,2,3, 5,6,7,8 and AGAINST Resolution 4
I have voted FOR Special Resolutions 11 & 12 and AGAINST Special Resolutions 9 & 10

General Meeting Result: Pause for Reflection

If I wanted to cause a local difficulty for any BoD (no intention of harming our Primorus BoD) I am just using this as an example.

Say PRIM have a Special Resolution that I do not like and want to vote against it and ensure it failed to pass, do you think I could MUSTer the support?

For a Special Resolution you need 75% of all votes cast for it to pass.

I know at our GM that 2,803,000 minimum votes came from myself and a good friend so if I take that away from the votes cast it leaves 31,570,801 solid votes “For”

The 31,570,801 would represent 75% so total votes cast would need to be 42,094,401 and to ensure it did not pass I would need to have proxy votes for 10,523,601 which is 1 vote over the 25% threshold.

Using the GM votes, I have only “to persuade” 7,720,601 to support me and vote against and I am confident I can ask some trusted friends and I would exceed the 7.72 million additional votes I would require to “cause a little inconvenience.”

To be crystal clear I have no intention of causing our BoD any inconvenience unlike in my CBD Company where I will.

General Meeting Result: Pause for Reflection

We recently had a GM on Wednesday 8th September and as is normal for the Resolutions presented, they were duly passed (overwhelmingly)

It is my personal experience that Private Shareholders do not bother to attend or vote at GM’s or AGM’s and in my opinion that is why there are many Companies on AIM (and one or two on the Main Market) become wat is often said on B.B. as life-style companies for the BoD.

I actively campaigned to replace our previous BoD due to the excessive “expenses” that were increasing exponentially each year. I had to do a lot of net-working and take some people at face-value and trust them. The result is that we now have a BoD who are working for us the Owners of our Company.

There were only 2 Resolutions:

Resolution 1: To Cancel the share premium account.
Resolution 2: To Approve New Articles of the Company.

Resolution 1 For 34,373,801 Against 0
Resolution 2 For 34,373,801 Against 72,096

So just over 34 million shares were cast as votes, that is a concern for me and maybe you should “Pause for Reflection”.

We have 139,830,968 shares in issue.

Our BoD have 30,335,606 shares (including Company Secretary) so that means that only 4,038,195 shares were voted towards Resolution 1. That’s only 2.89% of the shares in issue. When BoD see that Private Shareholders take almost no interest in AGM’s or GM’s they become a law unto themselves.

Observation 4

Our Interim Results are clear and as informative as they can be at the six-monthly stage.

Our new BoD said they would reduce the expenses and they have delivered.

We have several investments that will provide, in my opinion good capital growth (and possible dividends) refer to Post of August 20th.

“The Board are currently reviewing several exciting investment opportunities that are aligned with the new investing policy. The Board has been screening several opportunities and has identified at least one that could begin to generate value for shareholders this calendar year.”

Observation 3

Only 3 weeks ago I posted my calculations on what our Interims would be like and on August 20th I estimated our cash in the Bank of about £1.2 million and total assets of about £9,110,231.

Today we have the actual (unaudited) figures: Cash in Bank £1,346,000 and total assets of £9,170,000.

I can only go with the information I have been provided with and although my figures from last month are almost similar, they are out of date.

Observation 2

Our regular B.B. Posters (there are not many of us at present) will know that I do in-depth research on all my investments, and I hold our BoD to account and do not just accept what they inform us via the standard RNS feed.

We have a new BoD who are approachable and willingly take my calls. I try to ensure that I am not party to any “Insider” information as I do not want my hands tied (like with an Italian Company earlier this year where I was made an “Insider”)

Whenever I talk to any Director of any Company I am invested in it allows me to form an opinion that I may not have been able to inform just from reading an RNS.

Observation 1

Today our new BoD have issued our Interim Results only 11 weeks after the period end date of 30th June 2021. This must be commended when most AIM Companies take considerably longer to issue their Results.

I bother because I like to look after my investments and will respond to any Poster who is civil, and I will ignore the Posters who Post one long paragraph or use asterixis to spell out profanity.

We have HopefulDave who has blind loyalty and normally I agree with him, but I am not in his knitting circle and all I have seen recently are banishments from their fraternity.

I am gathering Proxy Votes to vote against resolutions 4, 9 and 10. Will I succeed? Probably not. Will the knitters vote? Some will but some will not bother as they are too busy knitting their winter woollies.

When our BoD produce our Audited Annual Results and give us some proper information on our On-line Sales, Our Store Roll-out and our Store Sales then we will have information that should have been issued last Tuesday. It is only then that I will have confidence in our CURRENT BOD but until then I do not as they have not treated their shareholders fairly and I point the figure at Buchanan who must be replaced as they are not working in our interests, in my opinion.

You are correct, Posts are there and then they are not.

I now know that it is LSE South East that is the problem but you are also a little problem.

Some Private Investors think we are AIM and often the good guys on our B.B. put them right and let them know we are Main Market.

But the way our BoD and their incompetent advisors act, you would think we are on the casino of AIM.

Our Corporate Governance leaves a lot to be desired. Having two CEO’s is poor and not conductive to good Corporate Governance.

Our BoD need their wings clipped. When I was a beekeeper, I had to clip the wings after the Queen had been mated so that I was in control and the Queen could not swarm and leave the hive.

Our BoD are our joint CEO’s and Eric Schrader a non-executive Director. There are no independent directors but thankfully we have HopefulDave who we all know is working on our behalf and looking after our interests.

PPS My Post to Turnthecorner has also been removed and that tells me that BoD are not happy with my Posting, pity the AGM is not in London, may have to let Mrs Beekeeper know I may be going to America later this month. It is normal to approve the Accounts at the AGM as that is one of the main purposes of the Annual General Meeting.

Our Directors have said they “It is anticipated that the Company's 2020 Annual Report and Financial Statements will be posted at a later date and a separate General Meeting will be convened to approve the 2020 Annual Report and Financial Statements. A further announcement will be made in due course.”

This covers them and I am sure our Accounts will be audited (eventually) and subsequently approved.

As for our unaudited accounts, I do not think our Directors paid too much attention to them as there is a silly error in them. In my opinion, if they had read them, they would have noticed this error.

PS So what are we paying Buchanan, our Media and Investor Advisors for when we have a silly error in our Un-audited Accounts? Did they not read them, did they have site of them for weeks in advance?

AGM 30th September 2021

I was not going to post again until our Audited Results were published as I was bitterly disappointed with our BoD for releasing unaudited results at 6:25pm which as we all know impacted our share-price. Only our BoD and their advisors know why they did this and as our AGM is not in the UK, I will not be able to berate them in person so I will have to wrap their knuckles in other ways.

Resolutions: There are 8 Ordinary Resolutions and 4 Special Resolutions.

Resolution 4: To re-appoint PKF Littlejohn LLP as the Company’s auditors to hold office from the conclusion of this meeting until the conclusion of the next annual general meeting at which accounts are laid before the Company.

I will be voting 340,500 shares against Resolution 4, because it is unacceptable to not have had our Audited Accounts completed by last month.

Special Resolution 9: To authorise the directors to disapply statutory pre-emption rights pursuant to section 570 of the Companies Act 2006 in respect of shares representing approximately 5% of the issued share capital of the Company.

I will be voting 340,500 shares against Special Resolution 9, because the Company requires 75% of all the votes cast to pass this resolution where they can ignore your shareholder rights (i.e., they can issue shares willy nilly and we have no say)

Special Resolution 10: To authorise the directors to disapply statutory pre-emption rights pursuant to section 570 of the Companies Act 2006 in respect of an additional 5% of the issued share capital of the Company.

I will be voting 340,500 shares against Special Resolution 10 as it makes life a little difficult for the BoD.

Pre Covid-19 I attended as many AGM’s as I could, and I would say that at my first attendance at a new Companies’ AGM I let the BoD know a few home truths.

I do not expect many Private Shareholders to bother to vote and by not voting you are letting your BoD do as they please. What I would say is that the BoD are managing Our Company on Our behalf, it is not their Company (although they think it is) and by not exercising your vote you will be taken for granted.

PS I note that our Website has been updated to reflect that we now have the correct amount of shares in issue displayed for “potential” new investors to see. As for our advisors, they leave me with a poor impression of their communication skills and ability to acknowledge email communication. I would have liked an additional ordinary resolution to re-appoint them as I am confident that I could muster the support to have them removed. (see CLP RNS) I had sufficient proxy votes to defeat the special resolution from about 40 shareholders.

Operational Update

On Tuesday our BoD issued an Operational Update.

Currently we have one shop trading in St Andrews and two new shops will be opening soon, one in Dundee and one in Edinburgh.

When I met the BoD earlier this year, they said that they were optimistic that their own shop would be a template for possible other shops and as this was a new concept in CBD Retailing in the UK the BoD had to “test the market”

As the St Andrews shop is trading well it was only natural that further shops would be considered and to have secured premises for two new shops, I can see a string of Voyager shops over the coming years.

Voyager’s CBD Products are now stocked in over 70 retail stores, and we have recently signed up new partners Loch Leven’s Larder, Glendoick Garden Centre, WCF Pet & Equestrian and Harbro.

When you do the in-depth research that I do you acquire some information that is not commonly known.

Harbro have 21 Country Stores in Scotland and they stock a wide range of pet food. We have previously been informed by our BoD that our Pet Range of products are one of our strongest and on the Harbro website they do a monthly pet offer of about six different products, now when will Voyager’s products be on their monthly offers?
