I know what InterTrader Ltd had originally, when they increased (or decreased) and I know the price on that date. So, I know if they “are in the money” or not.

I know what line of business they are in.

John Story & Spreadex Ltd

From our major shareholders list on our website there are only three major shareholders that could have sold on Friday (if the two large trades were sells) and they are Ox Distribution, Spreadex Ltd and John Story.

Ox Distribution would not sell (in my opinion) as they are closely aligned with the company.

Spreadex Ltd & John Story have been on our shareholder register for a long time and Mr Story will have more information that you, I or HopefulDave have. Spreadex Ltd are working on behalf of Mr Story (in my opinion)

So, I conclude that the 6.9 million and 2 million trades (combined £3.5 million) were buys and John Story is the buyer (possibly along with a financial instrument via Spreadex Ltd)

There are many positives for our company which I have stated previously. If John Story wanted to increase his already substantial shareholding of 8.45% (Excluding any warrants) then the window to increase was before our BoD reveal our Online Sales, Our Store Sales, Our Store Rollout, Our Current Sales from the past 5 months and quarterly updates and projections going forward.

Posters on our B.B. have expressed previously that they had concerns that big tobacco companies would take us over and we would possibly lose out on the potential growth that CHLL is about to achieve but with just four currently disclosed shareholders: Ox Distributing LLC, John Story, Antonio & Trevor, they control currently 26.2% (11.2% 8.45% 3.28% & 3.28%) if you include the 6.9 million “buy” from Friday then that’s another 3.26% making a total of about 29.46% which would mean that we will not succumb to a hostile takeover in the near future.

For the Record there are 212,070,034 shares in issue at present and not 202,074,034 as stated on our website. This is because the subscription for £6 million on the 4th of May 2021 at 60p has not been included.

Pause for thought: Four months ago, Investors were prepared to pay £6 million for 10 million shares and they would (in my opinion) have been provided with “guidance” as to current on-line sales and store sales and roll-out of stores etc. There is a possibility that the £6 million investors in May 2021 have just purchased another £3.5 million worth of shares last Friday and that I am not correct in my view that it was John Story (buying last Friday)

PS Whoever bought on Friday, will look back at the close on Tuesday (assuming our Results are out at 7am and not 4:30pm) and see a £700,000 paper gain on the day. That’s why I said yesterday a “strong buy”.

Morning Roger65, don’t be deceived they were buys.

There will, over the Bank Holiday Weekend, be a few trolls crawling out from under their stones to emphasise that they are not buys, but they will be wrong.

There would have to be a TR1 soon as assuming the two trades are not connected then they account for 3.258% (6,910,310) and 0.943% combined 4.21%.

On our major shareholders list, we only have Spreadex Ltd & John Story who would be capable of divesting 6.9 million.

The trolls will say it must be John Story and / or Spreadex Ltd who have sold, but they work together (in my opinion) and they are not selling.

We do not have long to wait for the information on clarification of sales not only in Stores but also the Online Sales and on Tuesday I believe we will begin to see our shares re-rate and never look back.

PPS I do not often put “An Opinion” but to let the trolls really know what I think I have said a “strong buy” hopefully they will be the ones who will not have a nice Bank Holiday Weekend.

Annual Results What I am looking for.

When we announced our Interim Results to 30th September 2020 we had just transitioned from an Oil & Gas Company to a purely CBD company with the focus on CHILL Alternative Smokes (tobacco-substitute CBD products)

The store roll-out had not begun and we only had limited online sales of CBD products of about £54,000.

I am expecting an update on our Seed testing with GVB Biopharma and hopefully some revenue was generated in the second half from initial sales of seeds.

We were informed that last year there was a 190% uplift in online retail orders of Chill products between September and October 2020. We do not really know how this “190%” uplift will translate into online orders but if we went from say $40,000 in September 2020 then it would be $116,000 in October or if only $20,000 it would be $58,000. So conservatively I have pencilled-in revenue from online sales of about $734,000 to 31/03/21.

We know that there have been physical store rollouts and from our last update (about a month ago) we were in about 2,500 retail outlets (and increasing by in excess of 500 a month) But we do not know how many stores were operational by our year-end (31st March 2021)

What we do know is that the stores are selling our products and I will be looking for an update as to how well they are doing.

We will not take the hit on our balance sheet this financial year from the aborted LDA Capital fiasco. That cost of £1.2 million will fall in-to the 2021-2022 financial year and will be mitigated as we are profitable. See RNS 17/05/21 “Following receipt of the orders outlined above; the Group is trading profitably. Going forward, the Group intends to report on its sales on a quarterly basis”

PS I believe our Co CEO’s have delayed our Annual Results to as late as possible because when they announce them on Tuesday (after the Bank Holiday Monday) they will blow the Market away with outstanding forecasts of what we are about to do to disrupt big tobacco.

Think about this

A consultant to our company provided a service to us but did not get renumerated with cash for this service.

We may never know what service this consultant provided for us but what we do know is that the share-price on the Friday before was 50p and that the consultant received 1.2 million warrants for their services.

We were informed about this on Monday the 1st of June 2021 and the warrants can be exercised at any time over the next three years for 60p (a 20% premium to the closing price on the previous Friday)

So, this consultant did not get paid and if they exercise their warrants, they have to pay us £720,000, now if that does not show you confidence in our Company then you need to CHLL.

Now the consultant must have £720,000 to exercise their warrants and if the share-price was to be 60p then they would have been paid nothing for their services (as they would not exercise their warrants and they would expire) but if the share-price is north of 60p then how much would it have to be before it was in the consultant’s best interest to exercise their warrants?

I do not believe it will be anything like 3 years, more likely within the next 12 months and at a substantial premium.

I have calculated our current investments at about £6 million in the previous post (excluding the recent $2.5 million investment in Mustang Energy and cash in Bank of £1.2 million)

I have used conversion rates of $1:30 = £1 and A$1.91 = £1 but that was not the conversion rates when we bought these assets.

Our BoD along with the Company Secretary own almost 31 million shares or 22% so you know it makes sense to pay dividends and or buy-back shares.

Today’s RNS tidies up our share capital.

This will enable the possibility to pay dividends in the future if the BoD think they should.

Also permits the BoD to buy-back our shares (only have just under 140 million)

There are two special resolutions.

Resolution 1 Part 1-4 & Resolution 2

I have voted for all Resolutions and given my Proxy Vote to the Chairman of the Meeting which is being held on 8th September 2021.

At a share-price of 4p we have a Market Capt of about £5.6 million.

If you are up-to-speed you will know that our investments are worth about £6 million but that does not include any cash in the Bank or our recent investment in Mustang Energy Plc of $2.5 million. I estimate our cash at the Bank is about £1.2 million.

This would mean our total assets are about £9.2 million (end of last year about £9.4 million)

Note we are not burning anything like the cash we were will the bloated previous BoD.

I know from our conversation this afternoon (On WhatsApp) you meant to post your message on the other B.B. (the Italian Company) but I thought I would respond so that my position is clear to current shareholders.

I did fully sell-out before suspension. I tidied up four family SIPPs and disposed of anything (including dividend shares) if I did not think they would achieve a minimum of 100% within 12 months.

Over the past year I have withdrawn £69,000 from my SIPP and Mrs. Beekeepers SIPP (had an expensive wedding to pay for last month) and I am now at a position in life where I do not need to access funds from our SIPPs, and I can leave them to mature.

I correctly predicted that PATH would do an RTO (and I told several trusted friends about my thoughts on the prospects for PATH) but what I did not predict was that they would RTO at about 130% premium to the current share price.

I do not like being in a suspended share as I prefer to make my money work for me, but I was wrong-footed at the premium of the RTO.

I do hope the RTO is successful, I did a lot of research on Path Investments Plc and even met one of the Directors.

Update

I had an almost instantaneous response from our Financial PR advisory firm, Tim, after I had emailed him this morning and he assured me that Path only received the TR1 yesterday just after 6pm and issued it as soon as possible (the next day)

As we now have a replacement RNS stating that the threshold was crossed in August and not July, then I unreservedly withdraw my complaint against Path Investment Plc.

As for Monecor (London) Ltd I will continue to correspond with the FCA to ensure that they adhere to the FCA’s Handbook Rules and issue the TR1 within the rules (they did not in my opinion)

FCA Complaints

I have made formal complaints to the FCA about Monecor (London) Ltd and Path Investments Plc.

Monecor (London) Ltd crossed a notifiable percentage threshold on the 12th of July 2021 and only informed Path Investments on the 17th of July 2021 which in my opinion is a breach of the FCA’s Handbook Rules.

Path Investments Plc receive the TR1 details on the 17th of July 2021 and only issued the RNS giving the Market the details of the change in the percentage threshold change one month later (today 18th August 2021) which in my opinion is a breach of the FCA’s Handbook Rules.

I have also made a formal complaint to Path Investments Plc via their Financial PR advisory firm.

We are here today because of the Tolls. Our Dragons’ Den Pitch is not your normal pitch.

We are not looking for £35 million (which we have been offered and accepted but returned the money along with £1.2 million and told them to bugger off)

We are looking for only £6 million and the percentage we will accept is entirely up to you. That is because we are now profitable and do not require £35 million.

We are a CBD Company with an alternative to cigarettes. We call these Chill smokes & chewables. We also have our Zoetics range of products, such as cosmetics, creams, oils and gummies and many more.

Our CHILL Smokes have no tobacco or nicotine and are an alternative to standard cigarettes.

Question: Why did you return the £35 million? Well on reflection our Finance guy messed up. We had to commit to taking £15 million in the first year and the deal seemed to us (in hindsight) a death spiral convertible loan note. As we were not the financial experts, we trusted our Chief Financial Officer to get us a good deal and he messed-up big time, so we booted him out.

Question: You say you are in 2,500 stores; how long did that take you to roll-out? About 4 months we originally were aiming for 3,500 but we decided to get some feedback from the 500+ stores we are in Florida so that we can scale up big-time.

Question: So, did you roll-out to 625 stores each month? Yes. In the UK if we were to roll-out like we have done in America then we could cover all 603 Asda stores in just under 1 month, Morrison’s 542 Stores a little under 1 month, Sainsbury’s 1,415 stores just over 2 months, Tesco’s 3,443 stores would take a little longer about 5.5 months and then there is the Co-op’s 4,022 Stores it would take about 6.5 months. That is assuming we do not ramp-up the roll-out. But with the stores already mentioned about 16 months to roll-out to 10,025 stores.

Question: Do you have an online platform? Yes. That is going well. We have the world-wide web domain CHILL.COM to facilitate our growing sales there.

Question: How much do you guys own? We each have 6.95 million, recently bought 500K @ 39p

Question: Why did you pay a consultant recently in Warrants? To conserve cash and the 1.2 million warrants were at 60p (hint domain name)

We did say at the beginning of our pitch it was not a normal pitch and do you know what? We are going to let you get as large a percentage as you want for whatever you are prepared to invest, just buy in The Market.

Making Progress

I received a further email from Spreadex Ltd and for the third time they asked for my account details and said they would call me to so that they could “progress matters”

I then received a phone call a few minutes later.

I believe I am making progress with my complaint as Spreadex Ltd are now aware that in my opinion they are not adhering to the FCA’s Handbook.

I have also advised Spreadex Ltd that I was advised by the FCA that I had the option to complain directly to them. (I only complained after they breached the rules a second time, most recently on the 23rd of July 2021 and only advised us on the 30th of July 2021)

I said to my contact that my complaint can be concluded fully to my satisfaction if they will agree to adhering to the FCA’s Handbook.

If any Posters are aware of any other shares where a TR1 Holder has not adhered to the TR1 Rules, can they please let me know?

Further Update

I had another email from Spreadex Ltd this morning and again they are asking me for my account number with them and my email address associated with “my account”.

I have said to them that to resolve my complaint all they have to do is to confirm to me that they will adhere to the FCA’s Handbook Rules.

I have provided them with my mobile number and have said that if they cannot adhere to the FCA’s Handbook Rules then I will complain (again) to the FCA.

Update

Spreadex Ltd are in my opinion lacking in their compliance department.

They think that I must have an account with them to make a formal complaint and as I do not have an account, they are trying to dismiss my complaint.

Spreadex Ltd have failed to understand that they must adhere to the FCA’s Handbook and inform the Market within the guidelines when they cross a percentage threshold.

I have emailed Spreadex Ltd, attempting to enlighten them but I have also copied the FCA Consumer Contact Centre so that the FCA are aware that in my opinion the Compliance Department at Spreadex Ltd need some “guidance”.

Our Share Registers Ltd receive a list of all our shareholders. They will be aware of the major shareholders. It is not their responsibility to contact a shareholder if they cross a percentage shareholding, the onus is on the shareholder. Hopefully our Share Registers Ltd are keeping an eye on our major shareholders and discreetly let them know if they have been lackadaisical in informing the Market.

Spreadex Ltd Formal Complaint

I had an interesting phone call late yesterday afternoon from the FCA.

I spoke for about 15 minutes with the person that was dealing with my “complaint”.

At present there is no way of knowing what sanctions (if any) will be taken against Spreadex Ltd.

After my phone call with the FCA yesterday I took note of what was said and what options were available to me, and I decided to make a formal complaint directly to Spreadex Ltd.

I have complained about the late TR1 when they crossed a percentage threshold on the 19th of May 2021 and only informed us on the 28th of May 2021 and I also complained about the recent TR1 when they crossed a percentage threshold on the 23rd of July 2021 and only informed us one week later.
