Sub Total of above three 37,462,500

So, the balance of “For” votes were about 2,655,381 and the bulk of them came from HapplessDave.

When you look at “Ordinary” Shareholders then we have only 2,655,381 “For” and 1,025,587 “Against” but HapplessDave is in a few groups but very few bothered to vote.

John Story did not vote! (Neither did Spreadex Ltd or Intertrader) why?

What the voting tally tells me is that most “Ordinary” shareholders can’t be bothered to vote and that tells me that the BoD will be aware that Shareholders can cause them a little irritation and I am sure they would prefer to be on amicable terms with all shareholders.

HopefulDave (note I have reverted to your nom de plume) I made my point to the BoD and Buchanan and I remain confident the BoD will deliver and will improve their shareholder communication and place more information on our website.

My relationship deteriorated very quickly with Buchanan and I thought it had recovered this week but when I was assured of something and then find out that they are on Annual Leave then it just says to me to “get lost”.

I know you are positive for the Company and so am I but I am not happy with various things and I feel that Buchan are not doing what they are paid to do.

On the AGM Resolutions, on average there were 561,000 votes against most resolutions and 1,957,350 against Re-appointing the Auditors.

My goal is to have 2 million or more votes against all three Resolutions (small in comparison to our 212 million shares) but until our BoD and Advisors (so called in name only) begin making available the AGM Video, The Strategic Advisors video and our Sales & Store Roll-out, I will use whatever tools that are available to make my point.

HopefulDave, you obviously have the BoD’s ear and have their confidence.

As for Barn06048847 you may have to visit an Optician if your eyes are rolling as I doubt you have every voted. To make my 340,000 shares seem insignificant tells me that you are (you fill in the blanks if you are able to, like your voting I doubt you can)

AGM & GM

There is a GM on 26th October 2021 (Virtual GM) and there are three Ordinary Resolutions.

I am irritated (actually more than irritated) that I was prevented from ‘being’ at the Virtual AGM last month and that there has been no video presentation of the AGM available on our Chill Brands Group Plc website.

There is a video copy of the AGM available but for whatever reason it is not being made freely available for existing shareholders or for potential future shareholders.

Our “Advisors” (debatable in my opinion they are advisors) Buchanan have said after I have provided them with a letter from HL and Buchanan have then passed the letter to our Share Registrars and they can verify my holding within the HL Nominee Account, I will be given “a personal copy of the AGM Video”.

I am at a loss as to why Buchanan require me to jump through hoops to access the AGM Video.

HL will not issue me with a letter, but they have assured me they will provide me with log-in details for the forthcoming GM.

As I will not have had access to the AGM Video, I will not know if my questions (or similar generic questions) were asked last month. So, I will ask them again and one or two more.

My contact at Buchanan has gone on Annual Leave (only has limited access to their emails) and this creates an issue for me as I have no guarantee that they would be able to do for me what they said they would.

I have canvassed a few friends and told them that I am voting against the three Ordinary Resolutions and some of my friends will most likely vote like myself.

You may think there is no point in voting and more to the point voting against Resolutions, but when we have an Advisor who in my opinion is not working for all STAKEHOLDERS, I feel I must make a point.

Our joint CEO’s Trevor & Antonio do not provide contact phone numbers (they did previously but those ones do not work now)

I am still smarting from when our new Strategic Advisor was announced last month but they did not say within the RNS communication why they were excited to be our “Strategic Advisors”. We did have a little video link posted which was excellent, but why is this video not on our website?

FCA TR1 Complaint

For about four months I have been “campaigning” for Companies to issue TR1’s within the FCA’s Handbook Rules.

I had several conversations with various senior personnel in Spreadex and as I have posted recently Spreadex dismissed my complaint because I was not a client.

Whenever a Company issues a TR1, where I own shares in, if they are late, I email them and let them know that they have not adhered to the FCA’s Handbook Rules.

I have spoken to various CEO’s & CFO’s and Nomads & Company Secretaries and I believe that they are getting the message.

There was one Company who said that the month was incorrect from the Client who had crossed the threshold and that they had issued the TR1 the next day and were adamant that they (the Company) were not at fault. I had already pointed out to them a previous transgression, so they were trying to do the correct thing by issuing the TR1 ASP.

What this all amounts to is that most Companies & their Advisors have in the past paid scant attention to their TR1 Communication and don’t take the time to read the content and verify the dates the Client has entered.

So, what I did was I made a complaint against the FCA.

“You believe ‘alleged’ misconduct has occurred, but the FCA are not able to ensure that when firms cross a notifiable threshold they issue their TR1 notification within the FCA's Handbook Rules. The remedy you are seeking is for the FCA to prove to you that they are taking action that results in firms adhering to the FCA's Handbook Rules.”

It is now seven weeks since my complaint to the FCA and I am not expecting another update till about Guy Fawkes Day.

PS Information is key when you are investing in shares, and if a large shareholder is increasing or decreasing, they are supposed to issue a TR1 within two days. If you are invested in a Company and they issue a TR1 late then if you do not make your voice heard they will continue to exploit you.

TR1 Updates

I have managed to avoid social media for 11 days. The goal was a whole month to avoid Twitter & LSE South East but spoke to a CEO this morning and had to post on my other CBD Company and then a good friend asked me to look at J Story & Spreadex holdings.

I have not read our CHLL B.B. for the past 10 or 11 days and I have only read todays B.B. posts so apologies if anything I write has been previously posted (not going back to read as I would expect to see a few green trolls)

My records indicate that Spreadex have reduced by 6,195,000 as I had taken note from the Chill Brand website that they previously had 20,961,773 and currently on the website they have 14,766,773.

I know that there was a TR1 issued on the 7th of October 2021 where Spreadex said they had 17,266,773 but as I had not updated my records I had to go on the previous figure of 20,961,773 which was issued under our old ticker ZOE on the 30th July 2021 which I complained to the FCA about because Spreadex were late with their notification.

Ox Distribution LLC have reduced recently by 187,500.

I have had communication from the FCA about my complaint(s) about various Companies not adhering to the FCA’s Handbook Rules and although Spreadex have not entertained my complaint (as I am not a client of theirs) the FCA have given me 2 updates and are still investigating.

I cannot say that because I have complained about late TR1’s that Spreadex are now informing the Market within the FCA’s Handbook Rules but from what I have seen over the past few months many Companies are updating the Market in a timely manner.

Positive Trading Update

Today we had a positive trading update from Nick.

Cash in hand £1.8 million.
Stock in-hand £80K (at cost)
Monthly running costs are about 50K.
St Andrews Shop trading well.
Edinburgh Shop opening later this month.
Dundee Shop opening late November.
Voyager has attended various Trade Fairs in England & Scotland.
Next Trade Fair is at the Excel Centre in London this Sunday & Monday.

From January 2022, our products are going to be on one of the largest online platforms, CLF.

CLF stock over 11,000 products like, Sports Nutrition, Vitamins Minerals & Supplements, Health Food & Drinks & Personal Care.

I have no doubt that our New Director, Nikki Cooper, appointed in June was instrumental securing the CLF account.

Our interim results for the period ended 30 September 2021 are expected during the second half of November 2021. This is something that is welcomed by me.

Often with small market companies (we will not always be in that category) their Interim Results take substantially longer to be published, but with Voyager Life they are aiming to provide their shareholders (and The Market) with information in a timely manner.

Hopefully, HL and other Brokers will improve their online dealing platforms to enable potential investors to access the growing CBD business that Voyager CBD are in.

AGM Tomorrow

I am expecting an RNS tomorrow, prior to the AGM at 4pm.

I am optimistic that the RNS will say something like “at the AGM, the Directors will read a statement that will update shareholders on, Store Rollouts, Orders and ……”

I believe it will be a positive statement which will enable, once and for all pour weed killer over the ‘Greens’

Hindsight

I obviously can’t see what the greens are saying or sprouting (there are three lines at present, but I assume more will grow with the amount of manure they generate, from them throughout the day)

With hindsight, I believe the BoD made an error of judgement by producing unaudited Results last month.

In my opinion they should have been cautioned by “Buchanan” of the consequences of doing what they did. They could have just informed the owners of the Company (our shareholders) that the “Audited Results will be issued in due course, and we apologise for the delay”.

I have only read the Audited Accounts once and I am happy with their content and presentation.

If we had not had the Unaudited Results, I would not have voted against three Resolutions, but I have, as I wanted to make it crystal clear to Trevor, Antonio, Eric & Buchanan my displeasure for “the shambles”

The Audited Accounts are an improvement on the unaudited Results (not going to emphasize the improvement as “the Greens” will jump on anything that they perceive as negative or can present to the uneducated as negative)

There are clues within the Audited Results of the trajectory we are embarking on and apologies if the following have already been Posted.

Full Marks to HL

I have had confirmation from Hargreaves Lansdown that my questions “have been passed onto the company in advance of the meeting.”

I do not know what sort of questions other shareholders will have put forward to “Buchanan” but from a straw poll of a few trusted shareholders there will be probing questions that we all would like the CEOs to answer (and address)

I will be posting a follow-up to one of my questions either tomorrow after the close or before 7am on Thursday.

The reason why I will be posting is because I have an opinion as to why our PR have not been firing on all cylinders.

Buchanan

Not impressed by their communications.

Before I posted my AGM Questions on our B.B. I emailed Buchanan out of courtesy and as a precaution just in case HL fail (for whatever reason) to forward my questions.

I had an email from Buchanan to say that I need a letter from HL on headed paper, confirming my shareholding and my shareholding has been confirmed by the Share Registrar before they can submit my questions.

In July 2017 when I went to an AGM where I had about 40 shareholders proxy votes, the Share Registrar did everything they could to invalidate as many proxy votes.

If there was not an embossed seal, it was rejected.
If it was B&W they said it was a photocopy and it was rejected.
If the name on the share register did not match exactly the name on the proxy form it was rejected.

If my questions or similar generic questions are not asked at the AGM then I will endeavour to Buchanan replaced as one of our advisors as they are not in my opinion acting within the spirt of the rules & regulations and are not serving all stakeholders.

AGM Questions

Chill Brands AGM Questions.

Any questions for the AGM must be submitted by 4pm tomorrow, Tuesday 28th September 2021.

Q 1 The LDA Capital Finance agreement dated 9th March 2021 was terminated with a settlement agreement dated 4th May 2021 and on the 31st of August 2021 in our Unaudited Results under note 3 “Other Expense” there is a charge of £1.2 million for terminating this agreement, why, if the agreement was terminated on the 4th of May 2021 is this £1.2 million expense included in the year ending 31st March 2021? Should this expense not be included in the Interim Results for the six months end 30th September 2021?

Q 2 Does the BoD believe in hindsight that by including this £1.2 million expense in the Unaudited Results that it was unwise and incorrect to do this?

Q 3 You issued a shareholder communication on the 22nd of September 2021 regarding the appointment of Strategic Advisors in August 2021 but only advised shareholders of this significant and welcoming event over 3 weeks later. Should the BoD not have informed sooner? This appointment I believe will greatly assist our Company and news either good or not so good should be communicated in a timely manner. Does the BoD agree with my last statement?

Q 4 Does the BoD realise when a significant announcement, especially about the appointment of Strategic Advisors, is communicated, that PR should be deployed? Why did neither of the two Strategic Advisors not say anything about why they were excited to be joining Chill Brands Group?

Q 5 I have been a shareholder for exactly 5 years now and over the past two months I am perceiving that the BoD are not communicating as positively as they could be. Are the BoD happy with the communications that were issued recently and with the services of our partner “Buchanan”?

I have emailed my questions to HL (as they will not issue me with an Investor Code) and “Buchanan” just in case HL miss the deadline.

Pressure Required

Hello InvestingGenius, you are correct with our Market Capt. of about £2.5 million as we have 9,252,920 shares in issue.

The question is, how can we achieve “some volume”?

I have spoken to Nick & Eric about the lack of liquidity on the Aquis Exchange.

My Broker is Hargreaves Lansdown and I have corresponded with them several times this month and have also tweeted whenever I can about the poor service Hargreaves Lansdown offer.

I am not able to purchase VOY.PL within my SIPP. I could buy within an ISA but not online only telephone dealing.

Normally if I am buying a VCT type of share in my SIPP it is often (maybe always) executed via a telephone call, and I tend to pay the £50 maximum price but if it were to be a small amount of shares it could be £20 for the telephone deal.

Hargreaves Lansdown, say they will consider moving VOY.PL onto their platform if they receive more requests.

If anyone perusing our B.B. are with Hargreaves Lansdown, then you may want to request them to include VOY.PL on their online platform.

I know, recently there have been some comparisons made with TAAT & CHLL.

If you look at the Taat website, on the top right-hand corner and click on their press releases under “News” then you will get a flavour of how they have progressed over the past ten months.

Taat’s press releases go back to November 2020 when they only began producing but were not selling.

The press release dated 6th of August 2021 said, “following these purchase orders, the total count of U.S. retailers carrying TAAT™ has grown to approximately 500 points of sale, reflecting significant short-term growth compared to approximately 300 points of sale on record as of mid-July 2021.”

So Chill, one week earlier than when Taat announced 500 points of sale, we announced in our RNS dated 29th July 2021 “Chill products stocked in approximately 2,500 multi-state retail outlets.”

If you were to read all the press releases of Taat and then just read 2 or 3 RNS’s of Chill, I think you may have an inkling as to why our BoD are delaying to as late as possible information that will be game changing for our Company.

Cop26 Glasgow

When Cop26 is held later this year in Glasgow there will most likely be the usual nutters “protesting” but it will make no difference to the billionaires who are attending (there are a few billionaires attending)

These nutters who are “protesting” on our B.B. are also making no difference. We have lost some excellent posts from Bluerill this morning (and over the weekend) and for the past week I have seen lots of green lines. I only have 2 nutters filtered here and the amount of green over the past week could have covered the Centre Court at Wimbleton.

Fresho Update

As we were informed by PrimForAll yesterday that we have 3,415,723 shares in Fresho @ AU$0.60 this values our investment at about £1,084,357.

This alters my calculations to the value of Fresho shares and increases it from £825,100 to £1,084,357 which is an increase of about £259,257.

The total increase in the valuations of Zuuse & Fresho is about £684,615 (£425,358 + £259,257) from my 20th of August calculations.

Zuuse Update

Yesterday I used 86c as the price of our shares but as we exercised our warrants, and the most recent funding round was at AU$1.

This alters my calculations to value our Zuuse shares at about £1,621,724 which you will note is a nice healthy increase of about £425,358 from my August 20th calculation.

We have 3,065,058 shares in Zuuse and I took the price of the last funding round of AU$0.86 as the price of our shares.

3,065,058 * 0.86 = 2,635,950
Using the exchange rate of £1 = AU$1.89 =
2,635,950 / 1.89 = £1,394,683

Our website has detailed information on all our investments, with exact figures of price paid and when. There is a clear record of when an investment was purchased and at what price.

I have relatives in Australia. My nephew is a professor at a University in Melbourne and my niece is a Lawyer in Canberra and they both know of Zuuse (and actually use the products of Fresho and have converted my brother & his wife to Fresho’s deliver service which they inform me has been a lifesaver under the numerous lockdowns)
