I am not concerned that the share-price has retracted a little as it allowed me to top-up and now I have over 250,000 with an average of under 27p.
I do not post as often now as I appear to have a few trolls stocking me.
I am a numbers person and crunch numbers all the time and our ZOE numbers (when they are revealed) will be interesting crunching them as I still believe we will be the next Fevetree.
Normally I do not like convertible loan notes, but ZOE do require capital to fund their ambitions and I keep a daily record of how many shares would have to be issued at any date if the first £15 million is converted.
On the 9th of March 2021 (date of the Funding agreement) our share price closed at £1.015p -£1.04p and for ease of calculation lets say the price was £1. For any normal placing it would be at a discount and for this calculation I will use 10% discount. This would imply to receive gross funds of £15 million ZOE would have to issue about 16.666 million shares.
The way the Financing agreement is structured is that as at yesterday’s closing price of 63p – 64p would give a ten-day average of about 81p and with them only having to pay 90% of the price it would be about 73p and for the £15 million drawdown they would receive about 20,579,519 shares.
On the above calculations because ZOE did not do a placing in March for 16,666,666 as at yesterday, they would have had to issue an extra 3,912,853 shares (it the £15 million was converted)
What may have been overlooked by some is that with ZOE having access to the £15 million over 6 weeks ago they have been able to accelerate their ambitions, and this could actually increase the share price (because of the faster roll-out) which will happen, in my opinion and as such result in less shares being issued that the 20 million + above.
