Part 2

Now if you re-read the RNS 20/07/18 you will see that the Court in the Mediapolis Land Auction appointed a surveyor who then went on to value the Land at €3.86 million but due to an interpretation of the Rules & Regulations (now do you see why I posted about my client & HMR&C?) the auctioneer fixed the base cost at €2.68 million even though Clear Leisure had a first charge over the Land and had a secured creditor position for €8.21 million.

Basically, the surveyor was a civil servant appointed by the court, but the Auctioneer came from the Corleone Family (so I was told tongue in cheek) I spend a lot of time behind the scenes investigating if there was corruption with the Auction, but an Ice-cream van seller informed me forcibly that it was all legit.

So the end game. The Court appointed expert in my humble opinion will have prepared a report that says we were deprived of not only the money and shares we paid to secure the assets but the revenues for about 5 or 6 years. This Court Expert is a civil servant and must assess the impact of the 12 people in the Dock. The Sipiem Expert must present their perceived losses and the two Insurance Experts must try to mitigate their potential losses for the fraudulent behaviour of the 12 in the dock.

I do not think it would take the Judge long to deliberate over the four reports, I believe we will win and win handsomely.

Decision Time

Part 1

So, you now have some additional information to process on the Trades and especially the larger trades. If you had been keeping a running tally you may have had even more information on the larger trades. Obviously, some of the larger trades will be buys and some could be sells, we will never really know, but the MM know.

Now we need to turn to the main event that may explain the larger trades, their value and why.

We know the Venice High Court meeting is tomorrow. We do not know if a judgment will be handed down tomorrow or if we will be informed as to when a judgement will be pronounced, but do we have information freely available that may give us an inkling as to how this judgement will go? I think we do.

We know that the Judge has requested three expert’s reports. One each from the Insurance Companies and one from Sipiem.

Francesco to all intents and purposes is Sipiem as Clear Leisure 2017 bought the Claim for I believe €50,000.

What almost ever Poster (but not MM) have overlooked is that our legal costs are capped, capped at €20,000.

Take a step back and think why that it is only €20,000 and then think of the 113 million placing and John Story £1 million placing and then the final piece you have all overlooked.

You need to understand how the Italian Legal system works. My daughter may be a lawyer, but I think I know more than her about Italian law than she knows about the Scottish Legal System and I paid for her 7 years at University.

Firstly, it is not three experts it is four. Two for the insurance companies, one for Sipiem and ONE APPOINTED BY THE COURT.

To be crystal clear all my 46 limit orders with volume beginning at 21,000 and decreasing to 12,000 would only be about 711,000 and as I have said it goes up to 9p and it is in equal increments so even the trolls should be able to work out where it starts, each point it is and could if they put their mind to it work out when it decreases as follows: 21,000 17,000 16,000 15,000 13,000 12,000.

I was a boy scout, so my word is my bond. You can exit whenever you feel you have had sufficient cake but maybe wait for the post headed “Decision Time” which is in the oven (almost)

Information is Key

I think if you want a piece of the cake you need some information. If you have an allergy then you would want to know If the cake had nuts, or eggs or whatever but you do need correct information.

Buying shares is easy, making money from your shares is harder. If LSE provide you with at best limited information and at worse information withheld to encourage you to buy or sell to early or too late then you are at a disadvantage.

I am just an old, retired beekeeper who posts because I can, but I attempt to inform and let you make your own decisions.

We all know at times the trades do not reconcile. Some say MM are acquiring and others say they are loading-up. All MM are doing is creating a market. They need equal volume on both buys and sells.

If you only have limited information (for free, but we know it is not free) then you are being what I do when I withdraw the cork from my chianti.

I did not spend anything like I normally do yesterday evening analysing the trades, but I will summarise what I found, but it is not complete it is a lot worse)

LSE provided information after the close, but I captured it at about 7:30pm and it is present in this format:

So the above alludes to total trades of 927, Total Volume 39.6 million Value of Trades £1.5 million.

This is what is there for “free” obviously L2 posters have further information.

On the Main LSE website, I captured the days data, download it and sort and analyse it.

What this “free” data showed was

Volume 84.4 million
Value £3.4 million.

Recap: I had sight of 301 more trades, the volume was 44.8 million more and the value was £1.9 million more.

But it does not end there the “free” information. LSE South East likes to let some know there are late trades from a previous day and yesterday they listed 35 delayed trades for 41 million and value was £1.5 million. That equates to an average delayed trade of about £43,293. The range was £124,000 to £21,500.

My information is freely provided, it is to assist you to make your own decision.

I am not aware of the covid travel restrictions in Northern Italy.

When I was a Financial Advisor, I had to assist clients with some delicate matters with their Tax Affairs and if I took on a client I always said I would do nothing illegal but I would point out that Rules & Regulations can / are only guidelines and it is how you interpret these R&R.

Examples say a self-employed person was being investigated because they had claimed a substantial tax allowance for say extremely cosmetic dentistry work. HMR&C take exception and want their slice of the cake.

Now what would happen if a rule could be found or utilized that said this expensive cosmetic dentistry work was essential to increase their earnings? I proved that with several missing front teeth my client could not achieve their full earing capability with this drawback. After this expensive treatment their earnings increased four-fold and by default the taxman got a bigger slice of the cake but if cosmetic work had not been carried out then they would probably have received a smaller piece of the cake.

I classified this expense, and it was permitted. This is a true story.

Going back to Venice. I have truly little experience of any “Embargos” I first came across then when I worked at a Large Scottish Bank, I have seen then more recently.

I am very tired, do not know if I am able to post about the missing trades. I did have a long day yesterday.

First I don't know if you are male or female as LickLibby is imparting some personal information so hopefully I have not offended any ladies with any of my posts and I do try not to pigeon-hole anyone.

I don't then anyone watched the videos yesterday.

Abby Video Its a rich mans world maybe I could have found a gender neutral video to send the subliminal message but as I knew the song it was a quick way to ram home the message.

Now the other video about the Lunatic Asylum that in hindsight I would have happily paid £10,000 to commission. It had everything I wanted to say.

I could not possibly comment on “speculation” nobody takes any notice of B.B. do they? They are there for bit of fun and to rubbish anything that may result in increasing shareholders wealth as it is only Market Makers are permitted to increase their wealth.

But what I am permitted to say because I am saying it, the Market Makers are not as clever as they think, and I have been poking them whenever I can.

Last Chance LtdAxis

I believe there is not much time left for one final chance for you to get a piece of the cake.

For the record I have never met or spoken to LtdAxis all interactions have been on this B.B. He is one of the good guys and although at times we have been irritated (hopefully not too strong a word) of his hot then cold posts, he has called it correctly more than me.

Now posters whom I have met (including BoD PR & other professionals) will hopefully have over the years been aware of my honesty so note the following.

LTH will recall when I went to Italy to check out the Waterpark and the Land that my wife and I were “lost” and could not locate the exact spot of the Land. We stopped for a coffee in a café, talked to the young waitress and through google translator we establish where the Land was located and what building a Theme Park on the Land would mean for her and the local community (high employment and what few jobs were available were not well paid)

That young waitress is not so young now. What I can tell you is that she has had I think three trips to Milan and two trips to Venice and one or two other trips to wherever at my behest. For moral (if that is the correct phrase) purposes all trips were only for expenses incurred and no other inducements were offered. Although being the kind beekeeper I am I agreed not to question any of the expenses, all I needed to know was the final account. Any expenses were paid from my wife’s account so as not have any repercussions for a young female in later life where someone may question why there were money transfers from an old beekeeper in Scotland. I have said on many occasions I keep an audit trail of certain things as a result of my Auditor training.

I had a long day yesterday and attempted to go to bed at 8pm but it was after 9pm and I did not play chess as I was too tired.
I think many on B.B’s do not understand the true purpose of them.

Later this morning I will Post something about the miss-information supplied “for free” by LSE South East.

We all use the B.B. for our own purposes: to gain an understanding of a share, to garner others thoughts and to ask questions and gain an understanding about our Company and possibly what certain events (past & present) can do to our share-price.

We all have our views on top-slicing and my view is that if it is carried out logically you may achieve a higher average price than if you had just sold your entire holding when you believe you have called the peak. There are some on our B.B. who are vocal about not top-slicing and demanding that you hold but, in my opinion, they are hypocrites, and they are the ones who dump.

The Market Maker’s job is to make a Market and for that to happen they require Buyers & Sellers. Too many sellers then price goes down (to encourage you to sell or to panic) Too many buyers then the price goes up. (On reading this I do not know if I have articulated it correctly to what I am trying to convey)

Market Maker’s need the Herd. The Herd arrive by several means, sometimes because they see a share on the Leaders Board or because they have read something on a B.B. If a Poster Posts in a certain style that attracts “The Herd” then that could be to everyone’s advantage. If they Post in a negative style, then that could be to everyone’s disadvantage. Ideally we would I think prefer to have the Posting in a style that we are all advantaged but B.B’s by their nature attract predators and undesirables and sometimes with their posting the positivity can be overlooked or obscured.

Hopefully, this post is not removed but certain Ice-Cream van vendors who attempted to intimidate me on the evening of the 2018 AGM, the morning of the AGM and for a period post AGM should have realised that I go to bed each evening and do not care if I do not wake-up, because I know that when I am hit by the bus my family will be financially secure.

The above total of shares, ignoring the warrants and bond conversion have been rounded down but excluding RKBeekeeper it comes to 537 million. Think about that. That is 537 million shares in very sticky hands. Who is going to make money this week and why is RKBeekeeper only drip-feeding tiny amounts? Is it so that he is aligned with the 5375 million above? Do the good guys get their rewards for their honesty?

Transformational Week Ahead

Part 2

From my forensic analysis of the Sipiem SpA accounts (which were never furnished to Clear Leisure) but at my own expense through unconnected professionals to any current or past directors, employees or corporate bodies associated with Clear Leisure, I can say 100% that we were well and truly deprived illegally of £10’s of millions.

I am on record about my visit to Ondaland and the Mediapolis Land (the Land with the corn) but what I have not disclosed to anyone is that I spent a lot more time in Italy talking to how can I describe them…. Ah in Glasgow if in the 1980’s you were associated with certain ice-cream van vendors then your life expectancy would be nothing like what we have always been told was a reasonable expectation for a healthy individual (three score years and ten)

I have put many hours into my investment in Clear Leisure and one or two trolls have said what trolls say but I know that my rewards have been hard earned and I believe justified.

I have 47 limit orders in from about 4.5p to 9p all tiny amounts beginning at 21,000 and decreasing to 12,000. I will not have divested all my shares if (when) 9p has been achieved.

Transformational Week Ahead

Part 1

I believe this will be a transformatio55nal week for Clear Leisure. With everything that I have researched over the past six years in particular our investment in Sipiem SpA it will hopefully be drawing to a successful conclusion later in the week.

If you had chronologically followed the money with how past and present directors had invested (or had been involved in) Mediapolis, the interrelationship between the shareholdings within not only Mediapolis, but Sipiem SpA and TLT SpA (Ondaland the Waterpark)

If you understood how much actual cash and shares were handed over so that Clear Leisure would have been the rightful owner of Ondaland then you would understand why Francesco returned to take charge of Clear Leisure when transfer of Ownership was never finalised.

You then have to understand that many impediments were put in front of Francesco in the attempt to keep Ondaland and its £1.2 million annual profits (since 2015) from ever being handed over to Clear Leisure.

Now some could say that Sipiem SpA was deliberately “bled dry” to bankrupt it but I could not possibly say that except that Sipiem SpA was made bankrupt a few years ago.

PS Apologies for the error last night. I have so many figures at present like 6p 7p 8p 9p whatever pence when I stated there were 776 million shares in issue. I had taken that from the AIM Rule 26 from our website which conveniently was updated on the 12th of February with the shares “known about” from the 11th February. How convenient to not update AIM Rule 26 with the John Story shares & Francesco salary sacrifice for the past two years.

PPS It just goes to show that although I take great care to provide accurate information and I made a little “error”. So get the calculator out for the cake. Look at the 111,333,333 placing on the 11th February, look at the Bank of New York holding and you will see they have more than 113 million. They did not get all of the 113 million. That cake was shared. Now if you display a cake with a piece missing all you do is turn the bit with the missing piece away from the window so you believe you are seeing a complete cake. Then re-read and re-read what I did not say for how many weeks.

When I finally managed to become an IFA in September 2007, I was self-employed and 99% of my business was Mortgages.

If you were my first mortgage client and knew that, would you be concerned? I personally would not like to be the first in anything that involves my finances and certainly not be the first patient getting a heart transplant by a surgeon who although would be more than qualified but had never done a heart transplant.

My first mortgage clients were a young couple, and they were expecting their first child, so they had to move from a small flat to a detached house with a large garden. I had spent many years acquiring many qualifications which I had to do while in fulltime employment.

There was a problem with Mr Client’s credit history. I only found this out when they were declined for a Mortgage in Principal and I then requested access to his (& hers) credit files. Mr had been naughty in his student days and skipped off with the other three flat mate’s electricity money and not paid the final account, and this was an impediment to being granted a mortgage.

I had to find a solution and with a larger deposit Mrs client could afford the mortgage on her own. I arranged a mortgage that was 0.1% over BOE Base Rate (or something like that with Barclays) for my clients they never knew they were my first mortgage customer, but they got a good deal and if they have retained their mortgage then they will be sitting pretty. (Note Retained)

Now if I did not have the knowledge through studying, researching & acquiring my financial qualifications my clients may never have managed to buy their detached house.

Francesco has the knowledge, academic qualifications, published author & business experience from growing small companies to large companies. Through CLP we have had what I would say a little credit file blip (like the client who ran off with the electricity money) but the credit file is about to be sorted imminently and the BitCoin facility is about to be relocated to Italy (where it can be monitored)

BitCoin uses electricity, but have you done any research into solar energy in Northern Italy? Google Translator is a fantastic tool, hopefully you will have a light-bulb moment.

I am on the road before 7am on Monday, driving and will miss any RNS for any of my shares. I will only stop and read news if I receive an email alert about one of my shares.

I can set-up increased limits (price not size) on my iPhone but prefer to use the laptop so that I do not make a silly error like I did a few years ago when the dealing charges were less than the proceeds due to the incorrect volume I had input (It was MDZ)

I will be driving till about midday hopefully avoiding Covid limits (if you know what I mean) Then I will be driving from just after 2pm till long after the close so there will be no posting tomorrow during the day from myself.

If WARRANTED I will ask a friend to post on my behalf.

PS Obviously I cannot see what Notready1 has posted and he is in my opinion of limited intellect ability not only with his Posts but his twitter communications yesterday. My four-year-old granddaughter would run rings around him. To ask a question after I had filtered a poster, only confirmed that he missed out on a secondary school education. If whatever he is posting is not positive then he wants in at a lower price but as you would expect from a child, he does not get what he wants it is the adults that decide.

What would you do?

So a LTH has say 4 million shares at say 0.5p and at Christmas Eve last year when the spread was 0.25p – 0.25p

This has a nominal cost of about £20,000 but HL indicates that if he had sold just before the bell before Santa arrived with his sleigh loaded with many presents and Story Books and little chocolate treats to place in the Stockings like little bags of chocolate money, you know the ones, that do not taste like real chocolate but are covered in golden paper, then at that point the 4 million shares would have been worth £8,000.

So shares cost about £20,000 and at Christmas Eve are worth only £8,000 but then assuming no slicing in February at one point yesterday those 4 million shares would have been worth about £160,000 at “only” 4p.

What would do? Would you hold all your shares?

Would you top slice?

I am on record saying I do not top slice at less than my previous sell. My last sell on Friday was for 24,000 shares at 4.315p gross proceeds £1,029.65 nominal cost £116.81 and profit about £913.

Do I have other limit orders in? Yes

Size of current limit orders? 24,000

If you are interpretating that RKB is selling out, then you obviously have got the wrong bit between your mouth. I am counting on that for sure.

Nobody knows how high or low any share will go; it is only hindsight. If I have say 1 million and 24,000 shares left and the price goes down a BIT then will it concern me? NOT A BIT but please do not misinterpret the NOT A BIT with the chocolate coins, it is there for one reason, it is to tell a BIT of a Story.
