SC, N2S, I get what are you - Piedmont talk a lot of crap, it is really difficult to filter information through their comms. I listened to the majority of their earnings call last night, they were on about on how Piedmont and ALL were in agreement on two areas:

1. Ewoyaa being built using IRA-related funding

2. Delay project and wait for better spodumene price

All this is news to me (never heard this from anybody at the ALL Exec) , I will put that on my list of to ask questions for the AGM

Just one thought on Piedmont. Piedmont will need approximately $1bn to build the Carolina Lithium Project (which includes mine + conversion plant). They have recently gave up of their IRA loan. It is highly likely that under Trump's administration they will not get a loan anytime soon (ie, minimum of 4 years). They will be missing the boat and probably the Carolina Lithium site will never get build (besides that, a lot of the residents are against building the site). If this is the case, why would they need an offtake for the LOM?

According to what the local Chiefs said in the stakeholders engagement meeting, by law that land cannot be used by the farmers (or given back) during this period, because it has been declared within the land portfolio of a ML going through ratification. Something else, having 90% certainty that Piedmont will fail to meet the needs for the FID Project (as well as having a small saying in how the project is run), I am assuming that ALL is putting contingency plans in place to fully finance the project (because if Piedmont fails to pay their share of the project development they will lose the offtake and will only be entitled to 22.5% of the Ewoyaa project) - would it make sense to accept takeover offers now/just after ratification?

Thanks MT for sharing that the relevant rule is the ASX 3% creep rule. If that is the case, why would the BOD agree to assign more than 3% of shares/company ownership to Assore now, triggering a compulsory offer? Isnt that too risky?

I don't see how that could happen. After all, providing Piedmont sticks to the financing agreement, Piedmont will own 50% of the Ewoyaa investment and are entitled to a 50% offtake for the spodumene for the LOM? I cannot see Piedmont letting that go so easily. Same with Assore, who now own more than 30% of ALL shares and will want to mine Ewoyaa themselves...

Nevertheless, this might an interesting turn of events. By being a substantial holder did they have significant voting rights and by no longer being one means they stop having that significant voting right?

I think Piedmont have not sold anything. They have stopped being a substantial holder due to Dilution due to institutional placement

Not2sure, although I think the NDC is one of the most incompetent political party on the face of the earth, I couldn't see them revoking a mining licence on the base lf wanting more money. Even the NDC will now that doing that would mean drastically reducing the chances of future investment in the country
