Section 132 of the Companies Act, 1963states that a member, or several members, of a Company, who collectively hold 10% or more of the issued share capital with voting rights in the Company may request that the Directors of the Company call an EGM.

Good afternoon addicknt, I take your point and accept your knowledge on this. But from memory, I think they said that they has 65% of shareholders who would not support the bid, as opposed to 65% who have rejected the bid. I think this bid would be dead in the water, by such a low acceptance. But neither side has said the bid is over, they are both still fighting their corners. I realize that it only gets rejected at the final date, unless rejections totaling over 50% are received by then, but this doesn't feel like it's over, and NM has confirmed that they will own 100% of Alpala one way or another, in the presentation we have just listened too. Good afternoon Tiger, usually in agreement with a lot of what you say. However I think we find ourselves at Polar opposites, If they had 65% of shareholders, they could put this to bed by naming them. Some will argue, that they cannot do that. I would argue that they can with their permission. I don't believe that the attempt to oust NM will take place, and if it does, will be rejected quickly. After all if you sack the whole BOD and they walk with no handover, then who decides who replaces them.

Agreed Copperpot, if 65% had rejected our offer, CGP would have said bid rejected. They haven't, they are trying to swing the vote by saying 65% rejected. All the best.

Good afternoon redknight1, I don't believe 65% of shareholders have turned us down, for two reasons.
If Cornerstone was sure this offer would be turned down, why make this extraordinary bid to remove the whole BOD.
Also if I was a CGP shareholder, I would not declare now, I would wait to see how this pans out, as we get closer to October. After all they are just as savvy as us, and can work out for themselves what is occurring.

I thought that the standstill agreement, meant BHP had to support the board.

So let me think about this, what is the statement CGP are going to make to start the removal of NM.
Maybe it will be something like this.

We at CGP, are requesting the removal of NM and the entire board, so that we can replace them with people who are not up to speed, and not as competent. The reason for this, is we don't have the money to hand over at DFS, and maybe we could sell this cheap, so that we don't need to raise any money, and we get some much needed cash, into a company, that really needs it. Pretty please, please support us.

Woah Tiger, he has done a brilliant job, as long as NM is in place, we don't get taken out cheap. Maybe NCM is on board, but I doubt anyone else is. I would say this though. If you were on the NCM or BHP board, would you support this, or see CGP's position as weak, and put in a bid for them. Realize that BHP must wait till October 15th.

Good afternoon schlemiel, I bet they are not, this smacks of desperation, It's the sort of stunt, that you may pull, if you never had a buyer, and had to raise cash, in order to meet their liabilities. Should be interesting.

Hi Woody, at the time of the fund raising, we were told that exploration of other targets, was funded for 18 months. Way past the DFS for Alpala. Hope that helps.
