Why don't you have a read of rule 2.4 of the City Code on Takeovers & Mergers? This is the rule governing possible offers and it explains why there are required to ensure a fair market.

Quady, you don't understand because you are a dimwit. The Possible offer is used in a number of scenarios but the most relevant one is that rumour was driving the price away from the intended bid.

For clarity Drake, the "potential offer" is usually put out when the price is moving away from the offer on rumours. Not when they think someone might counter. Funds must still be established and the intention will almost always be followed through.
