There is a lot of detail in the Chairman’s statement on “tax”

Though not specifically the ISA questions!

We are all hoping for some more detailed info, perhaps I’ll ask at the meeting!

I think the ISA tax account situation is unclear.

However, on a positive note a financial adviser told me that any shares held in a pension account, that relate to the “distribution”, are exempt from tax!
(Hope he is right !)

Still, I will be holding out for a higher share price in the coming months after the distribution!

This is my understanding!

Once the votes have been cast and “approved” being the most likely outcome!

Your broker will be given instructions to allocate, Calidus shares to whichever account /accounts you have, in the proportion outlined, to your current KRS holdings!

You will then see these shares in your account, under the Calidus banner, then depending on your broker you may be able to sell these if you wish!

We think, some brokers may only allow you to hold or sell..... not buy!

You’ll then be in the mix of all shareholders, as what to do on the distribution date, only you can make the call!

So, by end of November, give a couple of weeks, we should see how or what effect the distribution has had on the Calidus element of the story.

There is a really good chance we will ALL come out of this relatively unscathed!

If as we hope, further drill results come in soon, as March 2020 is the due date for resource upgrade.

My guess will be a gradual share price improvement for Calidus over the next three months, bumps in the road; yes, but nothing can stop the fact we already have the prospect of a fully functioning mine for the next six to eight years!

So hold tight, the market makers are fully aware of this deal and they will want a slice of action.

They will work all the tricks in the book to play on shareholders hopes and fears, so go with your instincts. Trade Hold Sell whatever you decide, Calidus will produce the goods!

Not sure we can be clear of our future intentions, as there are specifics of the deal that need to be outlined before we can make any decision on the holding or selling of “either” companies shares!

Has anyone else come across this situation of “in specie distribution” before?

Perhaps after a RNS outlining the overall deal, could DR send a direct mail shot with the intention of a return email, to each Keras shareholder with the intention of establishing the temperature of the water?

Still don’t think all is lost, taking that the presentation by Anglian Water wouldn’t be going ahead if they had any financial doubts about the project!!

Thanks for that......couple of observations from the presentation.
Dave could have changed the companies within the “peer” group, instead made a big play both visually and by the conversation of the takeover aspect alone with the disconnect with our market cap.

Also, I would have thought there would have been more questions, unless they have been overexposed to these repeated positive messages by the companies, plus lunch was being served!!

Still we can look forward to adding at least two more years of mine life, who knows what else may come out of the rest of the tenement in the future.

HL via various messages on this site, have indicated that the Calidus shares will be available through their links with HSBC.

However, at this stage it’s looking like hold or sell options only.
Other platforms may offer the full package!

Not sure I’m with you on your point to just dump KRS, if, ok a big if, we get the ML for Togo then it’s a different ball game!

Sell some to cover your initial investment, but I see both businesses being great runners for the future!

Can someone in the know explain the following in simple language!

“Sub-division - Immediately following the consolidation, each Consolidated Share will then be sub-divided into one new Ordinary Share of 10 pence (a "New Ordinary Share") and one deferred share of 90 pence (a "Deferred Share") “

“Accordingly, the Deferred Shares will, for all practical purposes, be valueless and it is the Board's intention that, at an appropriate time, the Company may repurchase the Deferred Shares, cancel or seek the surrender of the Deferred Shares using such lawful means as the Board may at such time determine.”

Does this suggest that they are aware of the results, but they must await clarification before releasing?

Still, all looking good for the long term………even if we end up making it alone!

Yes, but this is based on current share value.....if as we all hope KRS get the ml then if it upgrades we will still see a reduction but from a higher start point!
Dave has said in the past, he would like to bring both companies together, so if that was the case new KRS price today would be .082p or ( .077p as per page 16 of presentation)
