Happy days for the BOD if they need to raise money to pay Directors fees... But what do they know that they feel it is appropriate to reduce the nominal value that far down? They are asking for authority to still be able to issue shares even if the share price falls by 95%.

Many years ago they were able to do a placing at 8p and the current share price is down over 99% since then; the BOD does not seem to have much confidence that such a fall might not happen again.
