I found this definition, if you like, of a “Top Hat Restructure”. I liked this definition as it was simple enough for me to comprehend.
“A restructure (usually by way of a scheme of arrangement) where a new holding company or trust acquires all outstanding shares and other securities in exchange for equivalent securities in the holding company.”
If our restructure is as basic as this explanation appears then with the caveat that I need further research and information, then I at first glance don’t think I have an issue with it. However as I hold some of my shares in a trading account, I do have a query as to wether there will be any tax implications. i.e. are you deemed to have sold your shares in the “old” company or is it just considered for tax purposes as you continue holding your original shares (if that makes sense). I assume there will be no tax issue but clarification is required.
