FACTUAL BACKGROUND
9. In June 2017, Outrider Management obtained a Private Investment Fund
Management & Professional Liability Insurance Policy, Policy No. DFS-0000018-03 for the June 22, 2017 to June 22, 2020 policy period (the “Pioneer Policy”), from Pioneer that provided coverage for Mr. Hope, Outrider Management, OMF, and Outrider Onshore for any actual 0r alleged breach of duty, neglect, error, misstatement, misleading statement, omission or act. A true and correct copy 0f the Pioneer Policy is attached hereto as Exhibit A and incorporated herein by reference.
10. In July 2018, FRC obtained an Advanced Board Company Protection Insurance Policy from Hiscox, Policy N0. B1636N1 81678 for the July 13, 2018 t0 July 13, 2019 policy period (the “Hiscox Policy”), that provided coverage for FRC’S directors, such as Mr. Hope, for any actual or alleged act, error, omission, misstatement, misleading statement, neglect 0r breach 0f duty. A true and correct copy 0f the Hiscox Policy is attached hereto as Exhibit B and incorporated herein by reference.
11. On 0r about November 19, 2018, FRC filed a Statement 0f Claim in the Cayman Islands titled Frontera Resources Corporation v. Stephen Hope, FSD 193 of 2018 (Grand Court 0f the Cayman Islands, Financial Services Division) (the “Cayman Action”) against Mr. Hope and OMF alleging, among other Violations, breaches 0f fiduciary duty owed t0 FRC in Mr. Hope’s capacity as director 0f FRC. A true and correct copy 0f the November 19, 2018, Statement of Claim in the Cayman Action is attached hereto as Exhibit C and incorporated herein by reference.
12. Mr. Hope and OMF timely reported the Cayman Action to both Hiscox and Pioneer and sought coverage, respectively, under the Hiscox Policy and the Pioneer Policy.
13. In December 2018, the court in the Cayman Action conducted a hearing and by an order dated January 22, 2019, discharged the proceedings against Mr. Hope and OMF.
14. In a letter dated January 25, 2019, Hiscox initially denied any coverage for the Cayman Action. Among other things, Hiscox made the unsupported assertion
that Mr. Hope was not owed any insurance proceeds by Hiscox because FRC owed Mr. Hope indemnity for the Cayman Action. Hiscox took this position Without any evidence that FRC actually owed Mr. Hope indemnity for the Cayman Action.
