In terms of BAR share price dropping -25% on this news it seems very bizarre as this is definitely a good thing for both companies given the similarities and costs.

Usually merges and public acquisitions are not good because of the premium paid is usually overpriced. However in this case IDP was definitely worth >=47p. My estimates had it at around 60p.

However the merger agreement doesn't seem to have any collar agreement in it (https://www.investopedia.com/terms/c/collar-agreement.asp)

So not sure if the merger will go through if BAR share price keeps dropping?

Bar also has a net-net working capital of 40p per share.

- On 3 December 2021, InnovaDerma plc signed a deed of release forgiving in full debt totalling £805,310 owed by the Ergon Medical Limited to InnovaDerma plc and its subsidiaries. It is this debt forgiveness that gives rise to the loss on disposal of investment in the period.

So if I read this correctly then IDP loaned the joint venture Prolong £800k and then just wrote it off? So essentially as IDP only has 50% of Prolong we just lost £400k by doing this while Mark Ward gained £400k essentially.

BAR share price is 90p now. Not 106p. And you have to like BAR company to want to do this.

Merger could also get rejected.

I think the merger makes sense. Huge cost savings on Headcount and LSE listing which makes a difference for a tiny company.

Actually it seems they have 13%~ of routes from Ukraine now due to their bad timed expansion

5% of routes according to their 2021 report where from Ukraine, with little being to Russia it seems.

So for a -35%+ drop in recent days this is completely stupid.

This is a strong buy again.

They have retail gamblers mainly.

Why is their AUAC in Q4 so much higher than Q4 2019?While for FY2021 it was lower than FY2019..

That's gross cash. They have net debt of £2.5m which means that you best hope these liabilities are long term and not short term or they will have to raise another placing at this share price.

If they were fine with cash then they wouldn't say this would they:

I still think this is going to 0. Nothing in this RNS is positive and it's a huge red flag that management keep up the facade of doing well.

Customers grew less than I wanted but (was wanting 15%+) but that gross margin is WAY better than before which more than makes up for it.

If H2 matches then gross profit will be £14m for 2022 FY. 2021 was £11.35m

Which is better than I had expected. Wonder why clients are specifically higher margins that they are targeting, anyone know?

Turnarounds require good management for a start like Gamestop finally has (although it's way overvalued imo).

I don't believe management is good judging from their continued destruction of shareholder value and paying an inflated price for MeetingZone. And judge for yourself whether they overpaid for it.

Management needs to go before this stock does anything but fall imo as it management will continue to light shareholder cash on fire.

Also, a bad product can still get some sales before it dies due to incompetent managers who are tech illiterate. However this is why they have such high churn rates. Because someone in management buys it and then they realise they have no use for it or realise that zoom is just better.

However if a product doesn't have product-market fit like loopup doesn't then it will struggle.

Well, when these so called 'new contracts' translates to actual revenue I will be open to changing my mind. But for now in the previous RNS's management consistently tout Total Contract Value and somehow it never materialises.

As someone who is in software engineering and uses teams/zoom regularly and tested the loopup software, it is complete garbage and doesn't solve a problem in todays world (maybe 5 years ago it did).

That is why they are doing acquisitions to try and extend the life of their dying company when what they should do is just liquidate the company.

As 5G gets rolled out and more WIFI coverage their product will die even faster.

Well time will tell and we will see if I am correct but so far the SP has been going down and not just due to the market conditions.
