Tell me something - when a company proposes a possible offer - how often do they not eventually go ahead with a firm bid? 20% of the time? SPD should do a Findel and make a hostile bid - no point talking to the BoD as its clear they would listen - jobs at stake etc. Go directly to the shareholders and once in charge SPD can resolve all the financial issues dogging this company under their ownership. I see a bid happening - why dont you?

The last part is important below - SPD acknowledge the company needs financial restructuring and bondholders WILL be repaid under SPD ownership due to their own facilities (imo) so in fact bondholders and landlords wanting to abvoid a CVA might support this alternative option
The terms of the possible firm offer are that Sports Direct would offer 5p in cash per ordinary share for the entire issued and to be issued share capital of Debenhams which would value the total currently issued share capital of Debenhams (excluding treasury shares) at approximately £61.4 million (the "Possible Offer"). The Possible Offer, if made, would represent a premium of approximately 127 per cent. to the closing price of Debenhams shares on 26 March 2019. In connection with the Possible Offer, Sports Direct would also assist Debenhams in addressing its immediate funding requirements (subject to the pre-conditions set out below).

The only thing that has been disgraceful here is you - from full time ramper to full time deramper. NO ONE changes their mind 100% just like that - you sold out and been bitter ever since. I will read the RNS again but FIVE PENCE was there in black and white and whether MA is still playing games - the share price will be heading north on open and traders this week would have made a profit. What is more important to me is that the company survives - as I have said several times - since the rent has been paid - there has been NO rush to resolve funding this week. The ONLY reason is that the BoD have wanted to lock SPD out - their largest shareholder. Lock MA out of his decent offers - to save their jobs. That;s what you call DISGRACEFUL

Be a man and admit you got this wrong. 5p is 140% above last night price and about what I thought he might offer. Shorters still exit with decent profits too. Pearls and others have probably averaged down over the months so some will make money others lose money if the offer happens. Stop being so bitter and personal. You simply sold too soon because you felt the risks were too high. Nothing wrong this that decision so let go.

Max - I really hope so - hold CLP in my SIPP and since I am at least 4-5 years off (early) retirement I am in no rush to sell .. and really would hope for a decent return here by 2022... we can but hope! :-))

You make a very good point - investing is really a medium/long term game - several months at least. Trading can be buying and selling within the same hour or definitely within the same week - we can all admit that Debenhams has become more of a trading share than an investment - after all it's now a penny stock. Daniel - not the Tower of London? (just joking - live in Bristol but pop over London a few times a year - tbh it would be a great idea to have a social whats app group for LSE members on here)

Superdad - fair play - everyone has to decide for themselves because you cannot get more high risk-high reward than Debenhams at the moment - you simply may lose the lot or have a multi-bagger (or something in-between) so I do understand the interest! If I didn't have funds tied up elsewhere I might have traded again today but you can't win them all gl elsewhere

I'm starting to think you must have skin in the game here .. as you are posting more.. and more... not the habit of a neutral observer.. IF MA bids - I personally expect it to be 3-5p .. simply because he wants Debenhams and the best way is to make an offer most shareholders cannot refuse.. 60/40 likely imho

Sorry just trying to bring a bit of humour to the thread - others are doing it all.. and to be honest - I don't think some of us could do any worse that the current BoDs..
IF (and it is still a big if) MA acquires Debenhams it will be interesting to see who he appoints.. in theory he wants to keep this separate from HoF so I guess new appointments from other retail companies or 1-2 from SPD..? Still too early to be thinking of this yet .. lets see a bid first..

£4.5 billion of lease liabilities ? That's new to me (I know it's a lot).. you are presuming that every store is closed and every lease is paid for the remaining lease term - not the reality that is that some stores are closed - some leases are repaid or reduced - and remaining store leases are cut via the planned CVA. Let's be honest - Debenhams will still need to find a lot of money for a CVA and store closures but you are stressing the actual worse case there aren't you? (for a start there is NO way £4.5 billion is going to ever be paid over the next x years when we don't even know if Debenhams will be around by the summer). So I don't mind stopping the ramping talks like 22p cash offers if you guys stop the ultra scare options as well..The short answer is "no one knows how this will now end"

BTW I really don't think MA would issue a RNS late yesterday and a possible cash offer unless he was serious about this - if he feels the BoD will not entertain any of his proposals he might feel he has no choice but to bid. Of course he will try to get away with a low ball offer (as most shareholders just want out I suspect)... but most of us here probably expect the offer to be higher than the current share price - if it happens.. 3p 5p or higher - nine times out of ten a bid is at a share price premium. I can't blame anyone for buying back in weighting it all up as long as they acknowledge it's not certain and shareholders may still lose everything. However they may also double their money... we will know this week imo

You are partially right - however shareholders don't really have much guidance on what the 2018/19 profit/loss will be - we have a range. Remember to that there has been significant cost cutting - I recall Capex has been cut by £40 million (happy to be corrected).. I suspect salaries have been frozen... recruitment suspended... various other measures - not a long term solution but my point is that the reason the loss THIS YEAR may not be material excluding exceptional items - is that cost cutting will partially offset the revenue loss... therefore its clear other measures like reducing rents is essential (just remembered that interest costs have increased so that's a negative atm).. all this is up to debate presuming the company remains listed

You have to stop digging - what made you buy here? It was around this price so YOU must have seen value here just a few weeks ago... the risks were evident when YOU were trading the share (just like me).. so just stop it... you are moaning at people who are doing précising what you did recently - trade the share!!

The rents were paid yesterday according to one poster near to the ground - so now what's the rush to secure new facilities and lending terms? Something doesn't add up here. I guess it's connected to having a CVA at the same time as funds will be needed to pay off leases re the stores closing. I have to remind some of the derampers that Debenhams made a £33 million profit last year.. for this year the range is £12 million profit to £10 million loss - that's not massive in the scheme of things - but the direction of travel is lower revenue and increasing losses - unless action is taken.
So to me it's clear why the company is "rushing" this - to stop MA getting his proposals to a general meeting or making a cash offer. When directors are more focused on keeping their jobs rather than working for all parties including shareholders and securing 30000 jobs at the company - it's time they go

Pearls - I know. They will still spin it at a negative if he makes an offer. I acknowledge this could go either way for shareholders - so why can't others? MA was backed into a corner being locked out and he is not the type of guy to take it lieing down

Agree any bud must happen this week. It isn't ramping to state that he might have to bid at the 12 month high which is 22p..it's a simple FACT. Whether he can get around this is another matter

What you really mean is "oh Christ, I made a mistake selling out" (so did I). No harm saying it. MA is now likely to bid if it's the only option he has left. As posters have said on here many times he will have to bid 22p year high. Strange it's.only this evening the shorters have mentioned that there are ways around this.
