Having said that the key holders have to revise their ask. No one will pay 300p and 100% premium, that’s just ridiculous. And the longer they wait the more their IRR gets dragged down. I guess that both Tosca and Harwood are underwater at the current price. Mediclinic is obviously miles out with their 360p purchase.

The Board technically wiped out 30% of shareholder value? Someone could have paid us 10 million quid for a better result.

Stock crashed last week, back to 5-year and Covid lows. Before the Pusu the stock was around 210, now 150p. Well done the Board, get the LTIP candy out.

I could imagine that the top shareholders may realize now that the Board are potentially part of the issue that the stock is at its 5-year low. Everyone should read the letter Tosca wrote to the chairman in 2021 around the time 250p per share were offered. He critized chairman Ian. 5 years later, a strategic review and the stock is at 158p. What a disaster.

Dartron: great post and well said, indeed. The Board have been in place for ages; clearly, they have not created any shareholder value in the past 5 and or 10 years. Having said that, the top holders need a wake up call or they may even give the Board a wake up call at the AGM. Only the large holders can make substantial Board and management changes at the end.

1. Long term share performance is one of the key factors on which EVERY management team globally gets assessed on. Spire’s share price performance is a disaster.

2. The Board and not shareholders run the process. The little we all have read via Sky could possibly imply the process is run like a corner shop.

3. Why are LTIP awarded during a sale process and subsequent share price crash is beyond all of us here.

4. Freehold hospitals are NEVER valued on Ebitda but FCF.

They have had 2 profit warnings since. PE may have offered 230 and they want 340? Harwood said 300. If they want 300+ they can wait another 5 years, not going to happen. I hope minority shareholders get 400 per share, but in reality 300 is just naive in my view, especially with a 160p share price. If you can’t sell the company after more than 7 months either your expectations are just ridiculous or they messed up the process.

And you are wrong and posting wrong information on this forum. The FT never mentioned £3.40. 1.4 billion after net debt is 2.85 which makes at least a little bit of sense. That’s probably what the main sellers want/ed. Makes much more sense given PE thought about offering 2.30.
