Nobody apart from potentially Tosca have put up non-binding offers after all that time. That just shows no appetite.

1. You said any offer would be £3, now it may be £2.50. In fact, as of now there is NOT ANY formal bid yet. You wouldn’t understand you little clown.

2. You said the main owners wouldn’t take over Spire repeatedly. AGAIN, you were massively wrong.

They will have to pay for the debt/liabilities as well, so much more than that.

Look at releases in the past 20 years, I haven’t seen anything that loose, vague and non-binding as this one.

Tosca aren’t a classic PE shop like Bridgepoint.

Maybe the Board concludes that the certainty of closing is higher with a PE shop at a 240p offer, who knows.

For everyone be aware of following:

1. The offer is NOT binding. In other words, there isn’t an offer yet, only a 2.4 release.

2. Tosca may have to raise capital to be able to buy out the shareholders. Best guess their AuM isn’t high enough, imo.

3. Tosca once bought TalkTalk, Google how that has worked out so far. It appears not that great based on what’s out there.

4. Tosca was a seller according to other large shareholders and now may buy the whole company? Looks odd outside in, that’s clear.

5. Offering potentially a private roll over is another indication they may not have enough funds.

6. Read the release, a Board saying “minded” to recommend is as loose and strange as I have seen in 20 years.

The stock prices in that the 250p is a done deal. IMO there is a risk Tosca won’t offer 250p and the stock falls back to 150p or so.

You were wrong all the way Klendal. I said Tosca could buy them and said it’s more 260 than 300+. You were completely off, time to admit your mistakes little fella.

Fair to say 250p wouldn’t be a knockout. Maybe Tosca know more? If there are more parties in the process, they will have to counterbid now. This may end up selling for 260-270p after all.

Tosca won’t bid against themselves. Either a strategic bidder counters with 260-270 or 250 it may be at the end.

No, Mediclinic just want out and won’t recoup their 360p. Tosca in driving seat here. Unless counterbid from strategic for 260 or 270 this deal is done at 250.

More than 2% of the company is shorted, almost 10 million shares and the stock usually only trades 800-900k a day. Good luck shorts today.

250 isn’t a knockout bid to say the least. But smart move because maybe Tosca hope to get a counterbid now.

I don’t think they will go into specifics as they can’t. It’s probably similar to the last release “we are still in an offer period conducting strategic review bla bla”.

Is there a live stream? Maybe shareholders ask them in person.

I would add that GLG are not good at equities shorts based on their track of disclosed shorts. Some shorts are systematic and followed the downward momentum. I think the risk reward of shorting at these levels is really poor here.

Just some food for thought. BOD (at least CEO) has been in place for years and the stock has cratered over the years.

Also dynamics between Tosca and Mediclinic interesting. Former is financial investor and latter so much under water that they may be more inclined to just sell the company (235-240p?).

Outside in it appears sale has potentially taken longer and the company never seemed to have a plan B (SLB, opco etc).
