if the bod survive the first vote they will consolidate and issue shares up to the market cap.
they will place these with whomever they choose.
so 50% of the issed shares will be in the hands of someone who likely will support the bod.
if I was the person getting the newly issued shares I would want something, a significant discount or maybe the same number of warrants as shares to help me decide to support the bod!
only a theory, but that's how I think it will go if people vote yes at the first meeting.

except that of course the new shares will be lodged with 'friendly' people prior to that vote.

they would need 500/1 to give themselves any headroom at all.
and in the curent climate they would need to give a huge discount for any placing.
I would guess issuing shares at 0.025 (pre consolidation value).
so, given authority to issue shares up to market cap they would issue 2 billion 600 million pre consolidation shares to raise $650k

there is no solution that benefits existing shareholders, the bod have made sure of that either by ineptitude or design!

I'm sure there would be loads of ways to satisfy the requirement, or indeed negotiate an extension. Remember the Moroccan government is essentially a partner here.
