Ok, we have investor Alde, so lets engage.....
Will there be a buyout? At the point of the options being granted it would be incredibly dangerous for there to have been an offer on the table, legally very unlikely. So lets agree no buyout right now. But lookiing at the wider market and there are a tonne of Bn+ buyouts and licencing deals of early pharma including CAR-T at P1 or before so are we too early to buy/licence? No, just has not happened yet. IF we had been bought a month ago lets take Feldman and Van Bman for an example, 1bn buy out, they are responsible for quite a bit over the years, put money in to launch it, review hospital protocols, had the concept of FLT3 etc. Their exposure to that 1bn? less than pumpkin. In my opinion until they DID have some sort of exposure in place there would be no deal OR there would have to be some very questionable arrangement to reward the directors retrospectiavly.... I frankly have no clue how they would achieve that?
I will not sit here and say the BoD have been aligned with shareholders for years or acted correctly waiting until now, but I think you will agree, except for Vlad none of the board had any ownership, no options, no LTI, nothing formal about % split of any deals or special dividends. So why would any of them care or support or want a merger/takeover? They would want to continue, they would want maybe licencing deals to bring cash into the company but its a public company at some point they needed exposure and I suspect since day 1 they have all agreed at some point options will be granted.
My biggest gripe is that over the years they had the oppertunity to take part in placings, show support and that would have helped the SP and lessened the dilution. Should the SP double or triple before a deal however and the board do want to exercise options? Total support in doing so.... some of them are getting on in years and..... yea... Plus cash into the company from an orderly RNS'ed exercise of Directors warrants is a whole different world to Peterhouse flippers forward selling and trolling.
Bottom line is, how we got here may be a bit murkey over the years but I believe this action in isolation WAS in the interest of shareholders, even if others dont agree, 80% of a big pie better than no pie atall!
