Hi guys I think we have all been following most posts over the last few months, we all win and lose but the most important thing is to take much less water with everything. At least then it doesn't seem to matter where the sp goes.

So not a very good start sofar today, is it going to bounce or is it going to go down to £3.25?

This was the RNS in June·
unsecured convertible loan notes
· total principal amount of US$4.2 million, which can be drawn down in tranches at the Company's option
· term expires on the second anniversary of the date of the Facility Agreement with early redemption permitted at any time at no additional cost, with Meridian having the ability to convert the outanding B Loan Notes
· interest at 10% per annum accruing daily from the date of issue and compounding monthly
· principal and interest convertible wholly or partially into VOG shares at the Noteholder's option from the first anniversary of signing the Facility Agreement and on certain other specified events
· conversion price of £0.078 per share (being a 30% premium to the volume weighted average trading price of VOG's shares as traded on AIM over the 10-day period immediately before the date of entry into the Facility Agreement)

In the event that the Company issues the maximum amount of B Loan Notes to Meridian at the likeliest earliest opportunity under the Facility Agreement and conversion occurs at the latest date under the Facility for the full principal amount and all accrued interest, the Concert Party would have a resultant holding of 106,848,390, representing 35.3 per cent. of the then issued shares (assuming the current £/$ exchange rate), assuming no other shares are issued.

The Company will apply to the Panel for a waiver from the obligation for the Concert Party to make a general offer that would otherwise arise as a result of the issue of the Ordinary Shares in the event that the Concert Party were to convert the B Loan Notes in full, subject to the approval, on a poll, of independent shareholders (the "Whitewash Resolution"). Accordingly, with the consent of the Panel, the Whitewash Resolution will be proposed at the General Meeting and will be taken on a poll at the General Meeting, notice of which will be set out in the Circular to be distributed to Shareholders shortly.
So now it’s being acted on so we could see the sp go down to 1p-2p as it all gets converted, and pi's being cut out with Naff all.

Yes I saw this and in all honesty it looks like Cazoo will be on to a winner and could list in UK as well.
So much for those that said in the last few months that Cazoo set-up and business model would not work in the UK and Cazoo would be short lived. Unfortunately Cazoo could / will take car sales from Looker's and others over the next 6 - 9 months.
But I still think Lookers is worth £1 and surprised T.B hasn't as yet made a full takeover offer.

In all honesty I don't think there will be any takeover offer for a long long time.
Just look at the debt far too high and if someone was thinking of making an offer it should of happened back when the sp was between 60p- 90p too late now.

A company which supplies food to care homes and restaurants says it is taking "drastic action" to try to get round the shortage of UK lorry drivers.

Come on let's be honest, will it matter if it does drop out of the ftse 100.
We have been used to the sp being in the range of £1. - £1.20 so it might not make the slightest difference if they do fall out and the sp could stay around £1.- £1.10 for the next few months.
Life doesn't end out of the 100.

So it already looks today that someone is buying millions of shares, so has it already started

Reading the RNS today it looks like they will be able to just issue and take more and more shares for any money / loans that are put in so I guess it's almost the green light for vog to lose control. But we all knew they have already lost control of the company and are already being told what to do.
Banks won't lend more money and Directors don't hold any shares so it looks like it's only a question of time before they have new directors, or being taken private where any pi's will lose the lot.

I am not saying it will go down to 30p ish I am just saying if they are going to do it it should be done now while they can get it away around this price, because if they do leave it too late the could go down maybe to 30p with this much debt.

if they try to do it with just sales income it could take years. Mant including me think just like many other companies due to covid they have taken the action of issueing more shares via rights etc.

I think that this debt of billions is the bigger fear here, we all know that at some stage that debt needs to be paid down and if they try to do iot with just slaes income it could take years. If it's going to happen it should happen now with the sp about where it is rather than wait until say the sp hits 30p and then have to raise more. Look we all know long term cine have plenty to talk about and go for once the debt is removed and that could / will hold back the sp until they take some sort of action. My view only but like many have been in some share that left it too late to take action.

I am sorry to say that this is just another case of consolidation failure like many others over the last few years.
For anyone that was in this share with say an ave of what 30p+ before consolidation and perhaps now with an ave of £5+ which is for many , they will never see that money again as it's all about the big investors that bought in cheap with the re-launch and cheap rights issue price. But there will always be many that think consolidation never makes any difference.

Well the only buy of 10million I could find was for BT. and not at 64p, my guess is that this will fall back a little to 63p ish so we can all top up again.

It's just getting interesting now and it could at any minute respond just like Card has today, up some 10-11%.
Cine has already had it's results so could be 70p end of the week. Could be hold tight or even top up for many.
