My understanding is that the shareholders would vote on it, at current value, nobody that is a long term holder would be selling at what it's worth now as they could simply sell now.
It's possible of course that a buyer could put an offer 20-30% above the current SP and for that to be accepted by a majority, however, I see that unlikely.
In any case, with this particular company, Sir Martin holds a golden share, that means no takeover regardless of what the majority votes for without him agreeing to it.
Happy to be put right if my understanding of this process is bot quite like my interpretation.

Because most of the holders that are under water, like myself, and haven't sold yet would not accept an unreasonable offer.
Anything below 120-130 would be criminal or simply daylight robbery.
What a disaster of a company, the market overall up considerably over the last couple of weeks whislt here we are still at all time lows!
The all digital experiment has gone badly wrong! SMS might end up being another Philip Green or Neil Woodford.

I can post whatever I like as long as I'm not disrespectful! The way the share price is dropping is not normal, as such, I do worry about going that possibility yes.
Perhaps you should be more realistic in view of what's happening here rather than telling people to stop moaning when they are simply airing their views!
Perhaps because they have no confidence in the business.
Maybe because they would be happy to take it private for next to nothing, the more it drops the better for them if that's the intention.
Who knows, there could be a multitude of reasons. I've never seen a stock decline in such ferocious way. More than 94% in little over 2 years!

The problem we have is no credibility in Martin's ability to run the business!
He maintains that he sees no improvement on the horizon till 2025, just after the US elections. The problem though, S4 had been affected exponentially more than many other businesses of similar nature so investors are questioning the business model! Top this up with profit warnings after profit warnings and we have the perfect storm.
As a heavy investor here, I want Martin to stop talking about how Meta, Google, Tik Tok etc are growing their margins and start talking about how S4 will recover and how he intends to address this.
I want Martin to stop talking about geopolitics and the hostility the world is facing and talk about S4's moat highlighting it's strengths. It's frankly embarrassing and criminal what's taking place here! No reassurance and directors buying.
At the moment all we have is 3 profit warnings, indicating they haven't got a handle on the numbers, and a pessimistic outlook! Why do you keep wondering why this keeps falling in view of these facts?

It seems that even that Jacob from JKR has now started to lose hope in this stock if you watch one of his latest covering the stock!!
Earnings declining with debt now expected at the top of the range is not a good look. We have bought a lemon mate it seems! Q4 could destroy what little value there is left!

I think they have lost their way!
Hard to see any immediate meaningful recovery, dead money for the next 1-2 years I fear! We are stuck knowing how c..p this company has performed but too fearful to sell as we keep thinking it shouldn't go much lower, perilous situation!
Can someone here with the right attributes perhaps make an coherent argument as to why this company won't go bust?
From my perspective, the graph and drop have the hallmarks of a company in terminal decline! Market cap soon to equal debt. SMS no longer credible! Perilous combination
