Agreed. Shareholders did not simply vote to sell the company. They voted to sell the company to a specified company, for a specified price with specific conditions.

Is the takeover legal? Yes as far as I am aware.

Has the necessary shareholder votes in favour of the takeover been achieved? Yes.

Is there a vociferous anti takeover shareholder group? No.

Will Sidara's existing UK presence so great that it will adversely affect competition? Not that I am aware of.

Is Sidara a proscribed or sanctioned business? Not that I am aware of.

Assuming that the above being the case, I would struggle to see how the Court would refuse to sanction the deal.
