I think you are wrong on that being registered in the VI does not prevent companies from holding AGMs in the UK, companies can hold their AGMs where ever they like, unless there is something in our articles of association which prevents us from holding a agm in UK! but then again can't see any reason why that would be the case.

Yes agree Nom but if you were responding to me, the I was just pointing out a responsible institution is not likely to hand over power of pre-emption rights willy nilly without getting something back. that is the only thing that guarantees the shareholders equal rights for any future dilutions, not just hand us scraps at the discretion of the bod and their broker friends.

The article seems to be put by some one having taken some puffs of something in the garden shed- no mention of which institutions, nor anything to say how the bod are aligned. the only institutions I can think of are nominee accounts and perhaps YA and BS for any stock they haven't disposed yet.
Genuine investors don't give your rights away- institutional investors are not likely to give away their pre-emption rights.

W2002, again I am afraid you have not understood the point I was trying to make, the analogy used was to illustrate a point of business management, yes they didn't give timescales but there was an implication that as time went on they intrinsic value of the business would increase and therefore share price would increase and further fundraising if required would be increasingly done higher than previous. It is true there were and are no parameters set to which the board could be held, it is almost like asking how long is a piece of string. What i am arguing for is we perhaps need to provide some substance the length of this string. To use my analogy again just because we instructed a project manager to deliver a building and for various reasons he/she has not been able to deliver and each year we are having to re-mortgage at higher rates, perhaps we need to go back to the project manager and say this is creating a bigger a and bigger risk, could please just build one part of the building which we can sell or let out to cover the costs until the rest of the building is complete, and whilst your at it could put half of your fees towards the construction project and you could recoup the when the building is complete.

W2002 I never said the bod are crooks ( although one can argue they have been in bed with a number of them, the latest BS and they were a foot soldier for bod)- only that they have not taken decisions in the best interests of shareholders/ maybe incompetent, and they are more likely to if their interests are aligned with us- since the point i am making isn't getting through, i will illustrate it by giving an example, say you you give instructions to a project manager to build you building and year after year he keeps asking money over the budget that you anticipated and you keep on obliging, wouldn't you hold a conversation with him/her at some point to revaluate the project or get some one else to complete it, of the original project manager isn't willing to adapt- surely your not going to abandon with all the costs incurred! All we are asking the bod/ project manager here is ok we will give you another opportunity again but you need to put some of your fees into the project in order to demonstrate your confidence and seriousness and you are not going to take us for a ride.
