Just that agriculture and oil and gas aren’t as far apart as most people think. A lot of people have interests that span both areas as the point i was making.

Oil and Gas and agriculture are much closer aligned than people would give credit for.

Landmen and real estate involved.
Geologists and scientists involved.
Many an Oil and Gas man is also a ranch owner, is also a farmer / cattle raiser.

Did you know lots of oil and gas speculators take their profits and put it into farming for large tax breaks in the US?

If you look at the nitrogen discovery (speculated for the oil and gas uses), the hydrogen discovery within that, and then realising we have effectively got a natural organic fertilizer...

Then see the crop trial we involved ourselves with.

Then see the background of the people involved in the original District 8 setup, and what interests they had and still have.

Then look at the business interests of the one of our Advisory Board Members.

Then think like a businessman and put all of that together, it might not be beyond you anymore..

The Open Offer is a clawback, so the Open Offer shares are already sold to the II's.

If the Open Offer had zero applications to participate, then the II's who already wanted the shares will have been allocated them.

The allocation available to those eligible to participate in the Open Offer, if applied for, will go to those applicants instead of the II's.

Either way, the shares have already been subscribed for, and are guaranteed to go to a home somewhere regardless of the Open Offer uptake.

In short, no danger of the placing not being taken up, it already has been.

A good signal, of course, would be a very large request (oversubscribed) ratio for shares in the open offer, as that would indicate a large portion of PI's prepared to pay 15p to increase (or buy back) their holdings accordingly.

The unallocated money for the OO isn't returned straight away, so if it is well-oversubscribed, look out for the days that the money is returned to accounts from the various brokers.....

You can imagine on those days there might be a bit of buying, especially for any who sold most of their holdings to buy back at 15p, and if they find they got 1/22nd of their holding back and no more, and possibly their cash tied up for a few more days..

Plants need to grow, as does the SP.

IMHO It will happen, aside from news on a sales deal for N2, more wells in ED, or any other curve ball positive RNS's, this will go back up as the plants grow, the products sell, more exposure in terms of sales websites going live and more people see what HNR is about.

Until then it will probably bob about and do whatever it does.

It is nice to see volume churning around and hopefully every time it drops back, it will establish a higher base on its next legs up.

Aside from the confirmation on oil and gas revenues covering costs, and possible N2 sales progress, today’s RNS is a very positive one.

A conservative look at the new data released this morning.

Prior to this mornings release the Zoetic operation targeted the following for 2019:

50,000 outdoor plants with an targeted yield of 30 grams of CBD per plant.

40,000 indoor plants with a targeted yield of 12 grams of CBD per plant.

It is my belief those values did not include the potential yield increase from the use of the gas mix..

At indicative $3 a gram wholesale prices, assuming the crops all grew OK, but then with no yield increase factored in, the revenues were around ~$6m from wholesale CBD, that could have been expected.

50,000 * 30 * 3 = $4,500,000
40,000 * 12 * 3 = $1,440,000

If we now assume (without any further clarification on numbers) that outdoors we were to drop to 16 acres from 20 acres, and indoors we were to have 3 harvests of 10,000 plants.

40,000 * 30 * 3 = $3,600,000
30,000 * 12 * 3 = $1,080,000

Then you are looking at $4.68m

But now add in the seeds aspect of the RNS:

10,000 plants * 3 seasons * 500+ seeds at up to $1 a seed. 15,000,000 seeds.

So even at 50c a seed that would be a further $7.5m from seed revenue.

So we could now be looking at $12.18m in revenues from these operations from seeds and wholesale CBD alone.

This is not catering for any uplift in increased density planting outside (so assuming we are reducing outdoor plants this year) or any uplift in yields due to gas use, and sticking to just 3 harvests/seasons indoors.

It also excludes any revenues from any of the other products sold under the Zoetic brand or smokeable products.

Assuming my numbers calculated on the iPhone are reasonable and valid, this is a significant improvement to the 2019 Zoetic business case, even with just these conservative estimates.

It would also enable us to plant outdoors in 2020 using our own seeds.

There is no guarantee our products will take off quickly, they could, they may not, but IMHO wholesale CBD and now seed production numbers should speak for themselves, anything from retail or Zoetic branded operations just make the baseline numbers look even better.

Very happy with the speed in which this business is developing, and further confirmation on progress during the months ahead will hopefully just improve that!

Everyone should stop obsessing about shorts, who knows what they will do:

Most of these are covered by convertible bonds.

Convertible bonds which each represented 650,195 shares previously.

If they swap their current bonds for the new bonds in the offering each new bond will be worth approx 820,000 shares.

If you had shorted 100% of the shares you had covered before by ST1 bonds you would be laughing.

Not only would you have had $17,000 interest a year since they existed @ 8.5% interest on your $200,000 bond but at some point you would have sold (borrowed and shorted) all those shares in the 20’s and 30’s before.

Now you have a choice. Buy some back at ~15p. Buy all back at 15p.

Or.

Just sit on the bond for a while. Earn more interest. Let the SP appreciate.

You have to give back at some point 650,195 shares but if you convert your new bond at any time you get ~820,000 shares.

So you have made the money shorting before.
You have made interest and continue to make interest.
You will pocket around 170,000 shares on each new bond you convert after giving back the 650,195 shares you shorted before.

They really cannot lose.

Even if nearly all the outstanding original bonds were shorted before, 1211 of them now (or imho will) have 170,000 each “covered” or extra shares that can be hedged / shorted again when they feel like.

Or

They can just sit pretty as already “hedged” their original positions so now just have more free money.

Nobody can judge what the market will do now with these new bonds replacing the old bonds, let alone at what point new bonds will look to hedge their positions.

Will just have to wait and see.

The difference is no ST3. In FTSE250 and to all intensive purposes funded (bar the $500m non convertible bonds) as the mine continues to build and de-risk if the SP is still hemmed in by shorting there will be those that scoop up shares in the dips that occur.

I intend to add where I can at these levels but that’s my choice. My monthly SIPP contributions, and any existing shares dividend payments around the placing price is for me a great opportunity, but that is just my two cents worth.

Fair play. I miscalculated on the additional bond effect.

I’m now getting about ~9.6bn shares max if all bonds converted now + Gina’s stake, compared to around 5.7bn shares previously.

That’s assuming Gina is still paying 20p a share and doesn’t also get them for 15p. Otherwise that would add a further ~60m odd shares to the list.

Still value at 15p, but might need to pay dividends for 4 initial years, instead of perhaps 3 to get your stake money back (in dividends)

At least at the lower price over the next year or so compared to where it would have been, should be able to squeeze a few more into the ISA.
