RE: Automatic delist7 Sep 2020 10:58
I am now taking for granted de-listing will occur tomorrow, despite a few remaining upbeat I can see no reason for optimism, I believe we are the victims of infighting between two multi millionaire investors who refuse to move in their respective stances or they (or maybe one of them) has always wanted to take MTL private.
It is true to say we retain our shareholding but when the company de-lists it will not have to abide by Stock Exchange rules, that is hugely detrimental to the minority shareholders for many many reasons as the major shareholders can more or less do as they please, there are many repercussions but the couple below is one of the most serious.
'Shareholders will no longer be afforded the protections given by the AIM Rules, such as the requirement to be notified of certain events and the requirement that the Company seek shareholder approval for certain corporate actions, where applicable, including substantial transactions, financing transactions, reverse takeovers, related party transactions and fundamental changes in the Company's business, including certain acquisitions and disposals'
'Shareholders will no longer be afforded the protections given by the City Code on Takeovers and Mergers in the event that there is a subsequent offer to acquire their Ordinary Shares'
I still live in hope but come on, after 6 months does one really expect news tomorrow ?
