Agree, I suspect MKA will own between 60-80%

CPT raised $6m in January so they will want a return on that investment, suspect the SPAC will list at say $250m USD - so even a 10% return will see four bags for shareholders of CPT (liquidity wise)

MKA owns 80% of Maginito

Maginito owns 50% of HyProMag US (Which means MKA own ~40% of HyProMag US, as we own 80% of Maginito, so 50% of 80%)

MKA owns 100% of Lancaster Expo, which holds Songwe

We own I believe it is now 95% of Pulawy as EIT took a position in one of the last couple of fundraises?

UK plant we own 100% and the German plant will be 90% once the CLN is fully converted by HyProMag GMBH

So yes, we will own close to 100% of the assets going into the SPAC, a dominant position to be in especially when $USAR (a Cohen and Co client, who are working on MKA SPAC) just listed for $800m and allowed investors to cash in at $16bn for a good few months. Money will want to repeat.

Not a huge drop when we add context, we hit 20p on hype that the US and EU would go 'Gung Ho' for RE's post trade wars, those wars have subdued somewhat but the REs remain restricted, technology has always been restricted and most investors are now aware of the importance of our sector and our technology. We have moved from 'explaining the requirements' to 'OK how can you deliver' and in less than 6 weeks we will have a producing UK plant, and arguably some offtakes/ feedstock from around the world.

Considering there are a great deal of warrants still outstanding, the SP has held up quite well, with small gradual drops on no news days, to large out of the blue flurry of buying.

The SPAC on the other hand is the huge SP driver here, who wouldn't want to be part of that now when you consider what Cohen and Co have done with USARE? (Raising $50m USD against a $800m USD valuation)

The SPAC is a money maker for everyone involved, we are not listing something that we have to prove to market, the market has clearly stated they need Songwe and RE processing plants, so we are giving the market what it wants (and getting a huge valuation uplift in return)

Little bit more patience required before we take the next leg up to 30p+

On January 8, 2025, the Company announced a potential business combination transaction pursuant to a non-binding letter of intent (“LOI”) with wholly owned subsidiaries of Mkango Resources Ltd. (collectively, “MKA”) whose primary operations are a rare earths project in Malawi and a proposed separation plant in Poland. The LOI was amended on March 23, 2025, and April 29, 2025, to, among other things, extend exclusivity through May 11, 2025, and the Company and MKA continue to work together and negotiate in good faith to finalize and execute definitive documentation related to the business combination.

This isn't a 1 year delay, its an extension (this is about the third time they've done it now)

if this didn't pass, then the SPAC would be over immediately, so its actually good news.

Probably a sell on the book from last week, all the volume at 4.5p+ would have fed it

Very large trade though... and if it is a sell then my word it could and should have hit 6p+ last week!

Someone has to buy it so irrelevant really but interesting nonetheless

What we thinking here?

US fast tracking permits now for these very projects (one major project already selected in Idaho and another copper / gold project: see 10 projects fast tracked by US GOVT)

If so the permits have to be analysed and concluded in 28 days? (executive order)

Conclude that in the next 3-4 weeks and funding should be imminent, in theory they should have investors lined up wanting to get involved, also if you get US DoD backed grants / funding etc. the interest is about half of what you would normally pay so can save $10-15m USD right there, again super attractive.

PFS is only going to increase in value too.

Worth a punt IMHO (not advice DYOR)

Agree CJ Ive tried trading and if you are super patient and know your macros, you can do quite well (e.g. anyone who bought rare earths or gold at pretty much any point in the last 6 months has made money, with most companies reaching yearly highs)

However, the true money is made in positioning, adding, waiting and then reaping the reward. An extremely difficult thing to do, for stocks that can be bought and sold so easily by the push of a button on a mobile device. Pensions, a little bit easier to manage (believe it or not) because they are a set and forget type process.

Ultimately, as the famous quote goes, there are three ways to make money. Be right, be first or cheat. (and none of us here cheat) and it sure is a lot easier to just be first, and you can only be first by looking as far ahead as possible and predicting future economics, which every person on this board has done beautifully. (Kudos to Bonker for also predicting the aggressive gold move)

My next prediction is quite simple

Gallium, Germanium and Antimony skyrocketed (100%) in the 6 months post export restrictions, several RE's have just been placed under the same umbrella, the prices for these individual elements will do a similar move, if not even HIGHER due to the fact the US is trying to cut off trade routes, not just China.

What that will mean, is Songwe Hill RE project will become extremely valuable again (based on the basket case) not to mention oil is at yearly lows (whereas when we did the DFS I believe it was quite high) so that offsets the extremely high RE prices in our DFS. (Pulawy also helps) it doesn't offset it completely, but it Ofc certainly helps. The magnets will also become a lot more expensive in the medium term.

What I am less sure of, but it could happen as soon as next week, is if Trump will put tariffs on permanent magnets, but I am not sure if that would be a short term disaster for US big tech, but either way your not getting them out of china now regardless, so he might play 'hard ball' without actually landing a punch.

My uncertain prediction is

Mkango = 80% of Maginito which has a 50/50 partnership with Cotec

So we own 40% of the US, Cotec 60%

But we obv own a much higher stake in all other territories and future ones like Japan etc.

(plus weve got a shovel ready mine and a processing plant project, if just focussing on RE's) MKA are the pure play RE company, Cotec have other investments but at £30m cap it looks cheap, obv both look insanely cheap compared to $USAR et al which are all $1bn+ and rising rapidly.

Cotec owns 20% of Maginito

Maginto owns 50% of HyProMag US

Cotec also directly own 50% of HyProMag via Cotec

So 20% of 50% = 10%

and 50% direct = 60% holding in HyProMag US

In other news, $USAR flying again! Up 113% now on the week and this is a $1bn+ company! The disconnect cannot continue much longer!

Cohen and Co get the SPAC going immediately, just on the SP rise in $USAR this week they could fund our entire spac! up over $800m!)

Both Mkango and Cotec have been dealt a royal flush

This is the most hype both of these companies, and their assets, will ever get - the acceleration of demand for our services is off the charts. If we were ever going to hit £1 per share or more, then this is the moment.

MP raised over half a billion

USAR got $50m cash but is more an acquisition vehicle as its looking to onboard more tech and projects I believe

Neocorp got $30m in 2023

Lynas got $550m

Agree although if you take out the proposed SPAC (say we own 51%) and the fact is has to list at $75m USD or more (likely to be $200m+ IMHO, but even if its $100m USD) then MKA becomes cheaper in terms of RE exposure. Ofc Cotec have three other assets of which I dont have much knowledge of their value.

Another strong day from MP and USAR will really put the rocket up a huge valuation disconnect that already exists

I dont normally pay attention to premarket as it can chop and change quite quickly but MP is looking like a fair open at 2-3% up on top of yesterdays incredible 22% rise and USAR the more volatile stock appears to be happy opening another 10% higher on top of yesterdays whopping 42% rise.

MKA sitting at 5% higher on yesterdays paltry 11% rise.

Will be 30p before month end.

Just did a big post on bluebird if anyone gets a chance to read it, talks about the recent Cohen and Co involvement with $USAR and how those very same investors will now flock towards MKA SPAC regarding songwe and pulawy

Also talk about the price rises in germanium, gallium and anitmony 6 months on from chinese restrictions, china just restricted several key RE elements which I expect to all at least hit 100% increases over the next 3-6 months, that will help the basket case at songwe (although the key element in neodymium, however thats the nuke so to speak, they cut that off all H breaks loose)

The economics of our RE recycling plants just got insanely better, especially the US ones which are awaiting US funding. I expect this to happen immediately (Cotec were liking my posts yesterday)

The jackpot of course would be recycling for large OEMS like tesla or apple, ebay or amazon, this would be a monumental scoop and accelerate us towards that £500m+ market cap level. OFC someone may just wish to buy us out but I feel that will only happen once we have a few partnerships in place.
