PTC. Let me in on the acronym IMHO!

DGM. I recognise that not all footprinters are "up to speed" on events. But bear with us. Take time absorb the flavour and indulge. Investing is exciting, dangerous, rewarding and frustrating. It all comes out in thev wash, eventually.

IDD. The last footprint is profound, but it is the cumalative effect of many 1M buys that are significant. You cannot build a mansion with one brick it takes many small bricks! so says GedW

DGM. Let us look at todays and possible future business. Because whatever has happened until now is in the price. Let us all be forward looking. There is no sense dwelling on yesterday as it has all been well dissected.

DGM. Can someone provide a clarification of the foorprints 14.13 onwards. It looks to me that old ground appears to be covered.

IDD. This is now the time to sort the wheat from the chaff. I realise now that there will be a big push for recognition by IDD. All the stops are being unplugged. I have it on good authority that IDD are fed up of being second fiddle to the likes of DATACASH ( Chip & Pin rival ) there will be an all out war for market share, with IDD coming out victors.

DGM. No not at all it is just I-Spire who cannot go into the market for a period of time, it certainly does no affect anything else, as they say Ceteris Paribus!

IDD. I will come back to you on this, I have to go for a Business meeting for a couple of hours. What is for sure is, most Director/Analyst briefing meetings take place in the mornings and then deals follow in the afternoon after perhaps a liquid lunche. Any thing to be offered up will be late afternoons or 7am (mostly).

DGM According to SARs, I=Spire cannot now go into the market for another six days (seven from yesterday). Sars restrict the build up of voting shares by slowing down the pace to which a stake builder can further accumulate a "substantial" holding, this is to allow the target board time to prepare for the next move. SARs do not prevent further stake building, it merely slows it down. With one exception purchases from a single investor/shareholder/member.

IDD. I think we may be treated to some major upside short term. But yes offers up prospects for the longer term investment.

IDD. I cannot quite put my finger on it, but i can feel a strong pulse. With the 12.6m shares put into Cox's pension pot and a new Director on Board. Along with Figures due out next month. I think we may be treated to some sort of financial update soon. Those are my thoughts for the moment.

IDD. My suspicious nature is in full flow. Without a single share traded today, despite the large trade yesterday. I can repeat that this share has gone too quiet for my liking. I am of the mind that some good news is coming. I have not seen or heard any rumours and the shares have not been suspended. So I am cautiously optermistic about forthcoming news flow.

DGM. One has to assume that market forces are interplaying with speculative buying. One assumption could be that not everyone would favour a potential Bid. It could be that no-one knows I-Spire, I do know that they had there shares suspended due to late submission of accounts several years ago, who is backing them, at the last look they had not a pot to even beg with.

DGM. The initial offer, IF one comes, will be based on the perceived value put on it by any potential Bidder. If this is acceptable the Board will either recommend it to the shareholders or send the would be Bidder packing. The Bidder can then come back with a higher offer or walk away. The Bidder could turn the deal hostile, then it is an all out bun fight. The share price can be whatever we as shareholders will accept for our shares. I have an idea, based on fundamentals and market forces, and the potential bidder, but for the moment I am keeping my own counsel. I have worked out a fair price and it is substantially above the prevailing price.

DGM. It is not relevent how or when the "substantial" holding arises from 0 to 29.99%, but once the holding is 30% or more a Mandatory offer has to be made pursuant to the "city code" on T&Ms, it is the highest price paid during an offer period which the other shareholders have to be offered and that is the only obligation on a Bidder, once a holding amounts to 90% the remaining outstanding shares can be compulsory bought up pursuant to the Companies Acts, the remaining 10% can be cancelled and would become worthless so the holders of those shares have little choice to accept on the same terms as everyone else. This is why you will see a lot of Company's with aholdings of 29.99% of the voting ISC. They play a waiting game to lobby other shareholders for support or otherwise.

DGM. A mandatory Bid only kicks in once a "substantial" holding reaches 30% of the ISC according to the takeover and merger rules. The highest price paid is the price at which the Bidders pays for its shares "during an offer period".

DGM. The news came over the wire and I reported the RNS regarding the rise in ISC holding.

DGM. two clues that that may not be the case. If that was I would have expected the trade to be a cross over trade not an ordinary trade type. They would have to announce the reduction of their substantial holding ( this could be announced in the next day or so if that wewre so), but in the scheme of things the 10M still are tightly held. I would sooner I-spire have them.

DGM. Why else would a Private Limited Company hold neralr 21% of a Public Limited Company. Because of its original holding it seems to be the cheapest way into becoming listed.
