Not to mention the headquarters for both companies are literally 8 miles apart, so there's the culture thing they both like to have mesh.
All your reasonable points made and taken, put me in the highly doubtful category on this one. That doesn't mean it won't happen, but I don't see it.
First of all, TRMR does not have the horsepower to buy PERI.
Secondly, mgt. at PERI are very disciplined and have a set of parameters from which they haven't strayed in the past 5 years when it comes to acquisitions. They require 30-40% paid by PERI in upfront fees, and the rest to earn out over two to three years. Unless we (the "we" being TRMR in this use) are really desperate, I doubt my new best pal Ofer and the board would approve of such a move, and I don't see either one of them (either of my best pals, Doron or Ofer) stepping down as CEO.
The PERI requirement of any acquisition being immediately accretive to PERI would not be a problem in this case, but still, I don't see it happening.
If they would do a stock for stock merge of some sort, where it would be a tax-free merger, I'd be all for it. Not that it matters what I want.
It would be a monster of a competitor if it were to happen, but I wouldn't bet on it.
