And yes, it would no doubt make every lth here happy to see the back of him and his $800k package. As I said in my previous post, it was the last-minute, failed bucket-shop raise and connected loan terms that killed us. And that is all on Calamity Baay. He delayed the acquisition for 6 months, and would have known a raise was required. He left it to the last minute, when the acquisition had been pushed back and almost fell over, to go with Prhtillion, who anyone taking a cursory glance would have seen are d@dgy as f@ck. He then withheld material information. He didn't get the raise locked down legally. We had to pay fees for everything. There is no excuse or forgiveness for any of this.

He has cost me £180k. Johno, who has defended him for sometime, is down over £400k. Anyone else want to share? John27?

Stas, the beauty of going for this now is Calamity Baay is literally doing nothing. He's not responsible for Central drilling. Or the compressor being hooked up. That's all that will be happening for the next 6 months. The pricing contract change should be handled by anyone but him. He is so grossly inept he will f@ck this up as well. And, he will go down an easy route and get something locked in for marginally higher rates to pay for these latest calamities.

We could have him removed and have a non-Exec Director or someone below him who is remotely competent to do his job. To be honest, I think his role could be made redundant and absorbed by a few other people given how little is happening over the next 12 months. Keep in mind, he's not an O&G expert, so that means he's a Corporate expert. And it's these very things that killed us. Even with the omnishambles of Casc 4, if he'd closed Central with a raise earlier, or just got the 20.5p raise away, we'd be 15p right now. Because we'd have Casc 4 & 5 hooked up and flowing, albeit at reduced rates. And Central would be drilled. And we'd have a Debenture at 16p to pay for the funding gap and Casc 4 f@ck up. Many on here just don't understand it's the failed, last-minute bucket-shop raise that killed us. Not the development f@ck ups, which are so ridiculous they are hard to believe - wrong drilling mud for a month ffs, and re-entering a compromised well.

But if we find a replacement, I'd imagine nothing will be lost for the 6 months to get someone in role.

smasher, i have been smashing calamity baay, not the company. you seem to have gotten that confused, completely. i have been quite clear about my thoughts on the assets. on what should have been done with the central acquisition that fell in baay's lap, and where an almost unbelievable series of events then transpired showing the most extraordinary levels of incompetence and deceit. and, that casc 5 was arguably the most important well in the company's history. i had said it wasn't a slam dunk, but fully expected that the pay zones (gas), at the same levels as other casc wells, would mean a similar result. turns out the gas charged sands were mainly oil. how they couldn't know this over many months is beyond me.

my averaging down was based on baay continuing to tell pis of all the options they were investigating to fill the funding gap (which we knew nothing about). turns out he wasn't investigating any of them and went with a raise 2.5 months at 11p. so i was furious, especially at 11p, and after he had been sticking to the casc 4 & 5 production targets. like so many others here, i thought that was the end of it, and casc 5 would take us back up to 13-14p. the majority of my purchases were done before at 19-21p (before he sprang the loan terms), and in 11-12.5p expecting he would get a waiver or non-dilutory solution, as he had said was being investigated, and my email (and others) called for.

you need to point your anger at baay, just like everyone else. at least lth's got blindsided for the majority of their losses because he was withholding material information. you came in at 11-12p, ****bagging lth's for not doing their dd on things we knew nothing about, like the raise, and now it turns out that you have also been hit by lyin paul. in other words, your dd was even more **** than lth's. or you have trusted in baay and been f@cked as well. you can choose. and you can choose to have this incompetent, deceitful charlatan removed, or stick to hoping he might get something right. i want him gone.

If John27 uses his remit and influence over the Discord Group we can force an EGM and get Calamity Baay out. There is literally nothing that he is doing now. We have Central and a compressor over the next 6 months. He is sitting back taking an $800k package after this destruction and withholding material information from the market. This latter point no doubt is why they have changed NOMAD - 'it wasn't his fault, the NOMAD said it was ok to lie and deceive the market for 1.5 months, then drop a bomb on them'. CALAMITY BAAY IS THE PROBLEM, and as his disciples, you also bear responsibility to either use your shareholdings and influence to have him removed, or shut the f@ck up. John27 should either use his holding or never utter another word from his conversations with PB. And never make excuses for the man.

The biggest issue that has caused the greatest destruction is the failed 20.5p bucket shop raise 6 months post Central falling in his lap, and the loan covenant blindside he gave us. Had he not f@cked around for 6 months raising the necessary cash to get the loan sorted earlier, and not with a bucket-shop, we would have been able to pay for these errors at 20.5p, and much earlier. And we would have had the Casc 4 dud drilled and hooked up, and at least producing an income. This dud would be the same. And Central would be drilled. That alone would have enabled us to raise the remaining funding gap in the loan covenant (that he withheld from the market) at a level closer to 15p. Instead, his immense Corporate incompetence means we have paid for these mistakes at 11p. And paid close to $5m in fees to do it. This $800k per annum gold-plated f@ck up has literally screwed up everything. How anyone cannot see this is beyond me. And how anyone thinks he deserves yet another chance is f@cking mind-boggling.

Here's some more thoughts:

- Compressor. Based on everything that has transpired, I highly doubt it will be functioning in Q2. PB cannot even get a well drilled and hooked up on time. And as for the 'extra well' value, well, look at everything he has promised and his big words and ask yourself the likelihood of this being true. Nothing he has uttered has been remotely accurate. NOTHING!

- Central, they have never drilled. Shell didn't bother with where they are going. And a) they cannot drill a well reliably without issues, b) have now drilled two wells for gas and hit oil. They don't even know their Casc geology. It's not much better than a coin flip on whether it will be commercial.

- Central is going to be late. There's no way they will have it flowing in January. We will still be waiting for spud in December, and hook-up in February, and that's if the well doesn't have any more Casc 4 type issues that 'aren't Calamity Bay's fault'.

The SP destruction here in 12 months is almost unheard of for a producing company with our assets. Had the 'transformational' Central asset not fallen in our PBs lap, we would be better off. That goes to show you just how much Calamity Baay f@cked up that straightforward Corporate action.

IWTO, this has been the issue all along - the value of the parts is not reflected in the total value of the business. It's why these !diots should have kicked off the sale process once the t/o deals fell over.

Based on the values I shared earlier, the lowest multiple for a DIS sale was the Google Domains business at 1.25x sales, versus 3.77 for NameCheap. The lower end multiple, interestingly, equals the 12x Adj EBITDA number being used by our House Clowns (Broker). This is why I think it's reasonable. And realistic because it will be a US firm that buys it, so better valuation versus what the LSE and UK companies will provide. It's easy market share, for a good price. It's growing. It wipes out a competitor for the big Domains free-for-all event coming up. Multiple interested parties. And our major shareholders are aligned with our interests in getting the best price possible. It's not a forced sale. Simply righting the ridiculous valuation we currently have due to a complete erosion of market confidence in mgt. If the algo's toss in the towel, then a re-rate is on the cards back to 60-65p. The market will then need to wait for news, but it's quite clear that +80p equivalent valuation is where it should end with DIS sale near 12x EBITDA / 1.25x Sales or near enough. Definitely don't think DIS will go for less than 10x as it would be the cheapest sale in recent record for such a business. And by some distance.

dartron, if you're going to throw out all these statements, at least do your best to appear knowledgeable. the idiocy of your posting is embarrassing.

firstly, it would be easy to refinance the debt. in 12 months it will be $60m or lower on current $45-50m adj ebitda projections. and if they cannot refinance, which is almost inconceivable, the rcf can be utilised. easy. use your brain, or at least don't appear so ignorant that you cannot see that a debt refinance would be a piece of cake for these numbers with current or other lenders.

as for this being a forced sale, the only 'forcing' being done is by the major shareholders. they clearly want to cash in for all, or most of the value in the company. if you know anything about kestrel's current health, it's easy to see why. tig have had multiple approaches for dis. and this is no doubt the jewel in the crown and would be highly attractive to cash-rich us funds or competitors wanting to buy a big chunk of market share and kill off a mid-size competitor. read some of my earlier posts on possible valuations and reasoning as to why they can hold out for the right offer, and it's anything but 'forced' in the way you have described.

zombie company...? are you for real? comparison and search have **** performance and in turnaround. but they still throw off over $20m adj ebitda. so a zombie company with $150-200m cash in the bank post debt clearance, and adj ebitda of +$20m at today's depressed performance levels.

good luck with 30p. we had a huge profit downgrade and the sp jumped by 13%. tells you what the market is seeing on potential valuation. the mgt team are useless f@cking !diots for the shinez mess, and not starting this process when the t/o's fell over. but at least the tier 1 firm being engaged for the sale means it's happening, and just a matter of when and for how much.

i'm keen to talk about how much, based on other valuations. lukee, i agree with your thought on why not take the lot for 80-90p where you get 75-80p worth of dis, with comparison and search almost for free. but this would only be for a fund that wants to quickly flip the dis division and use the other parts of the business as a cash cow. our previous bidders are good examples of buyers for the lot. but the likes of godaddy , squarespace and cvc have no interest in these bits of the business and would happily pay 75-80p for dis and leave the search and comparison headache well alone.

if they can get the 1.25x sales / 12x adj ebitda it will be worth 75-80p. the remaining business will be focused on comparison and search, debt free, and throwing off +$20m adj ebitda.

as i said, they should have started this process when the last t/o offers fell over. mgt team are clowns, no doubt. but we at least know there's a big valuation jump on the horizon, and our major shareholders are aligned with us on getting the most out of any break-up or total sale. hence the 13% jump on **** news.

1. he f@cked the trin deal by not having it locked down and water-tight. the sp drops from the mid 30's to the low to mid 20's.

2. he f@cks the central deal that fell in his lap. he didn't have enough knowledge of our finances for it to drag on for 6 months, almost fall over, and then he used a bucket shop for the majority of the funds.

3. he has the bucket shop raise attached to the loan terms, but for an even bigger amount.

4. he doesn't tell the market for over a month the raise funds had not been received, but worse still, he doesn't tell the market about the loan terms.

5. sp drops from low 20's to 12p on discovery.

6. he has overseen one of the most disastrous, comical single well f@ck ups on casc 4. absolute monkey ****. this well costs a fortune, delays all other wells, requires emergency funding because calamity baay had no idea of our finances and needed the debenture just to complete casc 4 & 5. all late. all a result of the raise issues. but it's not just the casc 4 omni-shambles and associated costs, it's the delays in all other wells coming online, and the knock-on of tens of millions in lost income.

7. he raises at 11p with a fund that looks on paper to be shady. and then gives them a seat on the board. talk about letting a fox in the henhouse.

8. all fees, running up to $5m paid for trin fiasco, bucket-shop raise, debenture, and 11p shambles we end up paying.

regardless of whether the f@@l has drilled casc 5 or not, the vast majority of company value destruction has come from his corporate incompetence, negligence, and deceit. and if that useless charlatan of a ceo oversees another failure with casc 5, then he needs to go for every single thing he has done to cost us a small fortune. he deserves zero leeway. no more excuses for the clown. he gets casc 5, casc 4, and central on target, and on time, or he should be pushed. simple as that.

johno, if that happens it will be yet another appalling failure. it makes no difference if casc 5 comes online close to the new delayed date, which is 6 months from original timings, if production is compromised or sub-optimal in any way. as for him not 'telling you he was going to raise', he shouldn't have been saying anything if it wasn't possible and being pursued. the point is, he has been lying to us ever since the raise fell over and he sprang the loan terms. the reality is our production and finances were so dire he had to run out and get a debenture with 16p conversion and millions in fees, plus an 11p raise, just to finish casc 4 & 5, and drill central. that's why it was 2.5 months early. the bank probably wasn't even consulted, and if so, they weren't budging because for all his 'we have a great relationship', they know him to be a conman and didn't want to be stuck with the mess he was creating.

so will folks band together for an egm if casc 5 is sub 10mmcf flush? no point waiting around for casc 4 because it will be even more f@cked. and let's not even go down the 'wait for central and the compressor' ****e. he will have literally screwed up every development and corporate action for over a year. and all we do is wait for the next failure. based on his track record of abject failure and delays, the compressor won't be installed until the end of next year. they will have shipped the wrong equipment, or some other thing that isn't his fault. and we'll then be saying 'let's wait for the compressor to be functional in q4'.

under his 'leadership' we have a sp that has declined by 65% in 12 months, and now have confetti shares printed between 11p to 20.5p. shipka cannot take the blame for every single thing calamity baay has f@cked up, or the lies and deceit from the man over the years. he's an incompetent con man on $800k package per year. look at our mcap and his salary. it's the equivalent of the rio tinto boss taking a £2bn package each year.

johno, here are the key points posted here from your chat with lyin paul. my comments about this conversation are to highlight how he continued to say certain things, even though he knew that he was going to raise 2.5 months early, at 11p with another shady looking outfit. from what is written here, it says he was still looking at a bank waiver, joint venture etc. it also mentions getting an ii on-board. these are all things he was saying when the only option being progressed given the timing was a rights issue. yet more b@ll**** from baay. apologies for stating it was you who suggested he would raise post casc 5 online and central spud. this was someone else.

we also have stated, casc 5 hook-up by / close to end-october, central spud november, and casc 4 production guidance unchanged. let's see how many things he delivers.

Straight, I'm hopeful that the reasonable amount of immediate market share that would accompany this sale, the level that US funds and companies have paid in the recent past, the fact there have been multiple parties enquiring, plus the big one being that major shareholders are looking to maximise gains, is enough for us to get 12x 2025 EBITDA. This corresponds to the Google sales multiple at 1.25x, so should be the absolute floor. They don't need to sell. And major shareholders are aligned with PIs in wanting maximum gains.

Not easy to grow your DIS market share this quickly, and easily. And you have the benefits of pricing power over a larger base, and taking out a small to medium competitor. Reckon 12x should be the starting point based on all these reasons, which is a value of 80p. On the EBITDA multiples I used earlier for Search and Comparison (2.5x and 4.5x) minus $85m debt, you have 75-80p net sum of the parts valuation.

Hopefully, they can resolve this quickly. Put up a For Sale sign with a reserve price and sealed bids.

I'm sure everyone else read my post to Smasher. Just so you're clear, he's saying all of you lth's who got hoodwinked by Calamity Baay haven't done your DD, and it's your fault that you have lost money here. You should have known that Baay would lie through his teeth at every turn and con you out of your money, and that he would withhold material information from the market that subsequently crashed the share price and any chance of seeing 30p again. So many stupid lth's, especially those who averaged down and got caught out for more.

it'a also why i was crusading against a raise being done at these levels, and if pursued by calamity baay, then we should call an egm. instead we get even more bad news - 11p raise with more cash being required just to finish casc 4/5, central and buy the processor, casc 4 busted with timings to 2026 (with no timeframe given), casc 5 further slippage, debt up, and the 'legal' actions being written off. i probably even missed something here. all facts. and most recent disappointments.
