O&W you talk in past tense. In present tense.
AA ATM haven't walked from a deal. They are still about as are others.
The fact they have spent this long on DD and discussions to have not walked is a sign of significant interest. While no deal is possible its not the current position.
It could be many factors that are making it take time and I suspect it has been many factors such as.
1. ARCM won't deal at what price AA offered.
2. Due to 1 above an AA may be conditional on further drill results.
3. The political and policy environment in Zambia for miners which is vastly improving very recently with the election.
4. The outstanding court case with Zam and MM which has reportedly been thrown out.
5. ARCM being out of exclusivity and with other majors interested are progressing multiple discussions and don't need to finalise a fast deal, but the best/right deal.

Share price is frustrating but the assets and all stakeholders are still there. The lack of news and pr I personally think is because of the stage of discussions and is indicative of positive changes of a deal with someone. Just my take on it

I personally believe it's due to the disclosure rules also as per the RNS and is subsequent to the director RNs and share issuance becoming effective late August.

As per the FCA rule mentioned in the total voting rights RNS...the rules state..

An issuer must, at the end of each calendar month during which an increase or decrease has occurred, disclose to the public:

(1) the total number of voting rights and capital in respect of each class of share which it issues.
[Note: article 15 of the TD]; and
(2) the total number of voting rights attaching to shares of the issuer which are held by it in treasury.

Not saying a good news RNS cant land but I don't believe there will be a link with this RNS if it does.
Sadly that would make it all too easy and we can explain why they were obliged to issue this (probably yesterday)...

In terms of the NewGen financing. Here is the reply given to it's use. (Take into consideration this was pre any further RNS').

Answer was ' The funding will be targeted toward the Ming Mine, in order to ensure the
development of the mine and meet its
potential. We are still waiting on the report or the updated Little Deer Complex resource, and we may discuss with potential suitors and/or do work at Little Deer internally. '

Death Spiral Financing is a convertible bond thing. The cost of the debt is high as in they get a greater value in stock, when giving up the face value of the bond etc

As you say RMMs CLN isn't strictly a death spiral in its trueist sense. However the term is broadly used by people (rightly or wrongly) when talking about these larger convertible loan type arrangements.
I certainly don't want this turnaround project to be funded via the CLN contingency option as it's basically a big pre arranged placing. Which is obviously better than zero money but would cause significant dilution.
We have the debt package on the table though. They pushing it close to the edge for my liking but could be many reasons for it. Being binding is clearly a reason to be confident it completes but I won't say 100% confident as always a risk.

Consolidation themselves I.e the actual corporate event don't have an impact. Negative or positive. The value of shareholders investments remain unchanged (except maybe a few pence in roundings etc).
Companies do them as it reduces shares in issue and increases share price. This can have a psychological advantage to investors e.g. higher price can be 'perceived' as better as can having fewer shares in issue. In reality, its not necessarily true.
There are other potential benefits too. For example some markets have listing requirements, OTC market segments in America as one example. These requirements can include minimum price entry criteria. So consolidation and increasing a share price can be a way to meet these etc. (Providing other criteria is met).
Obviously the junior end of the stock market is more dependent on raising capital. Typically it's why they list and (as I'm sure you know) it's done by raising more equity via placings.
It's not uncommon for companies to consolidate and then raise. Therefore they do get a bad reputation from some. Sometimes it's easier and part of a strategy to get approval/resolution to consolidate and also issue more shares to raise capital at the same time. Companies are only allowed to raise capital via shares up to the approved amount so additional approvals are needed in some cases.
As for if it's good or bad. In reality in itself its neutral but sometimes it's part of a bigger strategy to raise capital. Equity capital is clearly not in the interests of shareholders given the traditional discount to prevailing market price (to allow for things like the new share dilution) which most PIs don't get unless they are offered part of the placing. (Albeit the likelihood is a PI will get the chance to buy at placing price as the price typically drops after placing).
Key point though is focus on the strategy behind the consolidation and not the consolidation itself.
It's the reason it's being done that's either positive or negative, not the consolidation itself.

Re death spiral that's a term used for certain convertible loans where the company have a bad arrangement and constantly raise via equity spiralling the price down.

It isn't important what others suggest they believe the price may be at a certain date.
What matters is that you have invested because you believe in a share and have your own price targets and timescale expectations.
Remember if it doesn't do those things it is your decision and only you are accountable.

Personally, I believe in this share and I have a sizeable holding myself at a higher average no doubt that you, but not too high.
I didn't average down as I've simply got enough in here already.

Personally my ultimate target is higher than those below but as for timescales no idea. Also sadly price targets are generally based on fundamental metrics, the market doesn't always follow true value. While that can sometimes be advantageous it also works the other way.

In short for me; debt financing needs to be finalised, followed by clear progress against plan, followed by returning sentiment and then one could reasonably assume a fair value could be attributed.

One step at a time. Not overnight riches. Monitor as things develop.

Okay. Unless the husband and wifes positions are held in some kind of entity then yes. As far as I'm aware the notification is on an individuals position of an entity. Im not aware of a requirement to aggregate spousal positions so no need to notify if both fall below the non UK thresholds.

Then once transferred to the shark as collateral IMO it fell into the exemption I previously detailed.

Anyway what will be will be. I was just curious about the non disclosure initially. Pretty sure we've explained it away.

In terms of why in my mind it could simply be to strengthen our hand generally in Zambia. I assume any deal will need Zambian support and approval of some form of another
and/or
It could be prepping for some form of capital raise like capex for CE in due course.

Various reasons but seemingly a strong appointment either way.
