To your first question, yes, it could be that Synairgen were ensuring that institutional investors were secured for the placing. II's s are important - their involvement lends credibility and shows support for the company.
To your second question, what I have managed to find out about it is that there could be a few possible reasons for inclusion of a delisting clause:
1. As contingency, i.e. if they failed to raise enough capital to meet the minimum liquidity threshold it's their plan B.
2.For IIs, having a clear exit or restructuring option (delisting) could be reassuring, as it provides an understanding of what would happen if the placement didn’t go as planned. II's will want to know there's been strategic thought on this.
The delisting clause signals to investors that they are taking proactive steps to safeguard against failure, something that should reassure the market that they're fully prepared for different outcomes.
3. Despite II assumed interest, market conditions can change quickly. The delisting clause shows a cautious approach to unpredictable situations (e.g. industry/sector/economic storms) that could lead to a lower-than-expected level of support.
4. Including the clause might also signal that TFG is keeping the option open for a potential restructuring or acquisition, especially if the placement is a critical step in aligning the company’s direction (e.g., focusing on a specific market or streamlining operations). This could be part of a broader corporate strategy where delisting might enable the company to pursue options outside the constraints of public market pressures.
5. Governance or Shareholder Preferences: - the company might also been responding to concerns or preferences from certain major stakeholders (including ii's) who might have requested the delisting option to simplify the fundraising or governance process.
I suppose the upshot of this is it depends on who you are as to how you view the delisting clause. Clearly for some it will strike fear and for others it is seen as a positive signal.
