I thought (according to Telegram Dan...whoever that may be) that they were 'talking' to AZ (see previous post from end of Feb).

How can they be under the radar?

Does this new patent protection render NXP004 worthless?

Does the company have anything to say about it?

Didn't we have a similar spur up from 0.3p to 0.4p just around the new year when the results came out? I think the dumping of 30 odd million shares brought that one to a cold hard close. No TR1's involved that time though, I wonder if there'll be any this time. You'd have thought there might be considering over 106m shares changed hands. That's about 1/8th of the total share capital.

Anyway here we are back to around 0.15p bid the next day.

I have no idea how this kind of apparently random event could be related to raising funds but it will be interesting to see if we do get one in the next few weeks. It would also be interesting (if it happens) to see who they get the money from and why they need the money at this late stage. Surely the 'discussions' have been going well to have lasted this long? They must have had all requirements well identified and pinned down for some time now. What have they missed that could need more funds? It can't be submitting orphan status, that's free and absolutely zero progress appears to have been made on that front since it was highlighted as the hot potato 'must have' back on Telegram in February.

Whimax the biggest moaner and whinger on the board...only just about other posters rather the dire treatment of shareholders.

If Shareholders end up getting zero then what happens to the IP once the company is finished? Is everyone a loser? Does the IP get locked away in a vault forever because it was owned by the company which was owned by the shareholders at the time the company is wound up...or is it owned by someone else and still up for grabs so that deals can still be done once the pesky Shareholders are out of the way?

I'm just curious to know who the major shareholders still are as I haven't seen any details for a while and there have been no TR1 updates for a while either, despite some instances where fairly large numbers of shares have changed hands. I think it's a fair question to ask.

As you can see from my previous post. I have found that director shareholdings are still published in the public group accounts. I have also decided to share this here because I believe it is reasonable evidence that Gooding still held full at around the time the discussions started. It is therefore unlikely to have changed if things are still ongoing.

I was not implying that Holland had sold either. I was just stating that I cannot provide evidence of her current status in the same way because she is no longer a member of the board.

I'm also not implying that any rules have been broken around TR1's. I don't profess to know all the rules. There may well be circumstances under which it is optional to report if you haven’t actually changed the number of shares you hold. I just believe that clarity helps confidence.

Look at the Group Company accounts for March 2023 page 28. It shows that Gooding still held 37.5m in Sept 2023 which is after Lanstead and the first 70k raise. Not sure why no TR1 was required to reflect % change though.

Hopefully he still holds. Not sure about Holland.

2020 was the start of what has been a truly dreadful period for shareholders from which there has no respite.

I have seen no evidence to indicate that either Gooding or Holland still hold their 35m shares each. Their %'s must surely have eroded by the recent dilutions enough to require a notification? There have been no TR1's either way. However we have seen at least one transaction this year that was in that region of 30 odd million which again had no related TR1.

It would be nice to see evidence that they still hold but after everything that has happened here in the last 4.5 years, nothing would surprise me.

However, we have been talking to none other than the mighty AZ, don't you know? I once again I refer back to the kindly shared minutes from the Telegram meeting of February:

"5. Dan mentioned 3 aspects they are dealing with, these are his own words:

• Most big pharma, not all, don’t like reprofiling (re-using known drugs). It wouldn’t surprise you if I said we’re speaking with AZ, you don’t have to be a genius to join the dots. They currently love IPF. We know them well. But they don’t like reprofiling. So the IP piece becomed more important, and the deal is just harder overall. We also don’t have orphan status. Every other asset out there has got orphan status already. To compete, I think personally we need that. Ideally from the European vs the US. If we go for European orphan designation, we have to present our existing data and rationale. If it’s accepted, it acts like a badge of honour – independent validation we’ve got potential – so drug companies like it. Plus they get a lot of downstream benefits. Shorter development pathways, R&D spend rebates, etc. So we really need to get that in place I think to close something. It will take up to 3 months to get orphan status. So either it was all guff, the talks have failed and Gooding isn't telling or they're still waiting for something.
