It’s impossible to know where the Value is yet I believe Value will be created.

For > The Company will Progress with CH. probably 4 Opportunities per year to “Trade” In and Out. Quick buck.

But it’s not a Quick Buck I want. I want to Invest in something which will Grow efficiently without the Propaganda and the pump and dump by the BOD. One thing is for sure / PI will be second in the Que. The Financiers will know where the Value is.

I agree Joetun. What are Hoskins 16% ? And Tinkler 12% still doing in here when 2p 3p 4p was around ?
Couple of Points, 28% joint Ownership is significant as can usurp the 75% who Vite for the Deal. Will the Vote go ahead or even matter ? I really don’t know. You need 10% to call an EGM.
Should Hoskins or Tinkler have Sold then I suggest they would not get a very good Average 1.5p at best / but even then better than 1p ??
Shouldn’t Hoskins have known about the Balance Sheet having been Long Term Investors in FLYBE ? and furthermore their Silence is deafening.
The BOD actions / lack of info to SH has been outrageous. I’ve no doubt they have got away with what the bare minimum on info and covered their backs.
The BOD with previous RNS have pumped and dumped the PI.

What has happened here is basically all the Shares have moved from PI to someone else at a very low price because we are in the cooking pot.
What happens from here I don’t know but I still say things can happen very quick re counter bid and if one does come in (usually at right at the death) I don’t think it will deliver much better Value to SH, as the Company on its knees by outside forces. The Value extraction from us little PI’s is almost complete. Terrible.

Tav. They have been given Credit by Connect to allow to cont trading so yes any new bidder would have to pump in cash / retrace to before the Connect Money was taken. I still say they have 14 days to undo it by giving cash back and thus cancel the arrangement but no info of this from the outrageous BOD.
The only saviour from this crap deal for SH is some Onvestor seeing Value in the MCap of £2.2m. Surely there is Value or is this what life has come to ?

Taverham. I disagree. There must be a legally binding agreement (a 14 day clause) which states the £20m bridging Loan can be cancelled (monies returned in full) should Flybe wish to cancel. Of course another bid needs to come in for this to happen. I don’t think the BOD telling full story. Only legally what they have to. It stinks.
I maybe wrong though.

Basically you want someone to come in and clear the decks of Debt to more maneageable levels and say here I’ll pay £20m for a Full T/O.
I just cannot believe that things are that bad that £2.2m first and final offer. If it happens to be like this then the BOD really have misdirected from previous RNS. You never take first Offer. Surely a second bid comes in but BOD may be under confidentiality agreement so we just don’t know the facts. And We own the Company. It’s rotten system.

We are at 1p as it stands. This is a guarantee so to speak. However things can change because Step 1 is complete. A guarantee the Company will continue. Step 2 if it happens can only be an improvement on Step 1 and this can only boost the MCap of 1p.

Remember we are here because of poor Cashflow. Resolve this and we are back. But the BOD very Negative.

MCap has been destroyed by the BOD mis direction and the 1p Offer. However anyone buying in now can only hope that a White Knight comes along with a better Offer than the 1p. Or an injection of cash via extended Credit facilities to allow Flybe to cont to trade for next 12 month.
It’s an utter disgrace what the BOD have done.
If Flybe can remain as they are now then the MCap can recover. HSBC Valued this at 20p NOV but maybe they were in on the pump and dump too ?
As we put our money in on their recommendation / They taketh their money out.

Many Shares are down 20 to 50% and beyond. This has been a lesson learned of how they extract Value from the Private Investor. The Elite must know months ahead what is going to happen because they engineer the sequence of Events. Awful just Awful.
The sad thing is if someone came in with £500m to clear the decks then the Company would deliver significant Profit. But the Banks and Elite don’t want it that way. Why deliver £500m when they can extract £50m from our pockets by putting barriers up stopping the Company progressing. Power of Influence and the BOD in on it too.

Parmxz I hear you. I have learned that at the Top Level they are inherently corrupt. It all starts with their Salary which gives them an unrealistic sense of Power. They make Statements which are subjective and I think massive insider trading goes off. The sequence of Events re this is clear evidence of mis direction. COW basically has given up her Position as CEO as steering the Company to a 1p Offer and then the silence and remained unanswered Questions. She will walk away with various guarantees and a great life as she is in the Circle.
She doesn’t work for SH of Flybe. She works for the Elite. This is clear to see.

We need to know if Hoskins are still in here. Weren’t they at 16% ? If they are still in (No RNS yet / just the Tinkler RNS) then 12.2% + 16% = 28.2% and you can then see that this is enough concentration of Votes to potentially Oppose the 1p / Share offer. Of course they could Vote in favour of T/O but you would think not ? Given that Hoskins would take 3p if no intention hanging on.
IT IS CRITICAL IF HOSKINS STILL IN AS 28% WITH TINKLER. 75% Cannot be achieved if they VOTE NO.

Re the Voting. It’s 75% of the people who Vote that Count. Not 75% of Total Shareholders as I understand it.
Of course Tinkler doesn’t want to disrupt the T/O attempt. What he means by this is that anyone who Votes for 1p per Share will do so without his influence of convincing them otherwise. Economical with words.
Of course Tinkler should Vote against the T/O or he would not have bought 12% of Company. This is what he means by “Not disrupting the T/O” If SH want to Vote for 1p / they can Vote for 1p.

In the mean time a 12% Stake shows serious intent on Steering this Company in his direction. Backed by BA Willy Walsh whom cannot T/O Flybe but it is in his interest not to allow Flybe to go to Connect / Virgin / Stobart.

If Stobart MCap inc by £30m then the Connect Airways venture has priced in the possible Flybe Lowball offer. So therefore they are confident they can turn things around yes ? A whole World of Finance and Equity Deals Out there and Willy Walsh will want Flybe to not go in hands of Virgin.
If you are Correct however / Virgin get this for £2.2m and with absolutely NO GUARANTEE on JOBS or INVESTMENT. Only INTENTION.
Set up your own Airline with infrastructure and Engineering in Place. Revenue £750m / Annum. I’d suggest with No Debt you’d need a lot more than £2.2m and the Debt that Flybe currently have !!!!

Even though Willy Walsh probably cannot take over Flybe / It remains in his interest to keep Flybe as it is. Throw in Tinkler and now we are hopeful that the finance will come to bridge over this short term cash flow problem and the Flybe can change the Board and align itself with what it is. Europe’s LARGEST Independent Regional Airline !

Devonian. The BOD have a duty to put forward the Offer to SH and recommend it because the Offer clearly guarantees the Company will continue and jobs and Pensions protected. On that basis the BOD have to inform SH.
It won’t be accepted of course.
Start an Airline up or any Business with £750 Annual Revenue. £2 million ? Nope.

It DOES NOT say Guarantee. They get the Company for £2m (If 75% SH Vote in favour) and then they can DO WHAT THEY WANT. No Guarantees on £80m cash boost and even then it is across all Stobart Air and Flybe sonnot even 100% apportioned to Flybe !!!
WE OWN THE COMPANY. KEEP IT FOR £2million and WE CAN DO WHAT WE WANT.
YOU NEVER TAKE FIRST OFFER. If we Value Airline at £2m then Sell. Goodbye £750m Revenue. £2m does not buy you a house in London.

Previous Stobart Takeover attempt COW said the Board advises Shareholders to hang on to your Shares 40 to 45p at the time.
So here we are. Recommending Full T/O for £2m with No guarantees of the £80 cash injection. It states Intend to ....
It’s good that there is an Offer on table that guarantees jobs and Pensions etc. That is a Start. But no way are 75% SH going to agree to a £2m Fire Sale with £750m Rev and 80% Market Share.

Go buy yourself an Airline. All you need is £2m and an £80m promise. Now go find the Skills and Plant and Customers and Buy your Slots. Goodluck.

We own the Company. COW needs to go and we need to get some pride back in this Company and strip it down so that it is Profitable. It’s all there right now. We need to make £2m a year for a P/E of 1:0. C’mon. Time to get a New Board who are aligned with the current Owners of the Company.
