Thanks, nice post from Myles. You can easily get up towards $1bn+ very quickly for Mkango's share of MKAR and Hypromag USA post Nasdaq listings. Add on two operating, high margin and revenue regenerating plants in UK and Europe, and JV's in the RoW and we can change that from $1bn+ to £1bn+.

The key thing in the first instance is what valuation the PIPE financing is based on as this will determine how much dilution there is of Mkango's holding. At present, pre-PIPE financing, we hold 84.88% of the MKAR shares.

If we raise $50m in the PIPE financing at $10 per share (which equates to our current $400m indicative valuation for Mkango's share of MKAR) the share count will go up from 46.95m to 51.95m, and our % holding down from 84.88% to 76.71%.

If we raise $50m in the PIPE financing at $20 per share (which equates to an $800m indicative valuation for Mkango's share of MKAR) the share count will go up from 46.95m to 49.45m, and our % holding down from 84.88% to 80.57%.

The valuation we open at on Nasdaq, while important, is less important in my eyes than the valuation set by the PIPE financing, as the valuation set by the PIPE financing locks in our ongoing % holding in MKAR, whereas the opening/listing price will move around with market sentiment and company developments.

Yeh, they can't hold the news just because it's a public holiday in a market they don't trade in (US), they have an obligation to announce it as JM says. They will still post the RNS on the TSX-V tomorrow, so nothing to worry about imo.

I was thinking that myself flundra, it's quite the ace in the hole. If we wanted to turbo charge Hypromag ex-USA, that money could come in very handy... I guess it will depend on the valuation of MKAR and cash needs of Mkango the parent, but a great option to have.

On today's news I think we should be in the 70's. Germany opening could add another 10p, Hypromag USA FID another 20-30p (potentially more if US government grants involved), SEC approval another 10-20p and the Nasdaq listing itself will depend on the valuation, but lets say another 20-40p conservatively. If all that comes, off, starting from a 70p base, that's £1.30-£1.70 in the next three months, US/EU grant funding or Hypromag JV's could come at any time to add to that. Very grateful for all those discounted price top ups last week. What a few months we could be in for.

So good to finally get this milestone sorted and now the countdown can truly begin. SG, I have the same mid April to mid May close date range, but I get there differently.

Based on my research the SEC process should be 4-8 weeks and the CrownProptech shareholders then need to be sent the prospectus and given 20 business days before they vote. Then there’s a few more business days following that for the transaction to close. I think May is most likely now. That’s three months until a potential re-rate of the share price. I trust that the quality of our advisers means we are unlikely to have material issues with the SEC, so I’m feeling pretty confident in that call, which is the same I’ve been estimating for quite a while now.

By the time of the SPAC listing, we should in theory have an operational plant in Pforzheim and FID on our Fort Worth plant, what a three months we could be in for.

That’s a decent summary by Claude, though I think they are over egging the cautionary side of things at the end there. We already know the structure of the deal and cautionary messages are standard at the end of RNS’s.

Mrs R, I have Robert Sewell as owning just under 2.85m shares post RSU conversion. I think there’s a small chance he has sold most, if not all, of these on Thursday and Friday, but as a Person Discharging Managerial Responsibilities he would be required to report this and we would get an RNS, so perhaps the selling wasn’t him. He would also be barred from trading the shares if he has Material Nonpublic Information, even after his resignation. If we don’t get an RNS on it early next week I think it’s safe to say it wasn’t him.

I’m very happy about this move by Will and Alex today, but also feel like it’s well overdue. They have clearly needed the additional expertise and coverage for a good year now, so I think have missed a bit of an opportunity and may be a little behind the eight ball as a result. Perhaps they have been too busy with all the stuff that’s been going on to realise, or perhaps it is the slow execution that has made them finally realise they needed more / different support and expertise. Anyway now it’s sorted next week should be a good one. Glad I took advantage of the drop yesterday and today. Good way to head into the weekend, and already looking forward to Monday…

Reading the RNS again I'd say perhaps Mr Sewell hasn't been able to keep up with things.
