I believe your respectful suggestion to be very evident. A bunch of traders who thought they would make their targeted percentage in quick time, yet, it didn't or hasn't gone according to plan. Resulting in un-researched posting.

If you believe Merlin to be the USP of this enterprise given that it was initially developed in 2005 why has it taken 13 years to become top of the pops in lending itself to delivering a scalable business?

The raise is already being eaten into ........ in days.

You would imply that marketing is carried out in-house. So that £300k being allocated to marketing is for in-house allocation then?

Resellers are not the focus of the current strategy as the margins are inadequate to keep the lights on.

Large contracts without the margin are vanity.

The real progress has been in growing the losses incurred to date and as is detailed in the 87 page essay, it will continue to be loss-making. Fact taken from the facts.

All in all, a difficult one to sell at an investor event.

A current strategy focus that is dependent on outsourced marketing - that to date has not had the best of success.
A fiercely competitive sector that has proven difficult.
£100k budgeted for "identification" only purposes. If and when identified precisely how much more funding would be required to achieve the current strategy objectives?

Increasing revenues via wholesale does not buy the baby a new bonnet .......... or anything else for that matter, when you are unable to make the required margins to survive in what (in their own words) is a very difficult sector and most especially when you have no differentiator (they told us that too). FACT.

You've got the what reeks of desperation more than a bit wrong. Desperation is when an enterprise continually seeks funding from the shareholders to keep the lights on. It's called taking the proverbial when someone has done it once and then emerges yet again - within a short time frame - for a repeat performance.

This enterprise is into it's 3 year of trading. How much has been raised by placings? How much has been spent on marketing that has not achieved the desired results? How much is being lost annually?

Revenues required to achieve breakeven? Which year is it anticipated that this will be achieved? What precisely is the USP?

Infact what precisely was the business plan determined by the founder in the first instance? Get rich quick and take the proverbial again is about how this has panned out to date.

4 of the 5 managers - those with the job titles who are supposedly some of the key strengths - have long associations with the founder who has now removed his name from this enterprise .........

If wholesale doesn't make the margin and it's not really part of your focus strategy then why highlight it by regurgitation?

Why do you need all the chiefs taking their cut out of such small loss making revenues .......... The wages and fees bill is what out of this loss-making enterprise?

If that is classed as deramping or weird then so be it, the prospectus contains the facts, simple as. History is repeating itself. Karma.

What would I be checking for? I'm not a 1,2 or 3 so according to Babbler I must be just weird.

Alternatively, perhaps it's the 87 page prospectus that needs to be checked because that is a proper essay, detailing all of the risks associated with this enterprise. Or maybe that's classed as weird too?

Since the period ended 31st March 2018 the Group has continued to generate losses.

Toople is experiencing increasing competition such that it became increasingly difficult to differentiate itself.

The Toople business is currently early stage, does not generate a profit and is dependent on marketing spend to drive customer growth.

Marketing spend to date has been substantial when compared to revenues and when the £300k earmarked from the placing proceeds has been spent it will amount to over £1m. The marketing spend to date has not brought the required results and based on all knowns the £300k is inadequate.

This company has no USP, so Merlin is insignificant in the big scheme of the market sector in which it operates.

Wholesale will never return the margins necessary to achieve breakeven, let alone move into profit.

All based on the facts that have been presented by this company to date.

Doesn't detract from the fact that it's regurgitated does it? 9 wholesale customers at the time of publication of the prospectus on 13th September .......... now, 12 days later ..... Nor does it detract from wholesale is not supposed to be the focus due to the low margins.

compare the prospectus to the RNS. How recent is recently? 9 wholesale customers in the prospectus that also states "the wholesale business is however not a strategic focus for the Group as it is a lower margin offering"

Yes well because I chose to abstain from posting doesn't mean I don't keep abreast of, or have not monitored this particular one, for very obvious reasons.

Yes the red flags have been there since the ipo in 2016, however for those that need to understand the big picture then it's all there in black and white for the reading - risk v reward. None of the latter unless you are a trader and in for a quick one.

MissG has done very well in outwitting based on all known facts ..........

As I have never been involved with marketing (only knowledge of basics) I am more than happy to learn what MissG is able to tell us.

The part-time CFO on his retainer that amounts to a couple of hundred £ for one day a week, with the rest of his days at £700 so in his first 3 months he must have done 2 days a weeks then?

KARMAKANIX, all good thanks, it doesn't matter how much knowledge or experience, as I quite simply made the biggest cock-up of my life on that other one, along with many others. Just like many on here who view all the red flags as de-ramping, back then many of us just didn't listen. Lessons learned.
