Agree, at its simplest this would be the case, however imagine all these “restructuring, legal and tax specialists” thinking through weird and wonderful ways to structure what they want and all the asset stripping that has to take lace to line up with counter party balances… the beancounters are then left to work out the accounting entries (in hundreds of millions / billions) to give effect to it all …

Hexam, the tax work that EY are doing is looking all the costs of restructure, and obviously how debt may get moved about, as part of the work they are doing.

They also talked about setting up a separate vehicle how funding will be routed (and contingency funding) if required. All of this they are saying will clear through HMRC as part of the Disclosure Statement

Wolff the cineplex claim per the court judgement was against “Cineworld Group Plc” and some off the shelf Vancouver company. Cineplex will have cast the claim in the widest possible structure, eg to include the American operations if that’s who they intended merge with.

So mokeys 20% is totally worthless in your view?

Wolff, what is your informed view why the share price is not zero now, in light of the debt and creditors being the size that they are, what is stopping it going to zero?

They are selling the assets / business into a new listed entity …. another reason why yesterday there is a lot of ambiguity around the word “sale” and why the takeover panel have been taken out of the game and also confusion by excluding the word “Plc” and multiple emphasis on the word “Cineworld”

Patience, re US listing it is something to do with plans for Regal, that may also include Cineplex (speculation) and where this would obviously extinguish a lot of debt via D4E. Likewise it is behind some of the tax work being done and tax loss stripping

The UK eventually gets stripped via a scheme of arrangement (into what I don’t know, reborn Plc or private company), the ROW is outside C11.

So they must have decided currently a us listing is the way to go

If you look at docket 1182, you can see a US listing is being planned, search on the word “KPMG” PwC” or “listing” to see it, ie those advisers are starting the process …

Anyone else noticed the Kroll website where all the dockets are filed is still down due to maintenance and inaccessible? Would have thought they would have had it up and running by now

Also anyone notice the judge is having a status meeting today at 9am Texas time where you can dial in

Correction it is 50% or more of existing shareholders and qualifying creditors (meaning some of the lenders who will take equity) have to hold for 2 years, the other 50% or less can be new equity infusions, this could for example being Cineplex merging with Regal as previously planned to extinguish that claim
