And we have another institutional investor, who wanted to buy more equity and quite possibly buying in the market now.

I feel the next RNS will have a material impact on the share price, all time high taken out.

This is building very nicely now and for the longterm holders patience is paying off.

Next 2/3 weeks could be explosive.

I get the feeling the next news to drop will take out the all time high share price.

When posters refer to losing ALL the investment in EUA, I personally think that is a crazy statement.

To me the only current downside is if the sale negotiations fail to materialize. That being the case no doubt the share price will take a hit.

That said, £35m in the bank, JV with Rosgeo, current production and the distinct possibility of a resources upgrade.

Investing 10% of spare cash in sensible, but will never likely result in a life changing investment.

Personally I like Geckos comment, go hard when finding a stock that has the distinct possibility of major returns.

Christian Schaffalitzky, Executive Chairman of Eurasia commented: "The Directors are delighted to see tangible progress on our JV with Rosgeo that is an integral part of our development strategy and a part of some of our strategic options that we are developing with our advisers: UBS and DLA Piper".

Confirmation that certain JV assets are part of some of the strategic options (plural) available.

If this hits 16p to buy I will add 800k

Market prices go up and they go down, quite often irrationally.

If posters can’t read RNS or interpret BOD comments and so concerned then sell, simple.

Potential transaction, acquisition, strategic options it all means the same and all relates to the ‘deal’ being discussed.

I feel the BOD drop quite a few hints, but currently their hands are tired regards disclosures due to AIM rules.

If the other party were to walk away or talks end, then a RNS would be issued to this effect.

EUA have been trading for around 25 years, BOD are significant shareholders, various deal options began discussions in Oct 19, blue chip investment banks working on behalf of the company for some considerable time on a success only fee basis, significant dividend stated.

Is all this being done for a 5p, 10p or 20p increase in the share price………..I think not!!!!

I believe by the end of this month we will have an update that will not only make a significant difference to the share price, but also more clarity as to the transaction.

This is from the RNS dated 11 Aug 21, Christian Schaffalitzky, Executive Chairman of Eurasia commented: "The Board and our Team are enthusiastic about developing the business concurrently with making progress on the strategic options that we have on the table".

It’s pretty clear negotiations are ongoing from that statement.

The following statement has me thinking

“the Company has now received several proposals including a proposal from a credible party for the potential acquisition of substantially all of Company's assets. The Board has decided to focus on this potential asset sale."

I find it interesting that in the above statement the BOD state acquisition of SUBSTANTIALLY all of the company’s assets.

Technically under AIM rule 15 a transaction of either WK or MT could meet at least one of the class tests to qualify as a 75% transaction and as such a substantial transaction.

My thought is would the BOD state substantially all of the company’s assets if only one asset from either WK or MT were being sold.

Maybe something, maybe nothing, but if I were selling one asset I wouldn’t state selling substantially all of the company’s assets, without adding under AIM rule 15.

Actually it could equate to 75% of the business, as could selling MT.

There are around 5 different class tests to qualify as a 75% disposal and the transaction only needs to meet one of those tests to be classed as a 75% transaction.

Delusional? the transaction falls under AIM rule 15, for MT to be the asset disposed the ONLY way it falls within AIM rule 15 the consideration has to be at LEAST 75% of the current market cap of the company.

There simply isn’t any other way MT would be classified within rule 15.

I’m extremely surprised other investors aren’t picking up on this.

But to qualify under Consideration test the transaction price needs to be at least 75% of the market cap of the company.

The RNS dated 12 May stated the transaction is being treated under AIM rule 15 “ any disposal which exceeds 75% in any of the class tests”

Class tests as follows:

1) Gross Assets test
2) Profits test
3) Turnover test
4) Consideration test

The only way that MT could be the asset being transacted would be under the Consideration test, the other three tests it would fail under the 75% rule, if it were to be only asset sold.

WK would meet all requirements under the four tests on a standalone basis.

Credible party, means one company, though potentially a consortium, but I believe one.

I also believe this is at most five weeks from being announced to the market.

But there were numerous offers submitted from different parties.

Ultimately you can only agree in principle to one offer submitted, and then move forward with the mechanics of the transaction.
