if a formal offer is made, any cash element or indeed if its all Cash has to be on hand within two weeks, under the Takeover Code. Its why companies don't make formal offers willy nilly as to have 3,4,5 Billion in cash on hand has serious consequences.
Its one of the reasons the ********s who have been spouting vomit about no formal offers yet, are very wide of the mark regarding the outcome of the FSP and sale generally.

anybody in the FSP will have signed a an agreement preventing them buying stock in the open market, but there is simply no way they could do so and get anywhere near a meaningful amount without tipping the market off or ever get enough on the open market to take the company over.

How do you know what the asking price was? Since when has a market cap been the same as an asking price?

For a firm offer you need to have the readies on hand. Hence lots of discussions first.

we will probably never resolve thst but at least we have resolved the issue that no news means nothing is happening. We are now clear that the FSP is still on going to the PTMs satisfaction as of today!

interestingly the BOTB update used the disclaimer no guarantee..... ours have stopped saying that. An observation posted before, but surely not an oversight with UBS, DLA Piper and SP Angel as well as Iain Rawlinson involved...

if they are in negotiations then saying anything might be revealing to one or other party. What is clear is that if the FSP is not going anywhere it has to be shut down. That's not happened. An FSP clearly allows for the dispensation of the 28 day PUSU rule, to allow detailed due diligence and financing of the deal and to run an auction process. In that light 6 months is not long through a Pandemic across potentially international companies.
