im waiting for the rampers to try and spout another lie, they are probably looking at the admission report and RNS and trying to think of an inventive spin to make it sound great - other than BOD are cooking the books and that them saying the outlook is bad is all a ruse for something bigger that we don't know about - blind ramp / blind ramp

Hi Knigelk This is my issue, rampers are feeding lies in the respect of trying to get SP higher There are no Data Centres to sell (except for maybe CX3) but at 3000SqFt it's worth no more than £500k, I would respect someone to actually say the truth. This Share is in a depressed state and currently is trading as a loss and will continue to do so This Company is in Operation of Assets with Potential, albeit a struggle - there is a very good chance you will ose it all but if the company turns it around, as it was priced to fail, there is a small chance that this could multi bag, and due to the small free float of shares it can rise very quickly If your holding and dont want to sell, hold these and wait for trading figures in 2019 / 2020 - it will either be in administration and worthless or new contracts will be in sufficient to be profitable Thats the coin toss here and it is weighted in Administration's favour

CX2 - Sold November 2009 Page 15 of Admission document The Group has historically been financed by its founders and from third party debt facilities. In order to maximise capital resources the Group concluded a sale and leaseback transaction which completed in November 2009 whereby the CX2 building was sold to PNB. PNB is the holding company for a number of unit trusts and is attracted by cash generative property assets. The sale and leaseback of the building has removed debt from the Company’s balance sheet, reduced financing risk and provided cash resources for investment in future data centres. This transaction is summarised in Section 8.7.1 of Part V of this document. The sale and leaseback has no material impact on the Group’s operations or its relationship with its customers. After the transaction the Group still maintains responsibility for operating and managing the data centre.

CX5 - Dont't own - RNS 12th August 2010 Following the commencement of earthworks, the Directors of CSF are now pleased to advise that the Group has entered into the final agreement to develop its new CX5 data centre, as envisaged in its March 2010 Admission Document. The Group has entered into a joint-venture agreement with Permodalan Nasional Berhad (“PNB”) and Integrated DC Builders Sdn Bhd (“IDCB”) for the development of CX5, which, when completed, is expected to be Malaysia’s largest independent data centre with 201,000 net sq. ft. of data centre space. The Group has also entered into an agreement with PNB to lease and operate the completed facility. This secures substantial consulting and development revenues for the Group over the next three financial years. The key terms of the joint-venture agreement are set out below: PNB as the land owner shall make available ten acres of the land for the construction of CX5 Data Centre. IDCB as the project owner shall execute the design, construction, completion and management of CX5 The Group shall be the project manager to assist in the design, construction, completion and management of CX5 CX5 shall comprise of three blocks, each of five storeys, with net data centre space as follows:- Block A - 69,336 sq ft Block B - 69,336 sq ft Block C - 70,584 sq ft CX5 shall be constructed, together with the fit out of critical power infrastructure and associated cooling, in 3 phases:- Phase 1 - construction of Block A, Block B and Block C together with the fit out of Block A Phase 2 - fit out of Block B Phase 3 - fit out of Block C The Group shall lease Blocks A, B and C respectively from PNB for a period of 10 years with an option to extend for a further 15 years. The lease of each block will commence on the same dates as the completion dates of the sale of each block by IDCB to PNB. The Group has the exclusive right to secure tenants for the data centre space in Blocks A, B and C, subject to the terms of an earlier agreement entered into between the Group and IDCB in January 2010 whereby IDCB has undertaken to procure tenants for Block A. Upon completion of all of these stages the Group will operate the entire CX5 facility and own it under a lease from PNB in the same manner as it currently owns and operates CX1 and CX2.

DATA CENTRE 1 - already sold RNS 19th April 2010 The directors of CSF Group, a leading provider of data centre facilities and services in South East Asia, are pleased to advise that CSF Advisers Sdn Bhd, a wholly-owned subsidiary, has completed the sale and leaseback of the CX1 data centre. The proceeds of the disposal were RM49,317,000 (approximately £10.0 million) and the profit on the sale is expected to be approximately RM20,786,000 (approximately £4.2 million).

The Board is continuing to review the Group’s business model with the aim of establishing sustainable profitable trading. Notwithstanding the foregoing, the financial projections show that with the completion of the restructuring of the lease rental commitments, the Group will be able to sustain its working capital requirements for a period of not less than 18 months. However, the Group will need to secure additional revenues in order to achieve a sustainable business model. Notwithstanding the above and taking into consideration the current financial position, future capital and lease commitments of the Group, the directors have a reasonable expectation that the Group has adequate resources to continue in operational existence for the foreseeable future. Thus they continue to adopt the going concern basis of accounting in preparing the consolidated half-yearly financial statements for the period ended 30 September 2016.

Doubtful Debts i would assume in this style of business is a Tenant not paying rent you claim that they are hiding transactions, i say they are likely to have someone (a large contract in trouble) A doubtful debt can only be put in the accounts if it is likely that you are not going to get the money back, if it is likely then it can't be included in here.

An Onerous Lease Provision is an unavoidable lease cost of meeting the obligations under the contract exceed the economic benefit of the asset - this means they believe operating the assets they are operating are going to make a financial loss of £10.3m (not a great outlook) The Provisions are higher than the operating income as provisions are based on costs and not revenues. In lamest terms - you rent a building for £10,000 a month (£120,000 a year) you make £3,000 revenue, you still need to pay the £10,000 rent I will assume due to the nature of the protected leases, it has been drawn up with a lot more conditions in regards to breaking the lease - i have dealt with Protected Leases in UK where larger companies rent the building, fit it out and put clauses in the contract in regards to exit clauses due to the amount of money they fit out the property, say a hotel chain rents an old Office Block, spends £5m on converting to a 5* hotel (they want the safety of a protected lease that once works are done, the Freeholder isn't going to rent it out to a competitor for a higher rent. I have mentioned that in one of the documents it mentioned they are contractually bound by a 9 year lease (so the onerous lease provision is the amount the BOD expect to lose Thanks for bringing it to the attention of everyone here

Sorry - working too: Cash as of 30th September 2016 in Half Year Results stated as £7.8m but you and i both know that CSF are cash negative due to committed liabilities

You got cash, you also got a secured leases for 9 years which you need to pay for even if your not there, if administration happens, there won't be a penny for shareholders The cash is giving you time to get new tenants, and you really need them, lots of them, every day the cash flow worsens and other than the fact you may have a deferral in paying lease obligations last 12 months, unless you double occupancy you will be heading that way

Read page 15 of the admission doc under group financing where the sales of cx1 and cx2 are confirmed and read the cx5 development agreement, proving zero ownership, so posting development costs is just pointless

No problem, it was u stated nominal value is 10p when the offer for subsiduary is 'nominal', no placing here as SP has collapsed as it's trading badly, at best this is a high risk turnaround play
