What is an F share?

While some US investors can trade directly in a foreign company’s local market, many US investors prefer to see quotes in US dollars during their regular trading hours. To facilitate trading and reporting, US broker-dealers create trading symbols of foreign securities in the US. These trading symbols are commonly called tickers. The tickers are five letter long acronyms and end with the letter “F”. For that reason, they are traditionally called "F shares". For e.g. adidas AG, the ticker symbol is ADDDF and for Ocean Yield ASA it is OYIEF.

Why does my company have an F share?

An F share is created in the US when a broker-dealer files a Form 211 with FINRA (the Financial Industry Regulatory Authority) to create a US ticker symbol in order to report trades in the US in your company’s shares. This is not a new share. It is a reference to your existing shares via a newly created ticker symbol in the United States for reporting and trading purposes. As with American Depositary Receipts, this may happen without your involvement or approval. This is referred to as an "unsponsored" quotation. It means that your shares can be traded "off exchange" between interested parties in the US. While your company may not have been involved in this process, the creation of an F share indicates that there is an extising market demand for your shares in the United States. This is valuable to facilitating global liquidity in your shares.

I believe an assumption has been made on a vote for cross listing, with or without a fund raise.

But if anyone can indicate where it says we will have one, I shall be obliged.

Restructuring requires a vote. I have seen nothing to indicate a vote is required for the listing that will follow, or that one will be offered. A restructuring vote, if on it’s own, will be a proxy vote for the listing.

Just waiting on info from Ggp on anticipated releases. It would seem sensible to me to get the MRE out, at least with the prospectus if not before. And if there will be a reorganisation, which seems likely, a vote on that to enable the scheme of arrangement, then listing.

And see how Newcrest/Newmont progresses, votes and permissions, again to enable scheme of arrangement and completion. Appointment of new board, and then consideration of the portfolio.

EAW. I take your point. But has much of the discussion on here not been about releasing information in a timely fashion to Ggp shareholders? Something I believe has been done on drilling.

I am probably amongst the oldest on here. I can only with optimism, only look to production and what flows therefrom. Dividends, accretive acquisition of Telfer/70% over time, and what that entails, does not feature highly.

Yes. And that is why large, individual investors, institutions, want preferential treat. They fund operations, pi’s speculate on the secondary market.

SM It has always been my contention, despite resistance on here, that the non-publication of a MRE and so forth has no relevance to the state of Newcrest’s, and now Newmont’s knowledge.

I think EAW was additionally turning to prospects in the area. Newmont will have a handle on that also.

I think any hopes of a rights issue are forlorn, not been mentioned at all, even in a passing way. I would not expect one under the circumstances, should there be any raise at all. It complicates, and is time consuming.

And there will be processes to follow thereafter, for any and all divestitures.

On more practical and essential planning matters, Ggp must surely be looking to firm up as quickly as practicable, arrangements for processing Hav ore, normally with Newcrest. Simon Tyrell was said to be responsible for overseeing the transition of Havieron from development to production including the integration of Havieron into the Telfer processing plant. 

What NEM decide to do seems the one issue moving forward to next year. They will want to monetise H and Telfer, not mothball, either by production or disposal. Yet there is nothing to limit their decision making timescale. I noticed a view expressed on here of February. I don’t know the reasoning behind that. Seems far too early to me.

Listing is a complicated matter. I do not understand the intricacies. But on my reading (matter of course for others to take their own view ) it seems to me that the listing authorities have to be assured there will be no raise in the 3 months following listing. I presume that does not apply to any raise accompanying the listing.

He doesn’t have to do these Town Halls and such. There’s nothing in them for the company.

So I wouldn’t read anything into that. At the moment there’s nothing new to remotely justify that Public Relations for the relatively small ( I presume ) number pi’s attending.

I would think he’s only interested lined up institutions to tap them up if need be, and hopes for those currently restricted by mandate. I hope for on-market buying.

I suspect listing will put much of the unknown behind us.Leaves Newmont decision. If you a believer, win win, then no problem……….
