This comes at a time of continuing consolidation in the media industry with the recent Netflix deal to purchase Warner Bros.

I really don’t think private equity nor loan will be of interest to the board, BigShow. PE is expensive , they’d never put a decent valuation on the business, also they’d want a seat on the board. Audioboom has gone past that stage.

As for a share fund raise I’m not sure that’s on the cards. It would have to be a big one to make a significant acquisition and I just wonder if there’s an appetite in the capital markets. This process would be a sure fire way to get a leak.

In my comments only to Moneyman only the other day the key is the appointment of a USA deal maker in Rockefeller. I’m certain that this means a US proposition is definitely on the cards. If it’s the business side that’s Ok and the strategic plan will bear this out as an option. Of course it’s also a good negotiating ploy in trying to sell the entire company. As expansion in UK and Europe is also important to US media.

All in, a value north of £10.

My thoughts are the same as a month ago. The directors have taken the potential interest very seriously. Firstly appointing a strategic planning adviser was correct to flesh out the options. When deeper discussions started the board appointed Rockefeller a month ago to steer the negotiations. None of this would have been done unless something concrete would come out of the process. It’s either an offer for the entire company or a purchase of the US business and the rest remains in Audioboom as a UK Aim company with the possibility of acquiring other Uk podcasters. Management may even consider a buyout.

The process is certainly being kept very tight. No leaks. That’s a good sign. The dispensation given not to identify interested parties was significant as it indicates big names involved.

There could be a view, based upon the price being in a range between £6 -£7, that the deal could be the sale of US business and the UK side kept in the continuing AIM listed company. If US is split off then that could raise a premium of 50% of the current market attributed value of 1.75x revenue. The Uk business with Adelicious makes a perfect new business for management to build up and even make further UK acquisitions. It could even lead to management and directors taking it private and get free from AIM. It’s really difficult to put values on this split but that is what my gut feeling is. US companies can have a tendency to shy away from buying foreign public entities as they don’t want shareholder isssues.

That’s why I’m leaning towards an asset sale in US together with the IP and the remaining UK business in Audioboom quote on AIM or a buyout of UK business.

Interesting that Dowgate bought again yesterday. Another £75k purchase. They can’t be insiders at the moment as with the Adelicious acquisition. So no fund raising by Audiboom in the current reckoning or else Dowgate would be in the frame to invest. Although I think AB was oversold today there have been major swings in the US indices which have corrected late today.

Spotify have had a torrid time over past 3 months and now stand 20% down for the period.

I’m reminded of my school master saying “ empty vessels make most noise”. The vast majority here contribute with intelligent and informative information about Audioboom and the podcasting industry. No one is interested in personal attacks and completely fabricated showing off of their imaginary trading activity. The general markets are down. Why should Audioboom be any different.

Isn’t Audioboom the biggest producers of video podcasts in USA. Someone has posted the rankings on a few occasions

I’m very confident that Audiboom will have a minimum valuation of £10. In fact this should be the current quoted price on AIM. We should compare with the recent share performance of ACAST which is the only other publicly quoted podcast company. The current market cap is kr 5.6 b and with annual sales of kr2.4b the multiple is 2.5 x.

So assuming Boom sales revenue of $90m and 1.8m shares the comparative value is £10.

Some while ago I thought PodcastOne could be a reverse takeover possibility for Audiboom to move to a US quote on NASDAQ but was advised that PodcastOne was not a highly regarded company. Things change of course.

For many years, that’s about 10 years, there has been a core of posters who cannot stop their malevolent campaign through posting on this board. The appearance of Audioboom as an IPO on AIM in 2014 was sensational. It was a groundbreaking project in an exciting podcasting industry. Within 6 months the company was never given a chance to succeed. The company was identified as a sure fire shorting opportunity. It was probably brought to the public market a bit too soon so its financials couldn’t stand up to its market valuation. A prize to AIM traders and manipulators. Many here under different and changing aliases have done their job in undermining a good and progressive UK listed company. There have been ups and downs but mainly a good trajectory in growing a solid business under immense pressure from US competition. For life in me I just can’t comprehend the bigotry of current posters who deem it necessary to continue their vitriolic and in fact illogical criticism.

The board have done absolutely the correct moves to ensure shareholders achieve maximum value for their investment.

There is a professional approach to the current flux of a strategic revue and an attempt to flush out potential bids. All to the benefit of shareholders.
