Johann Rupert’s Remgro has signed an agreement to acquire full ownership of Mediclinic Southern Africa in a $950 million (approximately R16.2 billion) transaction, which will divide the private hospital group’s assets along geographic lines.

Remgro has agreed to acquire full ownership of Mediclinic Southern Africa in a $950 million deal that divides Mediclinic's assets by region.
Mediclinic Holdings will sell its Swiss Hirslanden group to IHL, an MSC Mediterranean Shipping Company unit, while Remgro acquires all shares in the Southern Africa business.
Both deals will be completed simultaneously on a 1:1 value exchange basis, with provisions for compensation if only one part completes, and a deadline set for September 30, 2027.
Upon completion, Remgro and IHL will each fully control their regional segments while keeping joint interests in the Middle East and UK healthcare markets.
The deal will see Mediclinic Holdings divest its Swiss operations, the Hirslanden group, to Investment Holding Limited (IHL), a unit of MSC Mediterranean Shipping Company. At the same time, Remgro will acquire all shares in Mediclinic Southern Africa.
Both legs of the transaction will be executed simultaneously on a 1:1 value exchange basis, with a long-stop date set for September 30, 2027. If one part of the deal is completed and the other fails, the affected party will compensate the other in cash.
Remgro and IHL each currently hold a 50% stake in Mediclinic Holdings. Once the restructuring is completed, both partners will take full control of their respective regional businesses while retaining joint interests in the Middle East through the EHH Group and in the UK via Spire Healthcare.
