When the issue of new securities as consideration for an acquisition or a cash subscription (or in fulfilment of obligations under an agreement to underwrite the issue of new securities) would otherwise result in an obligation to make an offer under Rule 9, the Panel will normally waive the obligation if there is an independent vote at a shareholders’ meeting.

In exceptional circumstances, the Panel may consider granting a Rule 9 waiver where the approval of independent shareholders to the transfer of existing shares from one shareholder to another is obtained.

From what ive seen any offer from Assore is price limited by what they paid for any purchase in the four months before the bid. Therefore it could be a minimal percentage above this placing price.

This placing has to get shareholder approval first though.

It is a formality if the Minister and Ministry have done their job properly. No breaches of statutory requirements have been stated and both parties and the speaker are guilty of delaying ratification presumably for party needs rather than their country. They know that it will go through if it gets to the house as no one will want the risk of another visit to the International Court of Arbitration. The IMF have just released billions of credit based on the country sorting itself out and then they act like this!
